OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Banco Autofin México, S.A., Multiple Banking Institution.

The terms of the authorization for the organization and operation of that entity are modified.

Through official letters 312-2/94203/2023, 312-2/94204/2023, 312-2/94205/2023, all dated August 2, 2023, and 312-2/94234/2023 dated August 17, 2023, this Commission approved Banco Autofin México, S.A., Institución de Banca Múltiple (Autofin) to reform Article Seven of its bylaws, due to four increases in its social capital in the amounts of $44,000,000.00, $30,000,000.00, $50,000,000.00, and $179,750,000.00, respectively, leaving said capital at a total of $1,269,007,230.00. This is in accordance with the minutes of the Extraordinary General Shareholders' Meetings of Autofin, held on July 1, 2020, December 31, 2020, March 2, 2022, and March 16, 2023, respectively.

With writings submitted on September 20 and November 30, 2023, through the email address VPSupervisionGIFB@cnbv.gob.mx, and in compliance with the requirements contained in the official letters referred to in the previous paragraph, Autofin presented certified copies of public deeds 192,133, 192,134, and 192,135, all dated August 4, 2023, and 192,550 dated August 23, 2023, granted before the notary public Lic. Amando Mastachi Aguario, Public Notary Number 121 of Mexico City, and registered in the Public Commerce Registry of this same city on September 5, August 21, September 12, and November 27, 2023, respectively, in which the aforementioned bylaw modifications were formalized.

For the above reason, based on Article 8, last paragraph of the Credit Institutions Law, this Commission deems it appropriate to modify Point Third of the "Resolution authorizing the organization and operation of a multiple banking institution named Banco Autofin México, S.A., Institución de Banca Múltiple," contained in official letter 101-865 issued by the Ministry of Finance and Public Credit on December 7, 2005, and published in the Official Gazette of the Federation on January 6, 2006, last modified by official letter 312-2/14813/2021 issued by this Commission on June 1, 2021, and published in the same Gazette on June 18, 2021, to read as follows:

"...

THIRD.- The paid-in social capital of Banco Autofin México, S.A., Institución de Banca Múltiple, amounts to $1,269,007,230.00 (one billion two hundred sixty-nine million seven thousand two hundred thirty pesos 00/100) national currency.

..."

Likewise, based on Articles 8, last paragraph, and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, that entity is required to inform this authority of the date of the publications made in the Official Gazette of the Federation and in two widely circulated newspapers of its social domicile, of this modification official letter, within a period of fifteen business days counted from the date of the aforementioned publications, which must be processed within fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, antepenultimate paragraph of the National Banking and Securities Commission Law; 14, 19, fraction X, 21, fractions I, subsection c), II and III, and last paragraph, 44, fractions I and IV, and 64, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
