OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Banco de Inversión Afirme, S.A., Multiple Banking Institution, Afirme Financial Group.

The terms of the authorization for the organization and operation of that entity are modified.

By official letter 312-3/93924/2023 dated May 24, 2023, this Commission approved the reform to Article Seventh of the bylaws of Banco de Inversión Afirme, S.A., Institución de Banca Múltiple, Afirme Grupo Financiero (BIAfirme), due to: (i) an increase in its social capital by the amount of $756,427,267.00, through the capitalization of the items of capital reserve and accumulated results; and (ii) subsequently, a reduction in its social capital in the amount of $1,200,000,000.00, leaving said capital at the amount of $895,951,832.00, in terms of the minutes of the extraordinary general shareholders' meeting held on June 16, 2023.

With a document presented to this Commission on December 7, 2023, through the email address VPSupervisionGIFB@cnbv.gob.mx, in compliance with the requirement contained in our official letter 312-3/93924/2023 referred to above, BIAfirme presented a certified copy of public deed number 245 dated June 16, 2023, granted before the notary public Lic. Adrián Hinojosa Treviño, notary public number 33 of the City of Monterrey, N.L., and registered in the Public Registry of Commerce of that same city on June 21, 2023, under electronic commercial folio number N-2018065888, in which the bylaw modification in question was formalized.

Therefore, based on Article 8, last paragraph of the Credit Institutions Law, this Commission deems it appropriate to modify Base FOURTH of the "Resolution authorizing the organization and operation of a subsidiary multiple banking institution named UBS Bank México, S.A., Multiple Banking Institution, UBS Financial Group" - currently Banco de Inversión Afirme, S.A., Institución de Banca Múltiple, Afirme Grupo Financiero -, contained in official letter 101-692 issued by the Ministry of Finance and Public Credit on November 23, 2006 and published in the Official Gazette of the Federation on December 27, 2006, last modified by official letter 312-2/66463/2018, issued by this Commission on September 3, 2018, published in the Official Gazette of the Federation on September 27, 2018, to remain in the following terms:

" ...

FOURTH.- The social capital of Banco de Inversión Afirme, S.A., Institución de Banca Múltiple, Afirme Grupo Financiero, shall be the amount of $895,951,832.00 (eight hundred ninety-five million nine hundred fifty-one thousand eight hundred thirty-two pesos 00/100 M.N.).

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, BIAfirme is required to report to this authority the date of publication of the text of this modification official letter, carried out in the Official Gazette of the Federation and in two widely circulated newspapers of its social domicile, within a period of fifteen business days, counted from the date of publication. This is understood to mean that said publications must be processed within the fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, third-to-last paragraph of the National Banking and Securities Commission Law; and 14, 19, fraction X, 21 fraction I, subsection c), fractions II and III and last paragraph, 44 fractions I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
