Official Letter Modifying the Authorization Terms for the Organization and Operation of Banco Invex, S.A., Multiple Banking Institution, Invex Financial Group

Through Official Letter No.: 312-1/42353/2024 dated June 13, 2024, this Commission approved the reform to the seventh article of the bylaws of Banco Invex, S.A., Multiple Banking Institution, Invex Financial Group (Banco Invex), due to an increase in its social capital, to stand at the amount of $1,250,000,000.00 (one billion two hundred fifty million pesos 00/100 M.N.), in terms of the minutes of the extraordinary general shareholders' meeting held on November 21, 2023.

Regarding this matter, in compliance with the requirement contained in the aforementioned official letter, Banco Invex presented to this Commission on August 12, 2024, through the email address VPSupervisionGIFA@cnbv.gob.mx, a digital copy of the testimonial of public deed number 3,292 dated July 2, 2024, granted before the notary Lic. Martín Bernardo Rodríguez Hernández, holder of notary office number 171 of the State of Mexico in the Municipality of Naucalpan de Juárez, and registered in the Public Registry of Property and Commerce of Mexico City on July 4, 2024, under electronic commercial folio number 187201, with which the statutory modification in question was formalized.

For the above reason, this Commission, based on Article 8, last paragraph of the Credit Institutions Law, has resolved to modify point Second of the "RESOLUTION by which the constitution and operation of a multiple banking institution named Banco Invex, S.A. is authorized", issued by the Ministry of Finance and Public Credit through Official Letter 101.- 1889 dated November 19, 1993, published in the Official Gazette of the Federation on November 23, 1993, to read as follows:

"...

SECOND. -

The social capital of Banco Invex, S.A., Multiple Banking Institution,

Invex Financial Group shall be the amount of $1,250,000,000.00 (one billion two hundred fifty million pesos 00/100 M.N.).

... "

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Banco Invex is required to inform this Commission of the dates of publication of this official letter, carried out in the Official Gazette of the Federation and in two widely circulated newspapers in its social domicile, within a period of ten business days counted from the date on which said publications are made, which must be processed within fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; 14, 19, fraction X, 21, fractions I, subsection c), II, III and last paragraph, 44, fractions I and IV and 64, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
