OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of CIBanco, S.A., Multiple Banking Institution.

The terms of the authorization for the organization and operation of said entity are modified.

Through official letter 312-3/0150/2020 dated June 2, 2020, this Commission approved the reform to Article Sixth of the bylaws of CIBanco, S.A., Multiple Banking Institution (CIBanco), due to the increase in its social capital from the amount of $2,748,685,928.00 to $2,749,976,690.00, as a consequence of its merger with the entity resulting from the spin-off of Evercore Brokerage House, S.A. de C.V. (Evercore), in terms of the draft minutes of the extraordinary general shareholders' meeting that they sent for this purpose.

Likewise, with official letter 312-3/0312/2020 dated October 15, 2020, this Commission approved the reform to Article Sixth of the bylaws of CIBanco, due to the increase in its social capital from $2,749,976,690.00 to $2,750,026,690.00, as a consequence of its merger with the entity resulting from the spin-off of Deutsche Bank Mexico, S.A., Multiple Banking Institution (Deutsche Bank), in terms of the draft minutes of the extraordinary general shareholders' meeting that they attached for these purposes.

With writings presented to this Commission on October 12 and October 27, 2020, through the emails VPSupervisionGIFA@cnbv.gob.mx and VPSupervisionGIFB@cnbv.gob.mx, and in compliance with the requirements contained in the official letters 312-3/0150/2020 and 312-3/0312/2020 referred to above, CIBanco sends a certified copy of public deeds 153,112 and 153,968 dated July 2 and October 16, 2020, granted before the notary public Lic. Joaquín Cáceres Jiménez O'Farrill, public notary number 132 of Mexico City, and registered in the Public Commerce Registry of this same city, the first, on September 24, 2020, under electronic commercial folio number 384235-1 and the second, on October 27, 2020, under electronic commercial folio 384235-1, in which the statutory modifications in question were formalized.

For the above and based on Article 8, last paragraph of the Credit Institutions Law, this Commission deems it appropriate to modify the Fifth Base of the "Resolution authorizing the organization and operation of a multiple banking institution subsidiary named The Bank of New York Mellon, S.A., Multiple Banking Institution", currently CIBanco, S.A., Multiple Banking Institution, contained in official letter 101-463 dated July 14, 2008, issued by the Ministry of Finance and Public Credit, published in the Official Federal Diary on August 5, 2008, last modified by official letter 312-3/0057/2020 dated February 24, 2020 and published in said Diary on March 10, 2020, to read as follows:

"...

Fifth: The social capital of CIBanco, S.A., Multiple Banking Institution, is the amount of $2,750,026,690.00 (two billion seven hundred fifty million twenty-six thousand six hundred ninety pesos 00/100 M.N.).

..."

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, CIBanco is required to inform this authority of the date of publication of the text of this official letter of modification in the Official Federal Diary and in two widely circulated newspapers of its social domicile, within a period of fifteen business days counted from the date of publication. These publications must be processed within the fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; and 12, 17, fraction X, 19, fractions I, subsection c), II and III and last paragraph and 40, fractions I and IV of the Internal Regulations of the National Banking and Securities Commission.
