OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Banco PagaTodo, S.A., Multiple Banking Institution.

By Official Letter No.: 312-1/42411/2024 dated July 23, 2024, this Commission approved the reform to article seven of the bylaws of Banco PagaTodo, S.A., Multiple Banking Institution ( Banco PagaTodo ), due to various increases in its share capital, to remain at the sum of $690 ' 300,000.00 (six hundred ninety million three hundred thousand pesos 00/100 M.N.), in terms of the minutes of the extraordinary general shareholders' meetings held on January 31 and April 30 of 2024.

Regarding this, in compliance with the requirement contained in the aforementioned official letter, Banco PagaTodo presented to this Commission on September 9, 2024, through the email address VPSupervisionGIFA@cnbv.gob.mx, a digital copy of the testimony of public deed number 76,927 dated September 4, 2024, granted before the notary Lic. Javier Eduardo del Valle Palazuelos, holder of notary number 61 of Mexico City and registered in the Public Registry of Property and Commerce of this same city on September 6, 2024 under electronic commercial folio number 488838, with which the statutory modification in question was formalized.

For the above reason, this Commission, based on article 8, last paragraph of the Credit Institutions Law, has resolved to modify the Fifth Base of the " Authorization for the organization and operation of a multiple banking institution to be named Banco PagaTodo, S.A., Multiple Banking Institution " issued by this Commission by Official Letter No.: 100/022/2012 dated September 18, 2012, published in the Official Gazette of the Federation on April 4, 2013, last modified by this authority by Official Letter No.: 312-1/42357/2024 dated June 17, 2024, published in the aforementioned Gazette on July 8, 2024, to remain in the following terms:

FIFTH. -

The share capital of " Banco PagaTodo S.A., Multiple Banking Institution " shall be the amount of $690 ' 300,000.00 (six hundred ninety million three hundred thousand pesos 00/100 M.N.).

... "

Likewise, based on articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Banco PagaTodo is required to inform this Commission of the dates of publication of this official letter, carried out in the Official Gazette of the Federation and in two widely circulated newspapers in its social domicile, within a period of ten business days counted from the date on which said publications are made, which must be processed within fifteen business days following the date of receipt of this official letter.

This official letter is issued based on articles 16, penultimate paragraph of the Law of the National Banking and Securities Commission; 14, 19, fraction X, 21, fractions I, subsection c), II, III and last paragraph, 44, fractions I and IV and 64, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
