OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Banco PagaTodo, S.A., Multiple Banking Institution.

The terms of the authorization for the organization and operation of that credit institution are modified.

Through Official Letter No.: 312-1/14760/2021 dated May 18, 2021, this Commission approved the reform to the seventh article of the bylaws of Banco PagaTodo, S.A., Institución de Banca Múltiple (Banco PagaTodo), due to the increase in its social capital by the amount of $7,000,000.00 (seven million pesos 00/100 M.N.), bringing the total amount to $393,300,000.00 (three hundred ninety-three million three hundred thousand pesos 00/100 M.N.), in accordance with the minutes of the extraordinary general shareholders' meeting held on September 30, 2020.

Regarding this matter, in compliance with the requirement contained in the aforementioned official letter, Banco PagaTodo presented to this Commission on December 1, 2021, through the email address VPSupervisionGIFA@cnbv.gob.mx, a certified copy of public deed number 155,551 dated June 11, 2021, granted before the notary public Lic. Joaquín Cáceres Jiménez O'Farrill, Public Notary Number 132 of Mexico City, and registered in the Public Registry of Property and Commerce of this same city under electronic commercial folio 488838-1 on October 8, 2021, in which the modification in question was notarized.

For the above reason, this Commission, based on Article 8, last paragraph of the Credit Institutions Law, has resolved to modify the Fifth Base of the "Authorization for the organization and operation of a multiple banking institution to be named Banco PagaTodo, S.A., Institución de Banca Múltiple" contained in Official Letter No.: 100/022/2012 issued by this Commission on September 18, 2012, published in the Official Gazette of the Federation on April 4, 2013, which was last modified by this Commission through Official Letter No.: 312-1/14630/2021 dated February 24, 2021, and published in the aforementioned Gazette on March 18, 2021.

The social capital of "Banco PagaTodo S.A., Institución de Banca Múltiple" shall be the amount of $393,300,000.00 (three hundred ninety-three million three hundred thousand pesos 00/100 M.N.)

Finally, based on Articles 8, last paragraph, and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Banco PagaTodo is required to inform this Commission of the dates of publication of this official letter, carried out in the Official Gazette of the Federation and in two widely circulated newspapers at its social address, within a period of ten business days counted from the date of said publications, which must be processed within fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, antepenultimate paragraph of the National Banking and Securities Commission Law; 12, 17 fraction X, 19, fractions I, subsection c), II, III, and last paragraph, 40, fractions I and IV, and 58, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
