Official Letter Modifying the Authorization Terms for the Organization and Operation of Banco Compartamos, S.A., Multiple Banking Institution

OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of that entity.

Banco Compartamos, S.A., MULTIPLE BANKING INSTITUTION

Through official letter 312-3/93979/2023 dated June 2, 2023, this Commission approved the reform to Article Seventh of the corporate statutes of Banco Compartamos, S.A., Institución de Banca Múltiple (Banco Compartamos), due to the increase in its social capital from the amount of $639,740,970.00 to $756,000,000.00, as well as Articles Twenty-Third, Twenty-Seventh, Twenty-Ninth, Thirty-First, Thirty-Second, Thirty-Fourth, and Thirty-Eighth of its corporate statutes, relating to "Votes and Resolutions," "Appointment and Duration," "Presidency and Secretary," "Powers," "Remuneration," "General Director," and "Remuneration," respectively, in accordance with the minutes of the extraordinary general shareholders' meeting held on April 14, 2023.

With a submission presented on October 2, 2023, through the email VPSupervisionGIFB@cnbv.gob.mx, and in compliance with the requirement contained in the aforementioned official letter 312-3/93979/2023, Banco Compartamos sent to this Commission a certified copy of public deed 68,325 dated June 19, 2023, granted before the notary Patricio Garza Bandala, public notary number 195 of Mexico City, and registered in the Public Registry of Property and Commerce of this same city on September 18, 2023, under commercial folio 270503-1, in which the aforementioned statutory modification was formalized.

For the above reason, based on Article 8, last paragraph of the Credit Institutions Law, this Commission sees fit to modify Point Third of the "Resolution authorizing the organization and operation of a multiple banking institution named Banco Compartamos, S.A., Institución de Banca Múltiple," contained in official letter 101-340 issued by the Secretariat of Finance and Public Credit on May 17, 2006, and published in the Official Federal Diary on May 26, 2006, last modified by official letter 312-3/2511805/2022 issued by this Commission on November 7, 2022, and published in said Diary on November 28, 2022, to read as follows:

"...

THIRD.- The social capital of Banco Compartamos, S.A., Institución de Banca Múltiple amounts to the sum of $756,000,000.00 (seven hundred fifty-six million pesos 00/100 M.N.).

... "

Likewise, based on Articles 8, last paragraph, and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Banco Compartamos is required to inform this authority of the date of publication of the text of this modification official letter, carried out in the Official Federal Diary and in two widely circulated newspapers at its social domicile, within a period of fifteen business days counted from the date of publication. This is understood to mean that such publications must be processed within the fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; and 14, 19, fraction X, 21, fractions I, subsection c), II and III, and last paragraph, 44, fractions I and IV, and 64 of the Internal Regulations of the National Banking and Securities Commission.
