Through official letter 312-2/0177/2020 dated July 16, 2020, this Commission approved the reform of Clause Eighth of the bylaws of ABC Capital, S.A., Institución de Banca Múltiple (ABC Capital), among other clauses, due to the increase in its social capital from $966,174,000.00 to $981,116,068.35.

With a written submission presented on November 24, 2020, through the email address VPSupervisionGIFA@cnbv.gob.mx and in compliance with the requirement contained in the official letter referred to in the previous paragraph, that entity sent to this Commission a certified copy of public deed 3,366 dated July 30, 2020, granted before the notary public Lic. Juan Luis Torres Vega, Notary Public Number 98 of the State of Sinaloa, and registered in the Public Property and Commerce Registry of Monterrey, Nuevo León on October 20, 2020, under electronic commercial folio 100823, in which the aforementioned statutory modification was formalized.

For the above reason and based on Article 8, last paragraph of the Credit Institutions Law, this Commission deems it appropriate to modify Point Third of the "Resolution authorizing the organization and operation of a multiple banking institution named Banco Comercial del Noreste, S.A., Institución de Banca Múltiple" -currently ABC Capital, S.A., Institución de Banca Múltiple-, contained in official letter 101.-689 issued by the Ministry of Finance and Public Credit on November 22, 2006 and published in the Official Gazette of the Federation on January 2, 2007, last modified by official letter 312-3/112771/2014 issued by this authority on March 5, 2014 and published in the aforementioned Gazette on April 15 of the same year, to read as follows:

" ...

THIRD.- The social capital of ABC Capital, S.A., Institución de Banca Múltiple amounts to the sum of $981,116,068.35 (nine hundred eighty-one million one hundred sixteen thousand sixty-eight pesos 35/100) national currency.

... "

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, ABC Capital is required to inform this authority of the dates of the publications carried out in the Official Gazette of the Federation and in two widely circulated newspapers of its social domicile, of this official letter of modification, within a period of fifteen business days counted from the date of the aforementioned publications, which must be processed within the fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; 12, 17, fraction X, 19, fractions I, subsection c), II and III and last paragraph and 40, fractions I and IV of the Internal Regulations of the National Banking and Securities Commission.
