OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Hey Banco, S.A.

SUBJECT: THE TERMS OF THE AUTHORIZATION FOR THE ORGANIZATION AND OPERATION OF THAT ENTITY ARE MODIFIED.

By Official Letter 312-2/9715/2025 dated July 4, 2025, this Commission approved for Hey Banco, S.A. Multiple Banking Institution, Banregio Financial Group (Hey Banco) the reform to articles second, third, and seventh of its bylaws, in order to: i) incorporate the operation and activity for the distribution of investment funds as part of its corporate purpose and the development thereof; and ii) contemplate an authorized capital in the amount of $2,000,000,000.00 and specify that its subscribed and paid capital is in the sum of $1,400,000,000.00, in terms of the project of the extraordinary general shareholders' meeting, which they submitted with the writing presented on May 21, 2025.

By Official Letter 312-3/708653/2026 dated January 29, 2026, this Commission approved for Hey Banco the reform to article Seventh of its bylaws, due to the increase in its paid social capital in the amount of $93,029,430.00, to remain in the total sum of $1,493,029,430.00, in terms of the project of the minutes of the extraordinary general shareholders' meeting, which they accompanied with the writing presented on January 29, 2026.

With a writing presented on August 27, 2025, through the email address VPSupervisionGIFB@cnbv.gob.mx and, in compliance with the requirement contained in Official Letter 312-2/9715/2025, Hey Banco presented a certified copy of public deed 51,200 dated July 17, 2025, granted before the notary public Lic. Héctor Mauricio Villegas Garza, public notary number 122 of the City of Monterrey and registered in the Public Registry of Commerce of that same city on August 18, 2025, in which the statutory modification referred to in the first paragraph of this official letter was formalized.

Likewise, with a writing presented on February 12, 2026, through the email address VPSupervisionGIFB@cnbv.gob.mx and, in compliance with the requirement contained in Official Letter 312-3/708653/2026, Hey Banco presented a certified copy of public deed 52,408 dated January 29, 2026, granted before the notary public Lic. Héctor Mauricio Villegas Garza, public notary number 122 of the City of Monterrey and registered in the Public Registry of Commerce of that same city on February 1, 2026, in which the statutory modification referred to in the second paragraph of this official letter was formalized.

For the foregoing, based on article 8, last paragraph of the Credit Institutions Law (LIC), this Commission deems it appropriate to modify the Fifth Base of the "Authorization for the organization and operation of a multiple banking institution to be named Hey Banco, S.A., Multiple Banking Institution, Banregio Financial Group", contained in Official Letter P220/2023 issued by this same authority on July 11, 2023, published in the Official Gazette of the Federation on July 21, 2023, last modified by Official Letter 312-2/42939/2024 dated November 21, 2024, and published in the aforementioned Gazette on December 11, 2024, to read as follows:

" ...

FIFTH.- The amount of its authorized capital shall be $2,000,000,000.00 (two billion pesos 00/100, national currency), of which, $1,493,029,430.00 (one billion four hundred ninety-three million twenty-nine thousand four hundred thirty pesos 00/100, national currency) are subscribed and paid.

... "

Likewise, based on articles 8, last paragraph and 97 of the LIC and 19 of the Law of the National Banking and Securities Commission, Hey Banco is required to inform this authority of the dates of the publications made in the Official Gazette of the Federation and in two widely circulated newspapers of its social domicile, of this official letter of modification, within a period of fifteen business days counted from the date of the aforementioned publications, which must be processed within fifteen business days following the date of receipt of this official letter.

This official letter is issued based on articles 16, penultimate paragraph of the Law of the National Banking and Securities Commission; 14, 19, fraction X, 21, fractions I, subsection c), II and III and last paragraph, 44, fractions I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
