Official Letter Modifying the Authorization Terms for the Organization and Operation of Banco Inbursa, S.A., Multiple Banking Institution, Inbursa Financial Group

OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Banco Inbursa, S.A., Multiple Banking Institution, Inbursa Financial Group.

SUBJECT: THE TERMS OF THE AUTHORIZATION FOR THE ORGANIZATION AND OPERATION OF THAT ENTITY ARE MODIFIED.

We refer to Official Letter No.: 312-1/42963/2024 dated December 13, 2024, through which this Commission approved the reform to the seventh article of the bylaws of Banco Inbursa, S.A., Multiple Banking Institution, Inbursa Financial Group (Banco Inbursa), due to the increase in its social capital by the amount of $15,000,000,000.00, to remain at the amount of $24,000,000,000.00, in terms of the minutes of the extraordinary general shareholders' meeting held on December 30, 2024. The foregoing, in accordance with the last paragraph of Article 9 of the Credit Institutions Law (LIC).

Regarding this, in compliance with the requirement contained in the official letter referred to in the previous paragraph, Banco Inbursa presented to this Commission through the email address VPSupervisionGIFB@cnbv.gob.mx, a digital copy of the first testimony of public deed 123,563 dated January 27, 2025, granted before the notary public Lic. Javier Ceballos Lujambio, notary number 110 of Mexico City and registered in the Public Commerce Registry of this same city on January 27, 2025, under electronic commercial folio 179934, in which the statutory modification in question was formalized.

Therefore, this Commission, based on Article 8, last paragraph of the LIC, has resolved to modify point Second of the "Resolution authorizing the constitution and operation of a multiple banking institution to be named Banco Inbursa, S.A.", [currently Banco Inbursa], contained in Official Letter 101-1505 issued by the Ministry of Finance and Public Credit on September 6, 1993 and published in the Official Gazette of the Federation on the 8th of the same month and year, last modified by Official Letter No.: 312-2/114052/2016 dated October 21, 2016 issued by this Commission, published in the aforementioned Journal on November 10, 2016, to read as follows:

SECOND . -

The company shall have an ordinary social capital of $24,000,000,000.00 (twenty-four billion pesos 00/100 M.N.). The subscribed and paid capital is the amount of $15,000,000,000.00 (fifteen billion pesos 00/100 M.N.).

... "

Likewise, based on Articles 8, last paragraph, 97 of the LIC and 19 of the Law of the National Banking and Securities Commission, this Commission requires Banco Inbursa to inform this authority of the dates of the publications of this official letter carried out in the Official Gazette of the Federation and two widely circulated newspapers from its social domicile, within a period of ten business days counted from the date of the aforementioned publications, which must be processed within the fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, penultimate paragraph of the Law of the National Banking and Securities Commission; 14, 19, fraction X, 21, fractions I, subsection c), II, III and last paragraph, 44, fractions I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
