OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Vifaru, S.A. de C.V., Casa de Bolsa.

We refer to Official Letter No.: 312-1/94413/2023 dated October 19, 2023, through which this Commission took note of the reform to article seven of the bylaws of Vifaru, S.A. de C.V., Casa de Bolsa (Vifaru CB), due to the increase in the fixed portion without withdrawal rights of its social capital by the amount of $248,823,000.00 (two hundred forty-eight million eight hundred twenty-three thousand pesos 00/100 M.N.), bringing the total to $705,748,000.00 (seven hundred five million seven hundred forty-eight thousand pesos 00/100 M.N.), through the capitalization of the account for contributions for future capital increases, in accordance with the Unanimous Resolutions Adopted outside of Shareholders' Meetings dated March 31, April 30, May 28, June 30, July 30, August 27, September 13, October 29, November 26, December 30, 2021, July 1, 2022, and December 5, 2022.

Regarding this matter, and in compliance with the requirement contained in the aforementioned letter, Vifaru CB presented to this Commission on January 11, 2024, via the email VPSupervisionB@cnbv.gob.mx, an electronic copy of the first notarial testimony containing public deed 101,935 dated December 5, 2023, granted before the authority of Lic. Roberto Núñez y Bandera, Notary Number One of Mexico City, and registered in the Public Property and Commerce Registry of this same city on December 14, 2023, under electronic commercial folio 529293, which formalized the bylaw modification in question.

Therefore, this Commission, based on article 114, last paragraph, of the Securities Market Law, has resolved to modify Base Fifth of the "Authorization for the organization and operation of a subsidiary brokerage firm to be named Itaú BBA México Casa de Bolsa, S.A. de C.V.", currently Vifaru, S.A. de C.V., Casa de Bolsa, contained in Official Letter No. P124/2014, issued by this authority on November 10, 2014, and published in the Official Gazette of the Federation on December 3 of the same year, last modified by this Commission through Official Letter No.: 312-2/114039/2016 dated October 11, 2016, published in the aforementioned Gazette on October 25, 2016, to read as follows:

" ...

FIFTH.-

The amount of its paid-up social capital shall be $705,748,000.00 (seven hundred five million seven hundred forty-eight thousand pesos 00/100 M.N.).

... "

Likewise, based on articles 114, last paragraph, 350, and 360 of the Securities Market Law and 19 of the National Banking and Securities Commission Law, this Commission requires Vifaru CB to inform this authority of the dates of publication of this official letter in the Official Gazette of the Federation and two widely circulated newspapers at its social address, within a period of ten business days counted from the date of said publications, which must be processed within fifteen business days following the date of receipt of this official letter.

This official letter is issued based on articles 16, penultimate paragraph, of the National Banking and Securities Commission Law; 14, 19, fraction X, 26, fractions I, subsection g), II, III, and last paragraph, 44, fractions I and IV, and 64, first paragraph, of the Internal Regulations of the National Banking and Securities Commission.
