The National Banking and Securities Commission modifies the authorization for Financiera Más, S.A. de C.V., S.F.P. to organize and function as a popular financial society, specifically updating the First through Eighth bases of its original 2009 authorization. Based on Article 9, second-to-last paragraph, of the Savings and Popular Credit Law and derived from the reform to the FIRST and THIRD clauses of the Articles of Association of Financiera Te Agiliza, S.A. de C.V., S.F.P. (currently, Financiera Más, S.A. de C.V., S.F.P.) approved by this National Banking and Securities Commission through Official Letter No. 311-69183/2020 and 123-5680/2020 dated August 28, 2020, the First, Second, Third, Fourth, Fifth, Sixth, Seventh, and Eighth bases of the authorization granted to said popular financial society to organize and function, through Official Letter No. 310-87144/2009 and 120-85321/2009 dated November 26, 2009, are modified, to read as follows:
" FIRST .- The name of the society is Financiera Más, which shall be followed by the words Sociedad Anónima de Capital Variable, Sociedad Financiera Popular or its abbreviation S.A. de C.V., S.F.P.
SECOND .- Its duration shall be indefinite.
THIRD .- Its corporate purpose shall include carrying out all the operations indicated in Article 36, fraction I, of the Savings and Popular Credit Law.
FOURTH .- Its corporate domicile shall be located in the State of Nuevo León.
FIFTH .-
The society shall have a Level I operational status.
SIXTH .- The authorization referred to in this official letter is, by its very nature,
non-transferable.
SEVENTH .-
The society shall be subject to the supervision of the National Banking and Securities Commission, as well as to auxiliary supervision by a Federation authorized to exercise auxiliary supervision of the popular financial society.
EIGHTH .- The operations that the society enters into by virtue of this authorization, as well as any other operations it carries out, as well as its organization and functioning in general, shall be subject, in matters not expressly stated in this official letter, to the Political Constitution of the United Mexican States, to the treaties or international agreements of which the Mexican State is a party, to the Savings and Popular Credit Law, to the General Law of Commercial Societies, to the general rules and provisions applicable to popular financial societies issued by the Ministry of Finance and Public Credit and the National Banking and Securities Commission, to the provisions regarding its operations issued by the Bank of Mexico, and to other current norms and provisions and those that may be issued in the future by any competent authority, including those related to operations with resources of illicit origin and terrorism financing, which by their nature are applicable to it. "
This official letter is issued based on the legal provisions cited above, as well as in the exercise of the powers conferred in Articles 41, fraction I, and 58 of the Internal Regulations of the National Banking and Securities Commission.
