SUBJECT:

The authorization to organize and operate as a surety institution is modified, granted to Afianzadora Fiducia, S.A. de C.V., due to a change of its denomination.

The Federal Government through the National Commission of Insurance and Sureties, prior to the Agreement of its Board of Directors, based on articles 2, fraction I, 17, 26 and 31, fraction VIII, of the Organic Law of the Federal Public Administration; 2, section D, fraction III of the Internal Regulations of the Ministry of Finance and Public Credit; 11, 369, fraction II, 370, last paragraph, 372, fraction XLI, and 373 of the Law of Insurance and Surety Institutions; as well as articles 4 fractions I and II, 6 and 9 of the Internal Regulations of the National Commission of Insurance and Sureties; issues these Resolutions in attention to the following Background and Considerations:

BACKGROUND

FIRST.- Afianzadora CBL Fiducia, S.A. de C.V., is a surety institution authorized by the Ministry of Finance and Public Credit, through Official Letter 102-E-366-DGSV-l-C-a-1725 of May 31, 1994; this authorization was last modified by this Commission through Official Letter No. 06-C00-41100/ 06545, published in the Official Gazette of the Federation on May 11, 2017.

SECOND.- Through writings received by this Commission on May 17 and August 2, both in 2019, Afianzadora CBL Fiducia, S.A. de C.V., through its legal representative and Legal Director, Lic. Leticia Ramos Garduño, requested approval from this Commission for the modification to articles one and nine of the bylaws of said institution, due to the change of denomination of Afianzadora CBL Fiducia, S.A. de C.V., to Afianzadora Fiducia, S.A. de C.V., as well as the addition of scenarios regarding the transfer of shares.

THIRD.- Through Official Letters 06-C00-41100-35589/2019 of June 27, 2019 and 06-C00-41100- 46914/2019 of September 18, 2019, this Commission approved the reform to articles one and nine of the bylaws of Afianzadora CBL Fiducia, S.A. de C.V., under the terms established in its Extraordinary General Shareholders' Meeting, held on April 10, 2019 and sent by that institution as an annex to its writing of May 17, 2019.

FOURTH.- In that context, Afianzadora CBL Fiducia, S.A. de C.V., through a writing received by this Commission on October 31, 2019, sent the first Testimony of Act number 101,274 of October 21, 2019, which contains the notarization of the Act of the Extraordinary General Shareholders' Meeting of Afianzadora CBL Fiducia, S.A. de C.V., held on April 10, 2019.

FIFTH.- Through Official Letter 06-C00-41100-65447/2019 of December 12, 2019, this Commission ordered that institution to register in the Public Commerce Registry the public deed 101,274 of October 21, 2019, notarized by the Notary Public Number 104 of Mexico City, Lic. José Ignacio Sentíes Laborde, in which the Act of the Extraordinary General Shareholders' Meeting of April 10, 2019 was notarized, by virtue of which the modification of articles one and nine of its bylaws was agreed upon due to the change of denomination of that institution.

SIXTH.- The Board of Directors of this Commission, in its Session 214 of April 28, 2020, taking into consideration the favorable opinion issued by the Authorizations Committee of the same Commission, in its session held on April 21, 2020, agreed to modify the authorization granted to Afianzadora CBL Fiducia, S.A. de C.V. (now Afianzadora Fiducia, S.A. de C.V.), in order to reflect the reforms made in the bylaws of that institution, which are described below:

«UNIQUE.- THE AUTHORIZATION granted to Afianzadora CBL Fiducia, S.A. de C.V., is modified, due to the change of its corporate denomination to Afianzadora Fiducia, S.A. de C.V.

This is based on articles 11 and 369, fraction II, of the Law of Insurance and Surety Institutions.»

CONSIDERATIONS

FIRST.- That article 369, fraction II, of the Law of Insurance and Surety Institutions, provides that it is the competence of the Board of Directors of this Commission to modify the authorizations to organize, operate and function as a surety institution.

SECOND.- That in terms of what is stated in Backgrounds Second to Sixth of this Official Letter, the Board of Directors of this Commission in its session 214 of April 28, 2020 agreed to modify the authorization granted to that surety institution.

In view of the above, the following are issued:

RESOLUTIONS

FIRST.- Article One of the authorization of Afianzadora CBL Fiducia, S.A. de C.V. (now Afianzadora Fiducia, S.A. de C.V.) to organize and function as a surety institution is modified, to remain in the following terms:

«AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT TO AFIANZADORA FIDUCIA, S.A. DE C.V., TO OPERATE AS A SURETY INSTITUTION, UNDER THE FOLLOWING TERMS:

ARTICLE FIRST.- In exercise of the power conferred by the Federal Government by article 5° of the repealed Federal Law of Surety Institutions, to the Ministry of Finance and Public Credit, and which since April 4, 2015, is conferred by article 11 of the Law of Insurance and Surety Institutions, to the National Commission of Insurance and Sureties, authorization is granted to Afianzadora Fiducia, S.A. de C.V., to operate as a surety institution.

ARTICLE THIRD.- The surety institution shall be subject to the provisions of the Law of Insurance and Surety Institutions, as well as those derived from it, to the General Law of Commercial Companies and to the other laws applicable to it and, in particular, to the following bases:

I.-

The denomination shall be Afianzadora Fiducia, Variable Capital Anonymous Society.

SECOND.- The authorization granted to the institution to organize and function as a surety institution, after the modification indicated in the previous Resolutive, remains entirely in the following terms:

«AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT TO AFIANZADORA FIDUCIA, S.A. DE C.V., TO OPERATE AS A SURETY INSTITUTION, UNDER THE FOLLOWING TERMS:

ARTICLE FIRST.- In exercise of the power conferred by the Federal Government by article 5 or of the repealed Federal Law of Surety Institutions, to the Ministry of Finance and Public Credit, and which since April 4, 2015, is conferred by article 11 of the Law of Insurance and Surety Institutions, to the National Commission of Insurance and Sureties, authorization is granted to Afianzadora Fiducia, S.A. de C.V., to operate as a surety institution.

ARTICLE SECOND.- The surety institution is authorized to practice surety operations, in the following branches and sub-branches:

I.

Fidelity Sureties, in the following sub-branches:

a)

Individuals; and

b)

Collective.

II.

Judicial Sureties, in the following sub-branches:

a)

Criminal judicial;

b)

Non-criminal judicial; and

c)

Judicial that cover vehicle drivers.

III.

Administrative Sureties, in the following sub-branches:

a)

Work;

b)

Supply;

c)

Tax;

d)

Leasing; and

e)

Other administrative sureties.

IV.

Credit Sureties, in the following sub-branches:

a)

Supply;

b)

Sales; and

c)

Other credit sureties.

V.

Guarantee Trusts, in the following sub-branches:

a)

Related to surety policies; and

b)

Unrelated to surety policies.

ARTICLE THIRD.- The surety institution shall be subject to the provisions of the Law of Insurance and Surety Institutions, as well as those derived from it, to the Law of General Commercial Companies and to the other laws applicable to it and, in particular, to the following bases:

I.-

The denomination shall be Afianzadora Fiducia, Variable Capital Anonymous Society.

II.-

The social capital shall be variable according to the following:

a)

The institution must have the minimum paid capital that is determined for the year in question, for each branch and sub-branch that it has expressly authorized expressed in Units of Investment and which must be covered in national currency, as ordered by article 49, paragraph first, of the Law of Insurance and Surety Institutions.

b)

The variable part of the capital with withdrawal rights, in no case, may be higher than the amount of the fixed minimum social capital without withdrawal rights.

III.-

The corporate domicile of the surety institution shall be Mexico City.

ARTICLE FOURTH.- By its very nature this authorization is non-transferable.»

THIRD.- This official letter must be published in the Official Gazette of the Federation and in two widely circulated newspapers of the corporate domicile of the institution, within the one hundred twenty days following the date of its notification to Afianzadora Fiducia, S.A. de C.V., in terms of what is provided in article 11 of the Law of Insurance and Surety Institutions, at the expense of the interested parties.

These resolutions are issued based on the information provided by the petitioner contained in the writings sent and are limited exclusively to the modification of the authorization granted to Afianzadora Fiducia, S.A. de C.V., under the terms described that in accordance with the applicable provisions it is the competence of this Commission to resolve, and does not prejudge any act that said society carries out and that implies prior authorization or approval of other financial, administrative, tax or any other nature authorities, in terms of current regulations, nor validates the legality or validity of the same in case said authorizations or approvals are not obtained.

This is based on articles 2, fraction I, 17, 26 and 31 fraction VIII, of the Organic Law of the Federal Public Administration; 2, section D, fraction III, of the Internal Regulations of the Ministry of Finance and Public Credit; 11, 369, fraction II, 370, last paragraph, 372, fraction XLI, and 373 of the Law of Insurance and Surety Institutions; as well as articles 4 fractions I and II, 6 and 9 of the Internal Regulations of the National Commission of Insurance and Sureties.
