The National Commission of Insurance and Sureties modifies the authorization of Seguros Azteca Daños, S.A. de C.V. to suppress the agricultural and livestock insurance line from its authorized operations. Consequently, Article Two of the institution's bylaws is amended to remove this line, reflecting that the institution never commenced operations in this sector. The updated authorization permits the company to operate only in civil liability, professional risks, maritime and transport, fire, automobile, catastrophic risks, and miscellaneous insurance lines. The institution must publish this official letter in the Official Gazette and two widely circulated newspapers within 120 natural days following notification.

SUBJECT:
The authorization to organize, operate, and function as an insurance institution granted to
SEGUROS AZTECA DAÑOS, S.A. DE
C.V. is modified.
The Federal Government, through the National Commission of Insurance and Sureties, prior to the Agreement of its Board of Directors, based on articles 2, fraction I, 17, 26 and 31, fraction VIII, of the Organic Law of the Federal Public Administration; 4, section G, fraction III, 48 and 49 of the Internal Regulations of the Ministry of Finance and Public Credit; 11, 335, first paragraph, fraction I, 366, fraction VIII, 367, fractions I and II, 369,
fraction II, 370, last paragraph, 372, fraction XLI, and 373 of the Law of Insurance and Surety Institutions; as well as in articles 2, 4, fractions I and II, 6 and 9 of the Internal Regulations of the National Commission of Insurance and Sureties; issues these Resolutions in attention to the following Background and Considerations:
BACKGROUND
FIRST.- Seguros Azteca Daños, S.A. de C.V., was authorized by the Ministry of Finance and Public Credit (SHCP) to organize and operate as an insurance institution through official letter 101.-359 of May 25, 2006, published in the Official Gazette of the Federation on August 25 of the same year, authorizing it to practice the operation of damage insurance, in the lines of civil liability and professional risks, maritime and transport, fire, automobiles, miscellaneous, as well as earthquake and other catastrophic risks.
SECOND.- Through official letter 06-C00-41100-22846/2021 of November 3, 2021, published in the aforementioned Official Gazette on March 30, 2022, this Commission modified the authorization of Seguros Azteca Daños, S.A. de C.V., in order to update various legal references and to add the practice of the agricultural and livestock line to its damage operations, so that, according to said publication, the institution is authorized to
" ... practice the operation of damage insurance, in the lines of civil liability and professional risks, maritime and transport, fire, agricultural and livestock, automobile, catastrophic risks and miscellaneous " subject to " ... In the event that the favorable opinion referred to is not obtained, said authorization will become void ... " , this in accordance with what is established in article 12, second paragraph, of the Law of Insurance and Surety Institutions.
Additionally, it was indicated in the Fifth Background of the aforementioned official letter 06-C00-41100-22846/2021 the following: " Through Official Letter 06-C00-41100-14002/2021 of June 17, 2021, this Commission, among other things, ordered that institution to register in the corresponding Public Registry of Commerce, of public deed number 114,521 of May 26, 2021, granted before the notary of Lic. Alejandro Domínguez García Villalobos, holder of Public Notary number 236 of this City, where the statutory reform of Seguros Azteca Daños, S.A. de C.V. is recorded, and through a writing dated August 5, 2021, that institution accredited that said deed was inscribed in the aforementioned registry entity on July 9, 2021, under electronic commercial folio 350628-1 " .
THIRD.- Through a writing presented before this National Commission on January 11, 2022, Seguros Azteca Daños, S.A. de C.V., requested the favorable opinion referred to in article 47 of the Law of Insurance and Surety Institutions, to operate the agricultural and livestock line within the damage operation; however, on February 9, 2023, that institution presented a withdrawal document regarding the request for obtaining the aforementioned favorable opinion. Likewise, by writing dated April 5, 2023, said company presented a copy of the minutes of its extraordinary general shareholders' meeting, held on March 23, 2023, through which it proposed, discussed, and approved the withdrawal of obtaining the favorable opinion referred to in articles 11 and 47 of the Law of Insurance and Surety Institutions.
FOURTH.- By official letter 06-C00-23200-10642/2023 of July 27, 2023, the Vice Presidency of Institutional Operation of this Commission resolved not to grant the favorable opinion
for Seguros Azteca Daños,
S.A. de C.V., to begin practicing the agricultural and livestock line, in the damage operation, attending to the request and documentation presented by the institution.
FIFTH.- Through initial writing presented before this Commission on April 5, 2023 and its extensions received on May 9, 2023, February 13, August 6 and 28, and September 12, 2024, in attention to the information request official letters 06-C00-41100-03529/2023 of April 18, 2023, 06-C00-41100-00378/2024, 06-C00-41000-30324/2024 and 06-C00-41000-31557/2024 of July 8, 14 and 30 of August 2024; Seguros Azteca Daños, S.A. de C.V., requested authorization from this Commission to suppress from its corporate object the agricultural and livestock line, as well as the consequent approval to reform article two of its corporate bylaws, in accordance with what is provided in article 335, fraction I, of the Law of Insurance and Surety Institutions, among others.
SIXTH.- The Board of Directors of this National Commission of Insurance and Sureties in its Session 242,
held on November 19, 2024, taking into consideration the favorable opinion issued by the Authorizations Committee of the same Commission, agreed as follows:
« UNIQUE.- The authorization under which Seguros Azteca Daños, S.A. de
C.V. operates is MODIFIED, in order to suppress the practice of the agricultural and livestock line from the damage operation that it has authorized and, consequently, modify article two of the corporate bylaws of the same institution, in order to provide legal certainty to users of financial services regarding the operation and lines that it has authorized.
This is understood in the sense that the institution did not commence operations in the agricultural and livestock line and, therefore, did not subscribe to any obligation in such line.
... . "
SEVENTH.- Through official letter 06-C00-41000-37424/2024 of November 25, 2024, the aforementioned Agreement of the Board of Directors was notified to Seguros Azteca Daños, S.A. de C.V., and by official letter 06-C00-41100-37426/2024, of the same date, this Commission approved the reform to article two of the corporate bylaws of said institution in order to suppress the agricultural and livestock line from its corporate object.
EIGHTH.- Through official letter 06-C00-41000-05328/2025 of February 17, 2025, this Commission, among other things, ordered that institution to register in the corresponding Public Registry of Commerce of public deed number 124,284 of February 10, 2025, granted before the notary of Lic. Jorge Alfredo Domínguez Martínez, holder of Public Notary number 140 of Mexico City, where the protocolization of the minutes of the extraordinary general shareholders' meeting held on January 10, 2025, is recorded, in which it was agreed, among other things, the reform to article two of the corporate bylaws of Seguros Azteca Daños, S.A. de C.V., by modification of its corporate object in order to suppress the agricultural and livestock line in the damage operation that it has authorized.
CONSIDERATIONS
FIRST.- That article 369, fraction II, of the Law of Insurance and Surety Institutions, provides that it is the competence of the Board of Directors of this Commission to modify the authorizations to organize, operate, and function as an insurance institution.
SECOND.- That as a result of what was resolved in official letters 06-C00-41000-37424/2024
and 06-C00-41100-37426/ 2024, both of November 25, 2024, described in the Seventh Background, it is appropriate to modify the terms of the authorization granted to that insurance institution.
THIRD.- That in terms of what is indicated in the Fifth Background, the Board of Directors of this Commission in its Session 242, of November 19, 2024, agreed to modify the bases of the authorization granted to Seguros Azteca Daños, S.A. de C.V.
In view of all the above, the following are issued:
RESOLUTIONS
FIRST.- Article Two of the authorization granted to Seguros Azteca Daños,
S.A.
of C.V., to organize, operate, and function as an insurance institution, is modified, to remain in the following terms:
" ...
ARTICLE TWO.- The insurance institution is authorized to practice the
damage insurance operation, in the lines of civil liability and professional
risks, maritime and transport, fire, automobile, catastrophic risks and
miscellaneous.
... . "
SECOND. The authorization granted to Seguros Azteca Daños, S.A. de C.V., to organize, operate,
and function as an insurance institution, after the modification indicated in the previous Resolutive, remains entirely in the following terms:
" AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT THROUGH THE NATIONAL
COMMISSION OF INSURANCE AND SURETIES, TO SEGUROS AZTECA DAÑOS, S.A. DE C.V.,
TO ORGANIZE, OPERATE, AND FUNCTION AS AN INSURANCE INSTITUTION,
IN THE FOLLOWING TERMS:
ARTICLE ONE.- In exercise of the faculty conferred by article 5 of the repealed Law
General of Insurance and Mutual Insurance Companies to the Ministry of Finance
and Public Credit, and that, from April 4, 2015, is conferred by article 11 of the Law of
Insurance and Surety Institutions to the National Commission of Insurance and Sureties, it is
authorized Seguros Azteca Daños, S.A. de C.V., to organize, operate, and function as
an insurance institution.
ARTICLE TWO.- The insurance institution is authorized to practice the
damage insurance operation, in the lines of civil liability and professional
risks, maritime and transport, fire, automobile, catastrophic risks and
miscellaneous.
ARTICLE THREE.- The insurance institution shall be subject to the provisions of the Law
of Insurance and Surety Institutions, as well as those derived from it, to the Law
General of Commercial Companies, to the other laws applicable to it and, in
particular, to the following bases:
I.
The denomination shall be Seguros Azteca Daños, Variable Capital Anonymous Company.
II.- The social capital shall be variable according to the following:
a.
Seguros Azteca Daños, S.A. de C.V., must have the minimum paid capital
equivalent in national currency to the value of the Investment Units determined by the
National Commission of Insurance and Sureties, with the agreement of its Board of Directors, through
general provisions, as established in article 49, first paragraph, of the
Law of Insurance and Surety Institutions.
b.
The variable capital with withdrawal right in no case may be greater than the paid
capital without withdrawal right.
III.
The social domicile of the insurance institution shall be Mexico City.
ARTICLE FOUR.- By its very nature, this authorization is non-transferable."
THIRD.- This official letter must be published in the Official Gazette of the Federation and in two newspapers of
wide circulation from the social domicile of Seguros Azteca Daños, S.A. de C.V., within one hundred twenty
natural days following the date of its notification, in terms of what is provided in article 11 of the Law
of Insurance and Surety Institutions, at the expense of the interested parties.
This is issued based on the information provided by the petitioner contained in the
writings sent and is limited exclusively to the modification of the authorization granted to Seguros Azteca
Daños, S.A. de C.V., in the terms described which, in accordance with the applicable provisions, it is the
responsibility of this Commission to resolve, and does not prejudge any act that said company carries out and that implies
the prior authorization or approval of other financial, administrative, tax, or any other
authorities, in terms of current regulations, nor validates the legality or validity of the same in case
of not obtaining said authorizations or approvals.
