OFFICIAL LETTER modifying Base II of Article Three of the authorization granted to La Peninsular Seguros, S.A., derived from the increase in its social capital.

At the margin, a seal with the National Coat of Arms, which reads: United Mexican States.- Ministry of Finance and Public Credit.- Unit of Insurance, Securities and Pensions.- General Adjunct Directorate of Insurance and Sureties.- Subdirectorate of Insurance.- Department of Insurance Authorizations and Operations.- 366-IV-2653/06.-

AUTHORIZATIONS TO INSURANCE INSTITUTIONS . -

The authorization granted to that insurance institution is modified

by increase of its social capital.

In view of the fact that through official letter 366-IV-2644 / 06 of this same date, approval was granted to the

reform agreed upon in its corporate statutes, highlighting the increase in its social capital from $45 ' 500,000.00

to

$65 ' 500,000.00, which was agreed upon in its Extraordinary General Meeting of Shareholders, held on October 12

of last year, which is contained in the testimony of Deed No.

19,739, executed on October 30 of the same year, executed before the notary of Lic. Arturo Talavera Autrique, Public Notary No. 122, with practice in the

Federal District, this Ministry, based on articles 31, fractions VIII and XXV of the Organic Law of the Federal Public Administration, 5th of the General Law of Insurance and Mutual Societies,

32, fraction VIII and 33, fraction IX of the Internal Regulations of this Ministry of Finance and Public Credit and after superior agreement, has resolved to issue the following:

AGREEMENT

Base II of Article THREE of the authorization granted through official letter 366-IV-4100 of

December 11, 1995, modified with the various 366-IV-5260 of October 4, 1996, 366- IV -4360

and

366-IV-6014 of July 10 and October 6, 1997, respectively, 366-IV-1 59 of May 11,

1999 and

366-IV-1755 of April 3, 2002, which authorizes La Peninsular Seguros, S.A., to carry out operations of

life, accident and illness insurance in the lines of personal accident and medical expenses,

property damage in the lines of civil liability and professional risks, maritime and transport, fire,

automobiles, credit exclusively in reinsurance, miscellaneous, as well as earthquake and other catastrophic risks,

to remain in the following form:

" ARTICLE THREE.-

II .- The social capital shall be the amount of $65 ' 500,000.00 (SIXTY-FIVE MILLION FIVE HUNDRED

THOUSAND PESOS 00/100) National Currency.
