The Ministry of Finance and Public Credit modifies the authorization for Grupo Financiero Aserta, S.A. de C.V. to include Corporación de Servicios San José, S.A. de C.V., Grupo Financiero Aserta as a subsidiary within the financial group. This change updates the Fifth Resolutive Clause of the authorization and the complete text of the authorization to reflect the new corporate structure. OFFICIAL LETTER modifying the Fifth Resolutive Clause of the authorization granted to Grupo Financiero Aserta, S.A. de C.V.

The Federal Government, through this Ministry of Finance and Public Credit, based on the provisions of articles 31, fraction VIII of the Organic Law of the Federal Public Administration, 6 of the Law to Regulate Financial Groups, published in the Official Gazette of the Federation on July 18, 1990, applicable in accordance with the Transitional Provision contemplated in article Fifty-second, fraction I, of the "Decree reforming, adding and repealing various provisions in financial matters and issuing the Law to Regulate Financial Groups" published in the Official Gazette of the Federation on January 10, 2014, and 36, fraction VI of the Internal Regulations of the Ministry of Finance and Public Credit, issues the resolution indicated below, in consideration of the following background and considerations:

BACKGROUND

I.

Grupo Financiero Aserta, S.A. de C.V. is a company authorized by this Ministry to be constituted and operate as a holding company and to function as a financial group, as evidenced in resolution 101.-1164 of December 21, 2007, published in the Official Gazette of the Federation on July 8, 2010 and last modified by official letter 366-III-0550/14 of July 9, 2014.

II.

By official letter 366-III-0905/14 of November 3, 2014, the Insurance, Pensions and Social Security Unit:

a)

Authorized the incorporation of Corporación de Servicios San José, S.A. de C.V., Grupo Financiero Aserta into Grupo Financiero Aserta, S.A. de C.V.

b)

Approved the modification to article two of the bylaws of Grupo Financiero Aserta, S.A. de C.V., resulting from said incorporation.

c)

Requested to send within three months following the date of notification of said official letter, the first certified copy and three simple copies of the public deed with registration data in the Public Commerce Registry in which the modification to the bylaws of that financial group is formalized in the terms approved in the Fourth Resolutive Clause of the aforementioned official letter 366-III-0905/14.

III.

By written submission of May 13, 2016, Grupo Financiero Aserta, S.A. de C.V. sent the first certified copy of public deed 96,454 of March 2, 2015, before the authority of Lic. Luis Felipe Morales Viesca, Public Notary No. 22 of Mexico City, in which the formalization of the extraordinary general meeting of shareholders of Grupo Financiero Aserta, S.A. de C.V. of December 4, 2014 is recorded, in which, among others, it was resolved:

a)

The incorporation of Corporación de Servicios San José, S.A. de C.V., Grupo Financiero Aserta into Grupo Financiero Aserta, S.A. de C.V.

b)

The reform to article two of the bylaws of Grupo Financiero Aserta, S.A. de C.V. to read as follows:

ARTICLE TWO.- Shareholding Participation: The company will participate in the capital of the following financial and auxiliary entities:

Afianzadora Aserta, S.A. de C.V., Grupo Financiero Aserta.

Afianzadora Insurgentes, S.A. de C.V., Grupo Financiero Aserta.

Alcanza Seguros, S.A. de C.V.

Corporación de Servicios San José, S.A. de C.V., Grupo Financiero Aserta.

This public deed was registered in the Public Commerce Registry on March 27, 2015, with commercial folio 325441*

CONSIDERATIONS

I.

That as a result of the incorporation of the service company Corporación de Servicios San José, S.A. de C.V., Grupo Financiero Aserta into Grupo Financiero Aserta, S.A. de C.V. and of the reform to article two of the bylaws of the holding company of Grupo Financiero Aserta, S.A. de C.V., as indicated in Background II, the terms of the authorization granted to that financial group must be modified.

II.

That they sent to this Ministry the first certified copy and the three simple copies of public deed 96,454 with registration data in the Public Commerce Registry.

RESOLUTION

First.- The Fifth Resolutive Clause of the authorization granted to Grupo Financiero Aserta, S.A. de C.V. to be constituted and function as a financial group is modified, to read as follows:

"FIFTH.- The financial group will be integrated by the holding company and by the following financial and auxiliary entities:

Afianzadora Aserta, S.A. de C.V., Grupo Financiero Aserta.

Afianzadora Insurgentes, S.A. de C.V., Grupo Financiero Aserta.

Alcanza Seguros, S.A. de C.V.

Corporación de Servicios San José, S.A. de C.V., Grupo Financiero Aserta"

Second.- The authorization granted to Grupo Financiero Aserta, S.A. de C.V. to be constituted and function as a financial group, after the modification indicated in the previous Resolutive Clause, remains in its entirety in the following terms:

FIRST.- In exercise of the power conferred on the Federal Government by article 6 of the Law to Regulate Financial Groups, this Ministry authorizes the constitution and operation of Grupo Financiero Aserta, S.A. de C.V. as a holding company and the operation of the respective financial group integrated in accordance with what is stated in the Fifth point.

SECOND.- The name of the holding company of the financial group to which this refers will be "Grupo Financiero Aserta, S.A. de C.V."

THIRD.- The holding company shall have as its object to acquire and administer shares issued by the members of the financial group.

FOURTH.- Grupo Financiero Aserta, S.A. de C.V. will be the owner at all times of shares representing at least fifty-one percent of the paid-up capital of each of the members of the financial group.

FIFTH.- The financial group will be integrated by the holding company and by the following financial and auxiliary entities:

Afianzadora Aserta, S.A. de C.V., Grupo Financiero Aserta.

Afianzadora Insurgentes, S.A. de C.V., Grupo Financiero Aserta.

Alcanza Seguros, S.A. de C.V.

Corporación de Servicios San José, S.A. de C.V., Grupo Financiero Aserta.

SIXTH.- The social capital of Grupo Financiero Aserta, S.A. de C.V. is variable.

SEVENTH.- The domicile of the holding company will be Mexico City, Federal District.

EIGHTH.- The holding company will be subject to inspection and supervision by the National Insurance and Sureties Commission.

NINTH.- The authorization referred to in this resolution is, by its very nature, non-transferable.

TENTH.- In matters not expressly stated in this resolution, Grupo Financiero Aserta, S.A. de C.V. will be subject to the Law to Regulate Financial Groups, the General Rules for the Constitution and Operation of Financial Groups and the other norms that, by their very nature, are applicable to it, as well as all legislation and regulation currently in force applicable to the matter or that may be issued in the future.

This authorization will be subject to the suspensive condition of this Ministry through the Insurance, Securities and Pensions Unit issuing the approval of the bylaws of the holding company and the single liability agreement in accordance with article 17 of the Law to Regulate Financial Groups. To this effect, Grupo Financiero Aserta, S.A. de C.V. must present to this Department the first certified copies and two simple copies of said instruments.

Third.- This resolution will be published in the Official Gazette of the Federation, at the expense of Grupo Financiero Aserta, S.A. de C.V., in accordance with what is established in article 13 of the Law to Regulate Financial Groups.
