Official Letter Modifying the Second Base of Article Three of the Authorization Granted to Seguros Multiva, S.A., Grupo Financiero Multiva Due to Capital Increase

The document modifies the Second Base of Article Three of the authorization granted to Seguros Multiva, S.A., Grupo Financiero Multiva to set its social capital at 291,500,000 Mexican pesos. This change results from the approval of a statutory reform to increase the company's capital from 280,500,000 to 291,500,000 pesos, as evidenced by Notarial Deed No. 52,252 dated August 9, 2011. OFFICIAL LETTER modifying the Second Base of Article Three of the authorization granted to Seguros Multiva, S.A., Grupo Financiero Multiva, derived from the increase in its social capital.

At the margin, a seal with the National Coat of Arms, which reads: United Mexican States.- Ministry of Finance and Public Credit.- Undersecretariat of Finance and Public Credit.- Insurance, Pensions and Social Security Unit.- 366-114/11.- 731.1/33079.

AUTHORIZATIONS TO INSURANCE INSTITUTIONS.- The authorization granted to that institution is modified due to the increase in its social capital.

SEGUROS MULTIVA, S.A., GRUPO FINANCIERO MULTIVA.

In view of the fact that through official letter 366-II-1130/11 of this same date, approval was granted for the reform agreed upon in Article Six of its bylaws, with the aim of increasing its social capital from $280,500,000.00 to $291,500,000.00, which is contained in the testimony of Deed No. 52,252 granted on August 9, 2011, before the notary public Lic. Erick Namur Campesino, Public Notary No. 94, with practice in the Federal District, this Ministry, based on Articles 31, fractions VIII and XXV of the Organic Law of the Federal Public Administration, Article 5 of the General Law of Insurance and Mutual Societies, and Article 32, fraction VIII, of the Internal Regulations of the Ministry of Finance and Public Credit,

has resolved to issue the following:

AGREEMENT

The Second Base of Article THREE of the authorization granted through official letter 366-IV-4100 of December 11, 1995, modified by various letters 366-IV-5260 of October 14, 1996, 366-IV-4360 and 366-IV-6014 of July 10 and October 6, 1997, respectively, 366-IV-159 of May 11, 1999, 366-IV-1755 of April 3, 2002, 366-IV-2653/06 of November 29, 2006, 366-079/08 of April 23, 2008, 366-173/08 of September 26, 2008, 366-174/08 of September 29, 2008, 366-025/10 of March 2, 2010, 366-121/10 of August 2, 2010, 366-214/10 of December 20, 2010, and 366-215/10 of December 21, 2010, to Seguros Multiva, S.A., Grupo Financiero Multiva, to function as an insurance institution, in order to carry out life, accident, and health insurance operations, in the lines of personal accident and medical expenses, property damage, in the lines of civil liability and professional risks, marine and transport, fire, automobiles, credit exclusively in reinsurance, miscellaneous, as well as earthquake and other catastrophic risks, to remain in the following form:
