RESOLUTION AMENDING AND ADDING VARIOUS PROVISIONS TO THE
GENERAL RULES APPLICABLE TO GENERAL WAREHOUSES AND EXCHANGE HOUSES.
ÉDGAR ABRAHAM AMADOR ZAMORA, Head of the Ministry of Treasury and Public Credit, based on
the articles 31, fraction VIII of the Organic Law of the Federal Public Administration; 1st, 2nd,
second paragraph; 3rd, fraction I; 5th, first paragraph and 6th, first paragraph of the General Law of
Organizations and Auxiliary Credit Activities; and 6, fraction XXXIV of the Internal Regulations of the
Ministry of Treasury and Public Credit, and
CONSIDERING
That on December 31, 2014, the General Rules were published in the Official Gazette of the Federation
applicable to General Warehouses and Exchange Houses, which establish various
general provisions in order to provide in the administrative sphere the implementation
of various regulatory measures established in the General Law of Organizations and Auxiliary Activities of
Credit, including those applicable to the authorizations that correspond to the Ministry of
Treasury and Public Credit to constitute and operate as a general warehouse, as well as the
prudential norms that such auxiliary credit organizations must observe;
That on March 26, 2024, the "Decree reforming, adding and repealing various provisions of the General Law of Titles and Credit Operations and
of the General Law of Organizations and Auxiliary Credit Activities" was published in the Official Gazette of the Federation;
That the legal reform indicated in the previous paragraph has as its main public policy objectives
strengthen legal certainty, increase transactionality and, consequently, improve
conditions for access to financing, mainly of the agricultural sector, through the digitization of
the deposit certificates issued by general warehouses;
That to achieve the above, the legislator determined that deposit certificates will only be
issued in electronic, optical or any other technology, through the cryptographic system(s) that the issuers of said credit titles determine;
That another of the regulatory measures established in the Reform Decree focuses on the elimination
of the pledge bond, and instead, the electronic deposit certificate must incorporate the data and
information related to pledge credits that, if any, are constituted on the goods or
merchandise covered by said credit title;
That, in the event of a plurality of cryptographic systems, the legislator determined that they
must be interconnected, in order to guarantee to legitimate holders, pledge creditors,
supervisory and judicial authorities and other participants in operations carried out under the
protection of electronic deposit certificates that the information of the titles is accessible;
That, taking into account the scope of the analyzed legal reform, general warehouses
must establish a cryptographic system that performs the necessary functionalities to guarantee the
issuance of deposit certificates and the security of operations related to said titles; and
That with the purpose of complying with the Second Transitory Article of the "Decree reforming, adding and repealing various provisions of the General Law of Titles and Credit Operations and
of the General Law of Organizations and Auxiliary Credit Activities", through this instrument,
the requirements that authorization applications must satisfy to organize and operate
as a general warehouse are updated, including the documentation and information necessary to demonstrate that the functionalities of the cryptographic system they determine comply with the applicable legal and regulatory framework,
has resolved to issue the following:

WAREHOUSES AND EXCHANGE HOUSES

Articles 1, fractions I, II, III, IV, V and VI; 5, fraction I, subparagraphs c) and d); and
fractions VI, VII, VIII, IX, X and XI are added to Article 1; Article 2 Bis, Chapter II Bis, titled
"Of the Cryptographic System of general warehouses", and Articles 2 Bis I, and 2 Bis II, of the
"General Rules applicable to General Warehouses and Exchange Houses", published in the
Official Gazette of the Federation on December 31, 2014, to read as follows:

Chapter II
Of the authorizations to constitute and operate as a general warehouse and to
operate
as an exchange house
Article 2. -

Article 2 Bis. - Additionally, to organize and operate as a general warehouse, the
authorization applications must be accompanied by the following documentation and information:
I. Cryptographic System Operation Manual.
II. Copy of the service provision contract that has been celebrated with a PSC, duly
accredited by the Ministry of Economy.
Chapter II Bis
Of the Cryptographic System of general warehouses
Article 2 Bis I. - The Cryptographic System defined by the general warehouse must comply with
what is established in these Rules, the general provisions issued by the Commission, the
issued by the Ministry of Economy and any other regulation applicable to it.
Article 2 Bis II. - Said System must have the functionality that allows verifying compliance
with the conservation of the issued deposit certificate, in the terms indicated by the Official Mexican Standard,
referred to in Article 49 of the Code. This functionality must allow verifying the following:
I.
That the digital fingerprint corresponding to the deposit certificate coincides with that incorporated in
the conservation certificate generated for said certificate;
II.
That the time stamp incorporates the exact date and time of its generation; and
III.
That both the conservation certificate and the time stamp were issued by a
PSC
authorized.
The Cryptographic System must include the functionality described in this article, including a
user manual that allows performing the corresponding verification, both will be available in a specific
section with easy access for system users.

TRANSITORY
FIRST. - This Resolution will enter into force the day following its publication in the Official Gazette
of the Federation.
SECOND. - General Warehouses, no later than nine months following the
publication of this Resolution, must adapt the operation of their cryptographic systems to the
content thereof. Until said deadline is met and with the purpose of safeguarding legal certainty
of the operations carried out with deposit certificates, General Warehouses may
continue providing the certification service in accordance with what is provided in Article FOURTH
Transitory of the "Decree reforming, adding and repealing various provisions of the General Law
of Titles and Credit Operations and the General Law of Organizations and Auxiliary Credit Activities
Credit", published in the Official Gazette of the Federation on March 26, 2024.
