Resolution modifying the authorization for the merger-based disincorporation of state-majority companies excluding Aerolineas del Estado Mexicano

This resolution modifies a prior 2023 authorization to exclude Aerolineas del Estado Mexicano, S.A. de C.V. from the merger-based disincorporation process with Grupo Aeroportuario, Ferroviario, de Servicios Auxiliares y Conexos, Olmeca-Maya-Mexica, S.A. de C.V. The three airport entities (Palenque, Chetumal, and Tulum) remain subject to the original merger timeline, while Aerolineas del Estado Mexicano retains its independent legal personality and assets. The Secretary of National Defense is tasked with executing the necessary acts to finalize this exclusion by December 31, 2026, and to comply with all applicable fiscal and administrative obligations.

RESOLUTION modifying the one through which the disincorporation by merger of the state-majority participation companies named Aeropuerto Internacional de Palenque, Señor Pakal, S.A. de C.V.; Aeropuerto Internacional de Chetumal, Cuna del Mestizaje, S.A. de C.V.; Aeropuerto Internacional de Tulum, Zamá, S.A. de C.V., and Aerolineas del Estado Mexicano, S.A. de C.V., with the Grupo Aeroportuario, Ferroviario, de Servicios Auxiliares y Conexos, Olmeca-Maya-Mexica, S.A. de C.V., as the merging entity, published on August 17, 2023, is modified.

PRESENT.

I refer to letter number ND/N02/20858/9379, dated April 22, 2025, issued by the Chief Official of the Ministry of National Defense, through which it requests modifying the "Resolution through which the disincorporation by merger of the state-majority participation companies named Aeropuerto Internacional de Palenque, Señor Pakal, S.A. de C.V.; Aeropuerto Internacional de Chetumal, Cuna del Mestizaje, S.A. de C.V.; Aeropuerto Internacional de Tulum, Zamá, S.A. de C.V., and Aerolineas del Estado Mexicano, S.A. de C.V., with the Grupo Aeroportuario, Ferroviario, de Servicios Auxiliares y Conexos, Olmeca-Maya-Mexica, S.A. de C.V., as the merging entity," published in the Official Journal of the Federation on August 17, 2023, in order to exclude the state-majority participation company named Aerolineas del Estado Mexicano, S.A. de C.V., from the disincorporation by merger process with the Grupo Aeroportuario, Ferroviario, de Servicios Auxiliares y Conexos, Olmeca-Maya-Mexica, S.A. de C.V., referred to in said Resolution.

Regarding this, based on articles 31, fraction XXXIV, and 46, fraction II, of the Organic Law of the Federal Public Administration; 28, 30, and 31 of the Federal Law of Parastate Entities; 8 of the Federal Budget and Fiscal Responsibility Law; 5 of the Regulation of the Federal Law of Parastate Entities; 8, 8 B, 8 C, and 8 D of the Regulation of the Federal Budget and Fiscal Responsibility Law, and 3, first paragraph, of the Internal Regulation of the Ministry of Treasury and Public Credit, and

CONSIDERING

That on August 17, 2023, the "Resolution through which the disincorporation by merger of the state-majority participation companies named Aeropuerto Internacional de Palenque, Señor Pakal, S.A. de C.V.; Aeropuerto Internacional de Chetumal, Cuna del Mestizaje, S.A. de C.V.; Aeropuerto Internacional de Tulum, Zamá, S.A. de C.V., and Aerolineas del Estado Mexicano, S.A. de C.V., with the Grupo Aeroportuario, Ferroviario, de Servicios Auxiliares y Conexos, Olmeca-Maya-Mexica, S.A. de C.V., as the merging entity" was published in the Official Journal of the Federation;

That Section Two of the aforementioned Resolution established, among other things, the maximum deadline of August 21, 2023, to conclude the disincorporation by merger process referred to therein, taking effect no later than September 1, 2023, for Aeropuerto Internacional de Palenque, Señor Pakal, S.A. de C.V., Aeropuerto Internacional de Chetumal, Cuna del Mestizaje, S.A. de C.V., and Aeropuerto Internacional de Tulum, Zamá, S.A. de C.V.; as well as a maximum deadline of February 1, 2024, for Aerolineas del Estado Mexicano, S.A. de C.V.;

That Section Six of the aforementioned Resolution provided that the Ministry of National Defense, as the coordinating sector dependency, should carry out the necessary acts to comply with the obligations established in fiscal, administrative, and generally applicable provisions that arise from the disincorporation by merger resulting from said Resolution;

That through letter number ND/N02/20517/5150, dated March 5, 2025, the Chief Official of the Ministry of National Defense requested the Executive Secretary of the Intersecretarial Commission for Public Spending, Financing, and Disincorporation to issue a favorable opinion for the modification of Agreement 23-II-9, dated August 7, 2023, through which the disincorporation by merger of the state-majority participation companies was favorably assessed: (i) Aeropuerto Internacional de Palenque, Señor Pakal, S.A. de C.V.; (ii) Aeropuerto Internacional de Chetumal, Cuna del Mestizaje, S.A. de C.V.; (iii) Aeropuerto Internacional de Tulum, Zamá, S.A. de C.V., and (iv) Aerolineas del Estado Mexicano, S.A. de C.V., as merged entities with the Grupo Aeroportuario, Ferroviario, de Servicios Auxiliares y Conexos, Olmeca-Maya-Mexica, S.A. de C.V., as the merging entity;

That the foregoing, with the purpose of excluding Aerolineas del Estado Mexicano, S.A. de C.V. from the aforementioned disincorporation process with the Grupo Aeroportuario, Ferroviario, de Servicios Auxiliares y Conexos, Olmeca-Maya-Mexica, S.A. de C.V., and to have said disincorporation by merger process concluded for the rest of the companies;

That the Intersecretarial Commission for Public Spending, Financing, and Disincorporation, in its Second Ordinary Session 2025, held on March 27, 2025, issued Agreement 25-II-5, through which, among other things, it favorably assessed the modification of Agreement 23-II-9, dated August 7, 2023, to exclude Aerolineas del Estado Mexicano, S.A. de C.V. from the disincorporation by merger process with the Grupo Aeroportuario, Ferroviario, de Servicios Auxiliares y Conexos, Olmeca-Maya-Mexica, S.A. de C.V., as well as the update of the Strategic Plan for such effects;

That the aforementioned Intersecretarial Commission for Public Spending, Financing, and Disincorporation established in said Agreement 25-II-5, December 31, 2026, as the deadline to conclude the mentioned process among the involved entities, and to conclude closing and post-closing activities, without exceeding the stated deadline, and

That, in view of the foregoing, by agreement of the Head of the Federal Executive, I have deemed it appropriate to issue the following:

RESOLUTION

FIRST.- Sections One, Two, and Three of the "Resolution through which the disincorporation by merger of the state-majority participation companies named Aeropuerto Internacional de Palenque, Señor Pakal, S.A. de C.V.; Aeropuerto Internacional de Chetumal, Cuna del Mestizaje, S.A. de C.V.; Aeropuerto Internacional de Tulum, Zamá, S.A. de C.V., and Aerolineas del Estado Mexicano, S.A. de C.V., with the Grupo Aeroportuario, Ferroviario, de Servicios Auxiliares y Conexos, Olmeca-Maya-Mexica, S.A. de C.V., as the merging entity," published in the Official Journal of the Federation on August 17, 2023, are modified, to read as follows:

" FIRST.- The disincorporation by merger of the state-majority participation companies named Aeropuerto Internacional de Palenque, Señor Pakal, S.A. de C.V.; Aeropuerto Internacional de Chetumal, Cuna del Mestizaje, S.A. de C.V., and Aeropuerto Internacional de Tulum, Zamá, S.A. de C.V., with the Grupo Aeroportuario, Ferroviario, de Servicios Auxiliares y Conexos, Olmeca-Maya-Mexica, S.A. de C.V., as the merging entity, is authorized, in terms of the General Law of Mercantile Societies, the Federal Law of Parastate Entities, the Regulation of the Federal Law of Parastate Entities, and other applicable legal provisions.

SECOND.- In accordance with Agreement 23-II-9, issued by the Intersecretarial Commission for Public Spending, Financing, and Disincorporation, in its Second Ordinary Session 2023, held on August 7, 2023, the maximum deadline of August 21, 2023, is established to conclude the disincorporation by merger process referred to in this Resolution, taking effect no later than September 1, 2023, for Aeropuerto Internacional de Palenque, Señor Pakal, S.A. de C.V., Aeropuerto Internacional de Chetumal, Cuna del Mestizaje, S.A. de C.V., and Aeropuerto Internacional de Tulum, Zamá, S.A. de C.V.

THIRD.- The state-majority participation companies named Aeropuerto Internacional de Palenque, Señor Pakal, S.A. de C.V.; Aeropuerto Internacional de Chetumal, Cuna del Mestizaje, S.A. de C.V., and Aeropuerto Internacional de Tulum, Zamá, S.A. de C.V., will retain their legal personality exclusively for the effects of the disincorporation by merger process, in terms of the applicable legal provisions. "

SECOND.- In accordance with Agreement 25-II-5, issued by the Intersecretarial Commission for Public Spending, Financing, and Disincorporation, in its Second Ordinary Session 2025, held on March 27, 2025, December 31, 2026, is established as the maximum deadline to conclude the process to exclude Aerolineas del Estado Mexicano, S.A. de C.V. from the disincorporation by merger with the Grupo Aeroportuario, Ferroviario, de Servicios Auxiliares y Conexos, Olmeca-Maya-Mexica, S.A. de C.V., referred to in this Resolution.

THIRD.- The state-majority participation company named Aerolineas del Estado Mexicano, S.A. de C.V. will retain its own legal personality and assets, in terms of the applicable legal provisions, independently from the state-majority participation company named Grupo Aeroportuario, Ferroviario, de Servicios Auxiliares y Conexos, Olmeca-Maya-Mexica, S.A. de C.V., both grouped in the sector coordinated by the Ministry of National Defense.

FOURTH.- The Ministry of National Defense, in its capacity as sector coordinator and in its capacity as majority shareholder of the state-majority participation companies named Aerolineas del Estado Mexicano, S.A. de C.V. and Grupo Aeroportuario, Ferroviario, de Servicios Auxiliares y Conexos, Olmeca-Maya-Mexica, S.A. de C.V., will carry out the necessary acts and management to comply with this Resolution.

FIFTH.- The Ministry of National Defense, as the coordinating sector dependency, must carry out the necessary acts to comply with the obligations established in fiscal, administrative, corporate, and, in general, all applicable provisions that arise from the modification referred to in this Resolution, with the objective of excluding Aerolineas del Estado Mexicano, S.A. de C.V. from the disincorporation by merger process with the Grupo Aeroportuario, Ferroviario, de Servicios Auxiliares y Conexos, Olmeca-Maya-Mexica, S.A. de C.V., resulting from this Resolution.

SIXTH.- The expenditures generated from the exclusion of Aerolineas del Estado Mexicano, S.A. de C.V. from the disincorporation by merger process with the Grupo Aeroportuario, Ferroviario, de Servicios Auxiliares y Conexos, Olmeca-Maya-Mexica, S.A. de C.V., referred to in this Resolution, will be charged to the budget authorized for the Ministry of National Defense in the current fiscal year and subsequent ones; and with respect to their legal life and operation, each of the aforementioned companies will be subject to what is provided in the applicable provisions.

SEVENTH.- The Anti-Corruption and Good Government Secretariat, in accordance with its attributes, will supervise the proper compliance with what is established in this Resolution.

EIGHTH.- This Resolution will enter into force the day following its publication in the Official Journal of the Federation.
