Resolution of the Request for Revocation of Authorization to Organize and Operate as an Electronic Payment Fund Institution to SDMX Superdigital, S.A. de C.V.

The National Banking and Securities Commission declares the revocation of the authorization granted to SDMX Superdigital, S.A. de C.V. to organize and operate as an Electronic Payment Fund Institution. The Interinstitutional Committee approved this revocation unanimously following the entity's formal request. SDMX Superdigital is required to provide a copy of the public instrument formalizing this revocation, including commercial registry data, within forty-five business days of the instrument's registration.

In terms of articles 1 and 2 of the Law of the National Banking and Securities Commission (LCNBV), this

National Banking and Securities Commission (Commission) is a decentralized body of the Ministry of

Treasury and Public Credit, whose purpose is to supervise and regulate, within its competence, the

entities comprising the Mexican financial system, in order to ensure their stability and proper

operation, as well as to maintain and foster the healthy and balanced development of said system as a

whole, in protection of the public's interests. Pursuant to article 4, fractions XI and XXXVIII of said

Law, the Commission is responsible for agreeing to the revocation of authorizations for the constitution

and operation of those entities specified by the Laws, as well as exercising the other powers attributed

to it by the LCNBV.

In that order of ideas, article 69 of the Law to Regulate Financial Technology Institutions

(LRITF) establishes that this Commission may declare the revocation of the authorization granted to a

Financial Technology Institution (FTI), after hearing the affected FTI, and with the approval of the

Interinstitutional Committee.

Exposing the above, with writings and attachments received at this Commission on May 23, July 8, August 12

and August 29, 2025, as well as May 27, 2026, through the email address

autorizacionfintech@cnbv.gob.mx in accordance with what is provided in the "AGREEMENT by which

administrative measures are established for the continuity of the activities of the National Banking and

Securities Commission in the attention of matters processed before it, during the health contingency caused

by COVID-19", published in the Official Gazette of the Federation (DOF) on July 15, 2020, through

which, You, in your capacity as legal representatives of SDMX SUPERDIGITAL, S.A. de C.V.,

Electronic Payment Fund Institution (Superdigital or Entity), requested the revocation of the

authorization granted to organize and operate as an electronic payment fund institution, in

terms of what is established in article 69, fraction IX and other applicable provisions of the LRITF.

As a background, the following should be noted:

Through office P422/2021 dated November 3, 2021, notified on November 8 of the same

year, the Commission authorized the organization and operation of an Electronic Payment Fund

Institution to be named SDMX SUPERDIGITAL, S.A. de C.V., Electronic Payment Fund

Institution.

Through office number 311-10037913/2021 dated November 3, 2021, notified on November 8,

2021, this Commission informed Superdigital of various requirements, in

order for it to be in a position to prove the requirements established in article 40 of the

LRITF, for the start of its operations.

Through office number 118/28111265/2023 dated January 23, 2023, notified on January 24

2023, this Commission expressed to Superdigital no objection to starting

operations in accordance with the Business Plan presented.

CONSIDERING

FIRST.- That as a result of the analysis carried out on the request to carry out the revocation of the

authorization for the organization and functioning of Superdigital as an electronic payment fund

institution, it was determined that it is duly integrated and formally complies with the legal and

documentary requirement provided for in the applicable regulations; and

SECOND.- That from the legal, financial, operational, as well as operational risk and

technological, information security and prevention of operations with resources of illicit origin and

terrorism financing perspective, it is appropriate to declare the revocation of the authorization in question, in the

terms of the proposal presented.

In this vein, the members of the Interinstitutional Committee in extraordinary session held on August 19

2026, based on article 69, fraction IX of the LRITF; established among others, the

following:

AGREEMENT

"EIGHTH.- The members of the Interinstitutional Committee, in accordance with article 69,

fraction IX of the Law to Regulate Financial Technology Institutions, approved by

unanimity that the revocation of the authorization granted by the

National Banking and Securities Commission, through office number P422/2021 dated November 3,

2021, to SDMX SUPERDIGITAL, S.A. de C.V., to organize and operate as

Electronic Payment Fund Institution, in accordance with the proposal

presented."

Based on the above, it is

RESOLVED

UNIQUE.-

This Commission, based on article 69, fraction IX of the Law to Regulate the

Financial Technology Institutions, declares the revocation of the authorization granted to

SDMX SUPERDIGITAL, S.A. de C.V., Electronic Payment Fund

Institution through office P422/2021 dated November 3, 2021.

This office letter is issued based on the documentation and information that was exhibited to this Commission

and does not imply any pronouncement, regarding any other acts that are not

expressly provided for in it, therefore it does not validate or prejudge the legality or validity of these.

Finally, based on articles 19 of the LCNBV and 69, penultimate paragraph of the LRITF, it is

required for Superdigital to provide this Commission with a copy of the public instrument in which

the revocation of the authorization in question is formalized, with the registration data in the Public

Commerce Registry, within a period of forty-five business days counted from the day following the date of

registration of said deed. This is understood to mean that the registration must be processed within

fifteen business days following the date on which the protocolization of the revocation

referenced is formalized.

This office letter is issued based on the legal provisions referred to above, as well as in

exercise of the powers conferred on this Commission in articles 142 and 145, fraction IV, of the LRITF; 16

penultimate paragraph and 19 of the Law of the National Banking and Securities Commission; 1, 3, fraction V, 4,

fractions I, section B, and II, section B, numerals 6) and 32), 14, 19, fraction XVI, 45, fractions I, III and IX, and

64, third and last paragraph of the Internal Regulations of the National Banking and Securities Commission, published

in the DOF on February 28, 2022; 11, fraction IX, numeral 21) and 37, fraction X, numeral 16) of the Agreement by

which the President of the National Banking and Securities Commission delegates powers to the Vice Presidents,

General Directors and Coordinators of the same Commission, published in the DOF on November 30,

2015, last modified on May 14, 2026; as well as articles 1, fractions III and IX,

3, fraction III and 9, fraction II of the Agreement by which the Administrative Units are organically attached

of the National Banking and Securities Commission, published in the DOF on April 18, 2022 and modified by

last time on May 14, 2026.
