SECP Code of Corporate Governance

The Securities and Exchange Commission of Pakistan (SECP) issued the 2012 Code of Corporate Governance to mandate enhanced governance standards for all listed companies in Pakistan. The framework requires balanced board composition with at least one-third independent directors, separation of the Chairman and CEO roles, and mandatory certification through approved Directors’ Training Programs. It further enforces strict disclosure of related party transactions, specific qualifications for Chief Financial Officers and Heads of Internal Audit, and comprehensive financial reporting with internal control assessments.
