The Superintendent of the Securities Market
HAVING SEEN:
File No. 2025001575 and Report No. 594-2026-SMV/06 from the Legal Advisory Office, through which it issues an opinion on the appeal filed by Empresa Agroindustrial Tumán S.A.A. (hereinafter, TUMÁN) against the Adjunct Superintendent Resolution No. 073-2025-SMV/11 (hereinafter, THE APPEALED RESOLUTION);
CONSIDERING:
That, through THE APPEALED RESOLUTION, it was decided to sanction TUMÁN with a total fine of 350 UIT, for having committed fourteen (14) infractions of a serious nature, according to the following detail:
A) Thirteen (13) infractions, typified in subsection 2.10 of section 2 of Annex I of the Sanctions Regulation1, approved by SMV Resolution No. 035-2018-SMV/01 (hereinafter, Sanctions Regulation); five (05) of them, for not having presented the following material facts: i) the transfer of 10,000 shares representing the social capital of the Issuer made in favor of YIELDING ACCOUNTING SYSTEMS INC. on December 12, 2022, ii) the transfer of 5,000 shares representing the social capital of the Issuer made in favor of YIELDING ACCOUNTING SYSTEMS INC. on December 16, 2022, iii) the transfer of 10 shares representing the social capital of the Issuer made in favor of YIELDING ACCOUNTING SYSTEMS INC. on December 22, 2022, iv) the transfer of 9,900 shares representing the social capital of the Issuer made in favor of YIELDING ACCOUNTING SYSTEMS INC. on December 30, 2022 and v) the transfer of 2,760 shares representing the social capital of the Issuer made in favor of YIELDING ACCOUNTING SYSTEMS INC. on April 19, 2023; Eight (08) of them for not having presented the following financial information: i) the Individual Interim Financial Statements as of June 30, 2023 and its respective Management Report, ii) Individual Interim Financial Statements as of September 30, 2023 and its respective Management Report, iii) the Individual Interim Financial Statements as of December 31, 2023 and its respective

Management Report, iv) the Audited Individual Annual Financial Statements for the 2023 fiscal year and its respective Audit Report, v) the Annual Report for the 2023 fiscal year, vi) the Individual Interim Financial Statements as of March 31, 2024 and its respective Management Report, vii) the Individual Interim Financial Statements as of June 1, 2024 and its respective Management Report and viii) Individual Interim Financial Statements as of September 30, 2024 and its respective Management Report;
B) One (1) infraction, typified in subsection 2.33 of section 2 of Annex I of the aforementioned Regulation2, for failing to comply with the information request made by the SMV, through Letter No. 5375-2022-SMV/11.1 of October 22, 2022;
That, on December 2, 2025, TUMÁN filed an appeal (hereinafter the APPEAL), with the aim that THE APPEALED RESOLUTION be revoked for violation of the Principles of Legality, Reasonableness, Right of Defense and Due Process;
That, from the evaluation carried out, it is observed that the appeal meets the requirements established in articles 1133, 2074, 2095 and 2116 of Law No. 27444, General Administrative Procedure Law7 (hereinafter, LPAG), having been filed within the fifteen (15) days of notification of the administrative act and that it is based on issues of pure law and meets the other requirements established by the regulation;
That, the appeal is based on the arguments that are summarized and analyzed throughout this RESOLUTION;
That, with respect to charges No. 1 to No. 58, related to not communicating various material facts, TUMÁN alleges that the five operations observed by the SMV, in no way can be considered as important, to be qualified as material facts, for the following reasons:

total of 9.265%, less than 10% to be considered an important shareholder and much less a majority shareholder;
That, regarding this, it should be noted that the Securities Market Law (hereinafter, LMV), approved by Legislative Decree No. 861, states: "Article 28.- Material Facts.- The registration of a certain security or issuance program entails for its issuer the obligation to inform the SMV and, if applicable, to the respective stock exchange or entity responsible for the conduct of the centralized mechanism, of the material facts, including ongoing negotiations, about itself, the security and the offer made of it, as well as that of disclosing such facts in a truthful, sufficient and timely manner. The information must be provided to these institutions and disclosed as soon as the fact occurs or the issuer takes knowledge of it, as the case may be. The importance of a fact is measured by the influence it may exercise on a reasonable investor to modify their decision to invest or not in the security. Article 29.- Financial Information.- The provisions of the previous article do not relieve the issuer of the timely delivery to the SMV and, if applicable, to the respective stock exchange or entity responsible for the conduct of the centralized mechanism, of the information that one or the other require from it and, necessarily, the one indicated below: a) Its financial statements and indicators, with the minimum information that the SMV generally indicates, with a frequency not greater than quarterly; and, b) Its annual report, with the minimum information that the SMV generally establishes. These documents must be available to the security holders at the issuer's headquarters."
That, likewise, articles 3 and 4 of the RHI establish: "Article 3.- Definition of material fact Material fact is any act, decision, agreement, fact, ongoing negotiation or information referred to the Issuer, its securities or its businesses that have the capacity to significantly influence: 3.1. The decision of a reasonable investor to buy, sell or hold a security; or, 3.2. The liquidity, price or quotation of the issued securities. Likewise, it includes information about the Issuer's economic group that it knows or should reasonably know, and that has the capacity to significantly influence the Issuer or its securities, as stated in this Regulation.
a) Reconsideration resource b) Appeal resource Only in case that by law or legislative decree it is expressly established, the interposition of the administrative review resource is possible. 207.2 The term for the interposition of the resources is fifteen (15) peremptory days, and they must be resolved within thirty (30) days, with the exception of the reconsideration resource which is resolved within fifteen (15) days. 8 A. MATERIAL FACTS Charge No. 1 Not to communicate as a material fact the transfer of 10,000 shares representing the social capital of the Issuer made in favor of YIELDING ACCOUNTING SYSTEMS INC. on December 12, 2022; which should have been communicated as soon as the fact occurred or knowledge was taken of it; nevertheless, it has not been communicated to date. Charge No. 2 Not to communicate as a material fact the transfer of 5,000 shares representing the social capital of the Issuer made in favor of YIELDING ACCOUNTING SYSTEMS INC. on December 16, 2022; which should have been communicated as soon as the fact occurred or knowledge was taken of it; nevertheless, it has not been communicated to date. Charge No. 3 Not to communicate as a material fact the transfer of 10 shares representing the social capital of the Issuer made in favor of YIELDING ACCOUNTING SYSTEMS INC. on December 22, 2022; which should have been communicated as soon as the fact occurred or knowledge was taken of it; nevertheless, it has not been communicated to date. Charge No. 4 Not to communicate as a material fact the transfer of 9,900 shares representing the social capital of the Issuer made in favor of YIELDING ACCOUNTING SYSTEMS INC. on December 30, 2022; which should have been communicated as soon as the fact occurred or knowledge was taken of it; nevertheless, it has not been communicated to date. Charge No. 5 Not to communicate as a material fact the transfer of 2,760 shares representing the social capital of the Issuer made in favor of YIELDING ACCOUNTING SYSTEMS INC. on April 19, 2023; which should have been communicated as soon as the fact occurred or knowledge was taken of it; nevertheless, it has not been communicated to date. It should be specified that, according to the information sent by the Issuer that is in the Public Registry of the Securities Market, as of July 31, 2015 the participation percentage of the shareholder YIELDING ACCOUNTING SYSTEMS INC. amounted to 15%. All these transfers are in the file for verification.

significant influence on the Issuer or its securities, in accordance with what is stated in this Regulation. Article 4.- Criteria to determine the capacity for significant influence of information To evaluate the capacity for significant influence of the information and its possible qualification as a material fact, the Issuer must consider the relevance of the act, agreement, fact, ongoing negotiation, decision or set of circumstances in its activity, assets, results, financial situation or general business or commercial position; or in its securities or in the offer of these; as well as in the price or negotiation of its securities." (Emphasis added);
That, additionally to the cited articles, article 5 of the RHI states: "Article 5.- Information that by its nature may qualify as a material fact 5.1. In the Annex that forms part of this Regulation, an enumerative list of facts, acts, agreements and decisions is included, which aims to facilitate the Issuer in the identification, qualification and classification of information that could qualify as a material fact. 5.2. The scenarios of the Annex must be communicated as material facts when they have the capacity to significantly influence as defined in articles 3 and 4. If any act, decision, agreement, fact or ongoing negotiation is not in said Annex does not necessarily imply that it does not qualify as a material fact, being communicated as such if it complies with what is stated in the cited articles. What is stated in this subsection is not applicable to the specific scenarios contained in the current regulation approved by the SMV that qualifies certain scenarios as material facts. 5.3. In all cases the Issuer must act diligently to communicate its material facts, and in case of doubt about whether information qualifies as a material fact, it must opt to reveal it as such. Any reference to Annex in this article shall be understood as referring to Annex 1."
That, for its part, subsection 6 of Annex 1 of the RHI, to which the aforementioned article 5 refers, provides: "Annex No. 1 (...) Control Unit and Related Parties 6. The transfers of shares representing the social capital made by persons who directly or indirectly possess ten percent (10%) or more of the capital of the issuer or those that as a result of an acquisition or alienation come to have or cease to possess said percentage. (...) " (Emphasis added);
That, in that sense, it can be indicated that TUMÁN, by maintaining values registered in the Public Registry of the Securities Market, is obliged to comply with the presentation of periodic and eventual information in a clear, truthful, sufficient and timely manner;
That, from what is stated in the cited norms, it is observed that, for a fact to be considered as material for the securities market, it must have the capacity to significantly influence: i) in the decision of a reasonable investor to carry out operations in the securities market; or ii), in the liquidity, price or quotation of the securities. It can be observed that these are alternative scenarios;
That, in the present case, TUMÁN alleges that the operations carried out cannot be considered as material facts because YIELDING ACCOUNTING SYSTEMS, INC. does not reach 10% of the issued values so that, in its opinion, it cannot be considered an "important shareholder and much less a majority shareholder". The appellant bases this aspect of the appeal on the information contained in TUMÁN's Annual Report of 2013;
That, nevertheless, the information contained in the Annual Report of 2013 is not the most up-to-date information. According to information in the Public Registry of the Securities Market9, since July 31, 2015, YIELDING ACCOUNTING SYSTEMS, INC. holds 15% of the total values issued by TUMÁN, while the operations subject to the infraction correspond to the years 2022 and 2023;
That, in that sense, according to what is stated in the RHI and in Annex 1 of said Regulation, the operation of transfer of shares in favor of YIELDING ACCOUNTING SYSTEMS, INC. qualified as a Material Fact, for exceeding the minimum threshold of 10%;
That, with respect to charges No. 6 to No. 1310, TUMÁN alleges that the SMV has not considered the corporate situation of the company, during the last decades, which has been in the hands of judicial administrators who have not fulfilled their labor adequately;

FINANCIAL INFORMATION THAT SHOULD HAVE BEEN PRESENTED IN 2024 Charge No. 8 Not to present the Individual Interim Financial Statements as of December 31, 2023 and its respective Management Report, which should have been presented by February 15, 2024 at the latest; nevertheless, they have not been presented to date. That, it adds that the general manager who is registered in the Registry of Legal Persons of the National Superintendence of Public Registers (SUNARP), Mr. Víctor Antonio Becerril Rodríguez, has passed away, for which reason Mr. Víctor Antonio Rojas Briceño has been designated, by board agreement dated July 1, 2025. Nevertheless, it points out that, as of the date of filing the appeal, the appointment of the new general manager could not be registered in Sunarp. For this reason, TUMÁN has initiated a contentious administrative judicial process in which it seeks that the Judiciary order SUNARP to co-opt the Board of Directors and register the appointment of the new general manager;
That, in that sense, in TUMÁN's opinion, the SMV would be co-responsible for the situation of the company, since it has not carried out adequate monitoring of the company, nor has it reported to the competent authorities, such as the National Superintendence of Tax Administration, the Ministry of Labor, the National Superintendence of Labor Inspection and the National Institute for the Defense of Competition and Protection of Intellectual Property that the company was omitting the presentation of Annual Reports and Financial Information and that it constituted a risk for its workers and shareholders;
That, TUMÁN considers that the SMV is not an institution that is dedicated only to controlling who presents or does not present Annual Reports and Financial Information and to applying fines. It considers that the SMV should fulfill its role of protecting the minority shareholder, such as the thousands of minority shareholders of TUMÁN who would be losing their shares. TUMÁN adds that the imposed fine is unreasonable from the reality of the facts, should

be revoked because it violates the principle of reasonableness, since it does not take into account the complex reality of the company, which has been in judicial administration for years, with a large number of minority shareholders who are losing their investments, and with a lack of information that has been generated by the lack of proper management;
That, with respect to charge No. 1411, related to not complying with the information request made by the SMV, TUMÁN alleges that it did not have the information requested, since it was not in its possession, and that it did not have the capacity to provide it, given the situation of judicial administration in which the company was found;
That, in this regard, it should be noted that the request for information was made through Letter No. 5375-2022-SMV/11.1 of October 22, 2022, in which the SMV requested TUMÁN to provide information regarding the reasons for not presenting the Annual Report and Financial Information for the fiscal years 2020, 2021 and 2022, as well as the measures that the company was taking to comply with its obligations;
That, TUMÁN did not respond to the request for information within the established term, nor did it justify its non-compliance, which constitutes an infraction typified in subsection 2.33 of section 2 of Annex I of the Sanctions Regulation;
That, with respect to the arguments raised by TUMÁN regarding the alleged violation of the principles of legality, reasonableness, right of defense and due process, it is observed that they are unfounded, since the SMV has acted in accordance with the law, respecting the rights of the interested party, and has based its decision on the facts and evidence available in the file;
That, regarding the alleged violation of the principle of legality, it is observed that the SMV has applied the provisions of the Sanctions Regulation, which are in accordance with the law, and has not exceeded its competences;
That, regarding the alleged violation of the principle of reasonableness, it is observed that the fine imposed is proportional to the seriousness of the infractions committed, taking into account the number of infractions, the duration of the non-compliance, the damage caused to the market and the shareholders, and the economic capacity of the sanctioned party;
That, regarding the alleged violation of the right of defense, it is observed that TUMÁN was given the opportunity to present its arguments and evidence during the administrative procedure, and that its appeal was admitted and resolved in accordance with the law;
That, regarding the alleged violation of the principle of due process, it is observed that the administrative procedure was carried out in accordance with the legal provisions, respecting the rights of the interested party and ensuring the effectiveness of the regulatory action;
That, in view of the foregoing, it is necessary to resolve the appeal filed by TUMÁN;
RESOLVES:
FIRST.- To ADMIT the appeal filed by Empresa Agroindustrial Tumán S.A.A. (TUMÁN) against the Adjunct Superintendent Resolution No. 073-2025-SMV/11;
SECOND.- To PARTIALLY UPHELD the appeal, revoking the sanction imposed for charges No. 6 to No. 13, related to the non-presentation of financial information, and confirming the sanction imposed for charges No. 1 to No. 5 and No. 14, related to the non-communication of material facts and the non-compliance with the information request;
THIRD.- To MODIFY the sanction imposed, reducing the total fine from 350 UIT to 200 UIT, corresponding to 130 UIT for charges No. 1 to No. 5 and 70 UIT for charge No. 14;
FOURTH.- To ORDER TUMÁN to comply with the presentation of the pending financial information within the term established by the SMV;
FIFTH.- To NOTIFY this Resolution to TUMÁN and to publish it on the website of the SMV;
SIXTH.- To communicate this Resolution to the General Superintendence of the SMV for its knowledge and the corresponding actions;
SEVENTH.- To communicate this Resolution to the Legal Advisory Office for its knowledge and the corresponding actions;
