AGREEMENT MODIFYING AND ADDING VARIOUS PROVISIONS OF THE ORGANIC REGULATIONS OF THE NATIONAL BANK OF FOREIGN TRADE, NATIONAL CREDIT SOCIETY, DEVELOPMENT BANKING INSTITUTION.
ROGELIO EDUARDO RAMÍREZ DE LA O, Secretary of Finance and Public Credit, based on
articles 31, fractions VII and XXXII of the Organic Law of the Federal Public Administration; 30, second and
last paragraphs and 38, first paragraph of the Credit Institutions Law, in exercise of the powers conferred upon me by
article 6o., fraction XXI of the Internal Regulations of the Ministry of Finance and Public Credit, and
CONSIDERING
That the Honorable Congress of the Union, through a decree published in the Official Gazette of the Federation on January 20,
1986, issued the Organic Law of the National Bank of Foreign Trade.
That the Ministry of Finance and Public Credit issued the Organic Regulations of the National Bank of Foreign
Trade, National Credit Society, Development Banking Institution, published in the Official
Gazette of the Federation on April 2, 1991 and reformed through Agreements published in the same medium
on March 14, 1996, September 10, 2009, August 25, 2015, September 25,
2017 and March 27, 2020.
That based on article 42, third paragraph, fraction XI of the Credit Institutions Law, the
Board of Directors of the National Bank of Foreign Trade, National Credit Society,
Development Banking Institution, in its ordinary session 1725, held on September 2, 2020, through Agreement
contained in Memorandum number 32437 authorized proposing to the Ministry of Finance and Public Credit:
a) incorporate mechanisms that address the efficient use of information technologies and make
more expeditious and efficient the functioning of its governing body, b) clarify the legal representation of the
institution, for the management of amparo trials in which officials of the institution intervene,
c)
clarify the rules and policies of substitutions, as well as of the figure of the acting head, and d) define the
powers to certify documents and issue certificates.
That based on article 42, third paragraph, fractions I and XVIII of the Credit Institutions
Law, the Board of Directors of the National Bank of Foreign Trade, National Credit Society,
Development Banking Institution, in its ordinary session 1733, held on September 14, 2022,
through Agreement contained in Memorandum number 32712 approved the change of nomenclature of the
" Deputy General Directorates " to become " Unit Heads " , as well as the update of the
appointments made by the Board of Directors itself, from " Deputy General Director " to " Unit Head " .
That based on articles 38, first paragraph and 42, third paragraph, fractions XI, XII, XIII and XIV
of the Credit Institutions Law, the Board of Directors of the National Bank of Foreign Trade, National
Credit Society, Development Banking Institution, through Agreement contained in Memorandum
number 32775, in its ordinary session 1735, held on March 1, 2023, approved proposing to the
Ministry of Finance and Public Credit to increase the social capital of the Institution to be fixed at
$60,000 ' 000,000.00 (sixty billion pesos 00/100 M.N.) and authorized the increase to paid capital
to be at $44,460 ' 776,500.00 (forty-four billion four hundred sixty million seven hundred seventy
six thousand five hundred pesos 00/100 M.N.), likewise, the Board of Directors approved, proposing to the Ministry
of
Finance and Public Credit to modify article 7o. of the Organic Regulations of the National Bank of
Foreign Trade, National Credit Society, Development Banking Institution.
That the National Bank of Foreign Trade, National Credit Society, Development Banking
Institution, through letter DJCOB/407/2023 dated August 11, 2023, based on what is provided
by articles 38, first paragraph and 42, third paragraph, fraction XI of the Credit Institutions Law, requested
this Ministry to modify the Organic Regulations of the Society, in order to consider the modifications and
additions approved by the Board of Directors of said Society, I have deemed it appropriate to issue the following:

SOLE. - Articles 7o., first paragraph, and 17, second and third paragraphs are MODIFIED; and
Chapter Sixth, of General Provisions comprising articles 38, 39 and 40 of the
Organic Regulations of the National Bank of Foreign Trade, National Credit Society, Development Banking Institution, is ADDED, to read as follows:
"ARTICLE 7o.- The authorized social capital of the National Bank of Foreign Trade, National Credit
Society, Development Banking Institution, is $60,000 ' 000,000.00 (sixty billion pesos 00/ 100 M.N.). Said authorized social capital will be represented by 396 ' 000,000 (three hundred ninety-six
million) equity contribution certificates of Series "A" with a nominal value of $100.00 (one hundred pesos
00/100 M.N.) each and by 204 ' 000,000 (two hundred four million) equity contribution
certificates of Series "B", with a nominal value of $100.00 (one hundred pesos 00/100 M.N.) each.

" ARTICLE 17.- ...
Invariably, the calls to sessions of the Board of Directors will be made by the Secretary or
Deputy Secretary of the Board of Directors through a written notice addressed to the councilors, which may be delivered by
electronic means, with an advance of at least five business days in the case of ordinary
sessions, and of at least three business days in the case of extraordinary sessions; in both cases, the documentation and information related to the topics to be discussed during the session will be delivered with the
same advance notice as the call to the session.
The Board of Directors will validly convene with the attendance of at least seven of its members,
provided that, among them, there are at least four of those appointed by Series "A".
The
attendance of members may be accredited by their presence through telephone conference or
videoconference, provided that it is carried out in real time.

CHAPTER SIXTH
General Provisions
ARTICLE 38.- In accordance with what is provided by article 25, fraction I of the Organic Law, the
General Director will have the legal representation of the Society to intervene in judicial procedures,
administrative or labor matters in which the Society is a party or may be affected. Said public official
may designate proxies to carry out the processing of said procedures.
The Head of the Legal and Fiduciary Unit or its equivalent and the Contencious and Corporate Legal Director
or its equivalent, indistinctly, will represent the General Director of the Society, Unit Heads,
Coordinators and Area Directors, to intervene in amparo trials in which they appear
as responsible authority, for the purposes of article 9 of the Amparo Law, Regulatory of articles
103 and 107 of the Political Constitution of the United Mexican States.
ARTICLE 39.- When Units become vacant for any reason, the General Director of the
Society may designate an acting head, from among the public officials assigned to the
administrative unit in question.
ARTICLE 40.- Unit Heads and Area Directors are authorized to issue certifications
of certificates of documents related to matters within their competence.
TRANSITORY PROVISIONS
ARTICLE FIRST. - This Agreement will enter into force, the day following its publication in the
Official Gazette of the Federation.
ARTICLE SECOND. - In accordance with what is established by the last paragraph of article 30 of the Law
of Credit Institutions, the National Bank of Foreign Trade, National Credit Society, Development
Banking Institution, must register in the Public Commerce Registry, the modifications that, by
virtue of this Agreement, are made to its Organic Regulations.
ARTICLE THIRD. - The
National Bank of Foreign Trade, National Credit Society,
Development Banking Institution, in terms of the applicable legal provisions, will proceed to carry out
the necessary acts to comply with this Agreement.
ARTICLE FOURTH. - The authorized social capital of the National Bank of Foreign Trade, National
Credit Society, Development Banking Institution, is $60,000 ' 000,000.00 (sixty billion pesos
00/100 M.N.) and the subscribed and paid social capital is $44,460 ' 776,500.00 (forty-four billion four hundred sixty million seven hundred seventy six thousand five hundred pesos 00/100 M.N.).
