AGREEMENT modifying Article 7

AGREEMENT BY WHICH ARTICLE 7, FIRST AND SECOND PARAGRAPHS OF THE ORGANIC REGULATIONS OF THE NATIONAL BANK OF THE ARMY, AIR FORCE AND NAVY, NATIONAL CREDIT SOCIETY, DEVELOPMENT BANK INSTITUTION, ARE MODIFIED, TO INCREASE ITS SOCIAL CAPITAL.

ARTURO HERRERA GUTIÉRREZ, Secretary of Finance and Public Credit, based on articles 31, fractions VII and XXXII of the Organic Law of the Federal Public Administration; 30, second and last paragraphs and 38, first paragraph of the Credit Institutions Law, in exercise of the powers conferred upon me by article 6o., fraction XXI of the Internal Regulations of the Ministry of Finance and Public Credit, and

CONSIDERING

That the Honorable Congress of the Union, through Decree published in the Official Gazette of the Federation on January 13, 1986, issued the Organic Law of the National Bank of the Army, Air Force and Navy.

That the Ministry of Finance and Public Credit issued the Organic Regulations of the National Bank of the Army, Air Force and Navy, National Credit Society, Development Bank Institution, published in the Official Gazette of the Federation on April 2, 1991 and reformed through Agreements published in the same official medium on January 22, 1992, March 23, 1994, February 13, 1995, October 7, 1996, July 9, 2003, June 6, 2008, September 7, 2012 and August 25, 2015.

That based on what is provided in articles 38 first paragraph and 42 fraction XIII of the Credit Institutions Law, the Board of Directors of the National Bank of the Army, Air Force and Navy, National Credit Society, Development Bank Institution, in its ordinary session number 2,394 held on July 29, 2019, approved proposing to the Ministry of Finance and Public Credit the increase of social capital by the amount of $15,261,596,461.00 (fifteen billion two hundred sixty-one million five hundred ninety-six thousand four hundred sixty-one pesos 00/100 M.N.) with which it goes from $7,352,576,540.80 (seven billion three hundred fifty-two million five hundred seventy-six thousand five hundred forty pesos 80/100 M.N.) to $22,614,173,001.80 (twenty-two billion six hundred fourteen million one hundred seventy-three thousand one pesos 80/100 M.N.).

That the National Bank of the Army, Air Force and Navy, National Credit Society, Development Bank Institution, based on what is provided in articles 38 first paragraph and 42, fraction XI, both of the Credit Institutions Law, and through letter DIR.CONTA./1104/2019 dated October 17, 2019, has requested this Ministry to modify the Organic Regulations of the Society, in order to consider the increase in social capital established in the preceding paragraphs.

That since, based on articles 38, first paragraph of the Credit Institutions Law and 7o., first paragraph of the Organic Regulations of the National Bank of the Army, Air Force and Navy, National Credit Society, Development Bank Institution, it corresponds to the Ministry of Finance and Public Credit to issue the Organic Regulations of said National Credit Society in which the bases according to which its organization and functioning will be governed are established, it has seen fit to issue the following:

Agreement 63/2020

SOLE.- The first and second paragraphs of article 7o. of the Organic Regulations of the National Bank of the Army, Air Force and Navy, National Credit Society, Development Bank Institution, published in the Official Gazette of the Federation on April 2, 1991, reformed through Agreements published in the same medium of dissemination on January 22, 1992, March 23, 1994, February 13, 1995, October 7, 1996, July 9, 2003, June 6, 2008, September 7, 2012 and August 25, 2015, are reformed, to read as follows:

" Article 7o.- The social capital of the National Bank of the Army, Air Force and Navy, National Credit Society, Development Bank Institution, is $22,614,173,001.80 (twenty-two billion six hundred fourteen million one hundred seventy-three thousand one pesos 80/100 M.N.).

Such social capital will be represented by 1,492,535,418 (one billion four hundred ninety-two million five hundred thirty-five thousand four hundred eighteen) equity contribution certificates of Series "A", with a nominal value of $10.00 (ten pesos 00/100 M.N.) each, fully paid, and by

768,881,882

(seven hundred sixty-eight million eight hundred eighty-one thousand eight hundred eighty-two) nominative equity contribution certificates of Series "B", with a nominal value of $10.00 (ten pesos 00/100 M.N.) each, fully paid, unpaid.

TRANSITORY PROVISIONS

FIRST.- This Agreement will enter into force the day following its publication in the Official Gazette of the Federation.

SECOND.- In accordance with what is established in articles 30, last paragraph and 38, first paragraph of the Credit Institutions Law, the National Bank of the Army, Air Force and Navy, National Credit Society, Development Bank Institution, must register in the Public Commerce Registry the modifications that by virtue of this Agreement are made to its Organic Regulations.
