AGREEMENT BY WHICH ARTICLE 7, PARAGRAPHS ONE AND TWO OF THE ORGANIC REGULATIONS OF BANCO DEL BIENESTAR, NATIONAL CREDIT SOCIETY, DEVELOPMENT BANK INSTITUTION, ARE MODIFIED, TO INCREASE ITS SOCIAL CAPITAL.

EDGAR ABRAHAM AMADOR ZAMORA, Secretary of Finance and Public Credit, based on articles 31, fractions VII and XXXIV of the Organic Law of the Federal Public Administration; articles 30, second and last paragraphs and 38, first paragraph of the Credit Institutions Law, in exercise of the powers conferred upon me by article 6o., fraction XXI of the Internal Regulations of the Secretariat of Finance and Public Credit, and

CONSIDERING

That the Honorable Congress of the Union, through Decree published in the Official Gazette of the Federation on June 1, 2001, issued the Organic Law of the National Savings Bank and Financial Services.

That through "DECREE by which various provisions of the Organic Law of the National Savings Bank and Financial Services are reformed and added," published in the Official Gazette of the Federation on July 19, 2019, the National Savings Bank and Financial Services, National Credit Society, Development Bank Institution, changed its name to Banco del Bienestar, National Credit Society, Development Bank Institution, with its corporate domicile in Mexico City.

That the Secretariat of Finance and Public Credit issued the Organic Regulations of Banco del Bienestar, National Credit Society, Development Bank Institution, published in the Official Gazette of the Federation on November 29, 2001 and reformed through Agreements published in the same official medium on September 17, 2004, March 6, 2009, November 24, 2009, October 28, 2010, January 21, 2011, June 10, 2011, August 25, 2015, September 23, 2016, June 30, 2020, December 28, 2021 and September 30, 2024.

That based on the provisions of articles 22, fraction XXI of the Organic Law of Banco del Bienestar, 38 and 42, fraction XIII of the Credit Institutions Law, the Board of Directors of the Institution in its Extraordinary Session Number 179 on December 20, 2024, approved carrying out the necessary procedures to propose to the Federal Government, through the Secretariat of Finance and Public Credit, the increase in the social capital of Banco del Bienestar, National Credit Society, Development Bank Institution, by the amount of $4,245,000,000.00 (FOUR BILLION TWO HUNDRED FORTY-FIVE MILLION PESOS 00/100 M.N.).

That prior to verification of the sufficiency of budgetary resources and in compliance with the provisions contained in the Federal Budget and Fiscal Responsibility Law and its Regulations, the Secretariat of Finance and Public Credit approved the social capital increase by the amount of $4,245,000,000.00 (FOUR BILLION TWO HUNDRED FORTY-FIVE MILLION PESOS 00/100 M.N.) to strengthen the Bank, so that the social capital of the Institution would go from $18,538,702,000.00 (EIGHTEEN BILLION FIVE HUNDRED THIRTY-EIGHT MILLION SEVEN HUNDRED TWO THOUSAND PESOS 00/100 M.N.) to $22,783,702,000.00 (TWENTY-TWO BILLION SEVEN HUNDRED EIGHTY-THREE MILLION SEVEN HUNDRED TWO THOUSAND PESOS 00/100 M.N.).

That the Board of Directors of Banco del Bienestar, National Credit Society, Development Bank Institution, approved in its Ordinary Session Number 183 on March 26, 2025, to propose to the Secretariat of Finance and Public Credit to modify the Organic Regulations of the Institution, in concordance with the authorized social capital contribution.

That since it corresponds to the Secretariat of Finance and Public Credit to issue or modify, subject to the provisions of the Credit Institutions Law and the Organic Law of Banco del Bienestar, the Organic Regulations of said Institution, I have deemed it appropriate to issue the following:

SOLE. Paragraphs one and two of Article 7 of the Organic Regulations of Banco del Bienestar, National Credit Society, Development Bank Institution, are reformed, as follows:

Chapter II

Of Social Capital

Article 7.- The social capital of Banco del Bienestar, National Credit Society, Development Bank Institution, is $22,783,702,000.00 (TWENTY-TWO BILLION SEVEN HUNDRED EIGHTY-THREE MILLION SEVEN HUNDRED TWO THOUSAND PESOS 00/100 M.N.). The paid social capital is the amount of $22,783,702,000.00 (TWENTY-TWO BILLION SEVEN HUNDRED EIGHTY-THREE MILLION SEVEN HUNDRED TWO THOUSAND PESOS 00/100 M.N.).

Such social capital will be represented by 1,503,724,332 (ONE BILLION FIVE HUNDRED THREE MILLION SEVEN HUNDRED TWENTY-FOUR THOUSAND THREE HUNDRED THIRTY-TWO) equity contribution certificates of Series "A", with a nominal value of $10.00 (TEN PESOS 00/100 M.N.) each and by 774,645,868 (SEVEN HUNDRED SEVENTY-FOUR MILLION SIX HUNDRED FORTY-FIVE THOUSANT EIGHT HUNDRED SIXTY-EIGHT) equity contribution certificates of Series "B", with a nominal value of $10.00 (TEN PESOS 00/100 M.N.) each.

TRANSITORY PROVISIONS

ARTICLE FIRST.- This Agreement shall enter into force the day following its publication in the Official Gazette of the Federation.

ARTICLE SECOND.- In accordance with the provisions of the last paragraph of article 30 of the Credit Institutions Law, Banco del Bienestar, National Credit Society, Development Bank Institution, must register in the Public Commerce Registry the modifications made to its Organic Regulations by virtue of this agreement.
