AGREEMENT modifying various provisions of the Organic Regulations of Nacional

Financiera, Sociedad Nacional de Crédito, Development Banking Institution.

ROGELIO EDUARDO RAMÍREZ DE LA O, Secretary of Finance and Public Credit, pursuant to

Articles 31, fractions VII and XXXII of the Organic Law of the Federal Public Administration; Article 30, second and

last paragraphs of the Credit Institutions Law, exercising the powers conferred upon me by Article

6, fraction XXI of the Internal Regulations of the Ministry of Finance and Public Credit, and

CONSIDERING

That the Honorable Congress of the Union, through a Decree published in the Official Gazette of the Federation on December 26,

1986, issued the Organic Law of Nacional Financiera.

That the Ministry of Finance and Public Credit issued the Organic Regulations of Nacional Financiera,

Sociedad Nacional de Crédito, Development Banking Institution, published in the Official Gazette of the

Federation on April 2, 1991 and amended through Agreements published in the same medium on

June 5, 2009, August 25, 2015, February 18, 2021, and March 3, 2022.

That pursuant to Article 42, third paragraph, fraction XVIII of the Credit Institutions Law,

the Board of Directors of Nacional Financiera, Sociedad Nacional de Crédito, Development Banking

Institution, in its ordinary session held on September 13, 2022, through Agreement number

3.5- 130922, approved the change of nomenclature of the "Deputy General Directorates" to become

"Units", as well as the update of the appointments made by the said Board of Directors, from

"Deputy General Director" to "Unit Head".

That pursuant to Article 42, third paragraph, fraction XI of the Credit Institutions Law, the

Board of Directors of Nacional Financiera, Sociedad Nacional de Crédito, Development Banking Institution,

in its ordinary session held on December 6, 2022, through Agreement number 8-061222, approved the

proposal to modify Articles 23, last paragraph, 32, last paragraph, 33, 34, and 35 of the Organic

Regulations of Nacional Financiera, Sociedad Nacional de Crédito, Development Banking Institution, and instructed

the administration of said Institution to submit to the consideration of the Ministry of Finance and

Public Credit the authorization of the aforementioned modifications, since those articles refer to

"Deputy General Directorates" or "Deputy General Directors", and it is necessary to incorporate the nomenclature

approved by the Board of Directors.

That Nacional Financiera, Sociedad Nacional de Crédito, Development Banking Institution, through

letter UJF-001/2023 dated March 14, 2023, requested this Ministry to modify the Organic

Regulations of the Society in the terms indicated in the two preceding paragraphs.

That since, pursuant to Article 30, second paragraph of the Credit Institutions Law,

it corresponds to the Ministry of Finance and Public Credit to issue, subject to the provisions of the

Credit Institutions Law;

the Organic Law of Nacional Financiera, and the Organic Regulations of said

Sociedad Nacional de Crédito in which the bases are established according to which its

organization and functioning will be governed, I have deemed it appropriate to issue the following:

CRÉDITO, DEVELOPMENT BANKING

INSTITUTION.

SINGLE.- The Articles 23, last paragraph, 32, last paragraph, 33, 34, and 35 of the Organic

Regulations of Nacional Financiera, Sociedad Nacional de Crédito, Development Banking Institution are MODIFIED,

to read as follows:

" ARTICLE 23, last paragraph .- ...

The General Director may, through delegatory agreements, exercise the powers provided for in

Article 23 of the Organic Law, except those that are non-delegable through the unit heads

, directors, and other personnel of the Society.

ARTICLE 32, last paragraph.- ...

The Head of the Legal and Fiduciary Unit and the Head of the Contencious Legal and

Credit Directorate, interchangeably, shall represent the General Director of the Society, unit heads

and

area directors, to intervene in amparo proceedings in which they appear as responsible authorities,

for the purposes of Article 9 of the Amparo Law, Regulating Articles 103 and

107 of the Political Constitution of the United Mexican States.

ARTICLE 33.- In the absence of the General Director of the Society, he shall be replaced by the

Head of the Legal and Fiduciary Unit or the Head of the Administration and Finance Unit,

in the order indicated.

Unit heads shall be replaced in their absences by the area directors who depend on them

in matters within their respective competence, or as they designate for this purpose, while

area directors shall be replaced in their absences by the deputy directors assigned to them,

in matters within their respective competence, or as they designate for this purpose.

The powers that have been delegated to the General Director of the Society or to any unit head

may be exercised, in their absences, in the terms indicated above.

ARTICLE 34.- When units become vacant for any reason, the General Director

of the Society may appoint an acting head, from among the public servants

assigned to the administrative unit in question. The appointment as acting head

does not imply any modification of the salary, labor, and administrative conditions of the person

who exercises this charge.

ARTICLE 35.- Unit heads and area directors are authorized to issue

certifications of records of documents related to matters within their competence "

TRANSITORY PROVISIONS

ARTICLE FIRST.- This Agreement enters into force the day following its publication in the Official

Gazette of the Federation.

ARTICLE SECOND.- Nacional Financiera, Sociedad Nacional de Crédito, Development Banking

Institution, in terms of the applicable legal provisions, shall proceed to perform the necessary acts to

carry out this Agreement.

ARTICLE THIRD.- In accordance with what is established by the last paragraph of Article 30 of the Law

of Credit Institutions, Nacional Financiera, Sociedad Nacional de Crédito, Development Banking

Institution, must register with the Public Commerce Registry, the modifications that by virtue of this

Agreement, are made to its Organic Regulations.
