On the approval of the prospectus for the voluntary takeover offer of shares issued by FABRICA DE GALANTERIE A INVALIZILOR SI PENSIONARILOR "FAURARUL" SA

Following the examination of the application submitted by the offeror Natalia Spoticailo (registered with the National Financial Market Commission (CNPF) under No. 8401 on 25.11.2025) regarding the approval of the prospectus for the voluntary takeover offer of shares issued by FABRICA DE GALANTERIE A INVALIZILOR SI PENSIONARILOR "FAURARUL" SA,

Based on Article 8 lit. k), Article 16 para. (3), Article 20 para. (1), para. (6) and para. (7) and Article 22 para. (3) of Law No. 192/1998 on the National Financial Market Commission, Article 20 para. (1) lit. a) and Article 24 para. (4) of Law No. 171/2012 on the Capital Market, Regulation on Public Takeover Offers (CNPF Decision No. 33/11/2015), Points 16, 19 and 21 of the Regulation on the Organization and Functioning of the National Financial Market Commission (CNPF Decision No. 57/11/2022),

The National Financial Market Commission DECIDES:

1. The prospectus for the voluntary takeover offer initiated by the offeror Natalia Spoticailo (IDNP 0981 703019112), the subject of which is the purchase of 284 registered ordinary shares issued by FABRICA DE GALANTERIE A INVALIZILOR SI PENSIONARILOR "FAURARUL" SA (IDNO 1002600015599, MD-2012, Chisinau city, Mihai Eminescu str. 63), is approved, at a price of 1,028.51 lei per share, with a duration of 15 days from the initiation date.

2. This Decision may be contested by filing a preliminary request addressed to the CNPF (MD-2012, Chisinau city, Stefan cel Mare si Sfint str. 77), within 30 days from the date of notification.

3. This Decision enters into force on the date of adoption, is communicated to the recipient in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of the CNPF (www.cnpm.md).
