Authorization for Modification of Article 3, Fraction II, Subsection a) of the License Granted to Pensiones Sura, S.A. de C.V.

The document authorizes Pensiones Sura, S.A. de C.V., a subsidiary of Seguros de Vida Suramericana, S.A., to modify its license terms by increasing its fixed minimum capital without right of withdrawal from $136,500,101.00 to $142,500,101.00 Mexican pesos. The Federal Government, through this Ministry of Finance and Public Credit, based on the provisions of Articles 31, Fraction VIII of the Organic Law of the Federal Public Administration, 33-A, 33-B and 33-C of the General Law of Insurance and Mutual Societies, and in exercise of the powers conferred by Article 36, Fraction VI of the Internal Regulations of the Ministry of Finance and Public Credit, issues the resolution indicated below, in accordance with the following background and considerations:

BACKGROUND

I.

Pensiones Sura, Sociedad Anónima de Capital Variable is a company authorized by this Ministry to operate as an insurance institution to practice the life insurance operation, solely for the purpose of managing pension insurance, derived from social security laws, as stated in resolution 101-767 of June 17, 1997, published in the Official Journal of the Federation on July 1, 1997. Said Resolution was last modified by diverse 366-III-482/13 of August 13, 2013.

II.

Through office 366-III-0501/14 of June 24, 2014, the General Legal Directorate of Insurance, Bonds and Pensions, attached to the Insurance, Pensions and Social Security Unit:

a)

Approved the reform to the seventh clause of the bylaws of Pensiones Sura, Sociedad Anónima de Capital Variable, derived from the increase in its fixed minimum capital paid without right of withdrawal from $136,500,101.00 to $142,500,101.00 in the terms that appear in the draft of the extraordinary general meeting of shareholders, which accompanies its request.

b)

Requested to send the first testimony and three simple copies of the public deed with registration data in the Public Commerce Registry, in which the extraordinary general meeting of shareholders indicated in the previous subsection was notarized, for the purpose of proceeding to the modification of its authorization to organize and function as an insurance institution.

III.

With a writing dated September 4, 2014, Pensiones Sura, Sociedad Anónima de Capital Variable, sent to this Insurance, Pensions and Social Security Unit the first testimony of public deed No. 112,652 of June 30, 2014, granted before the notary of Lic. Amando Mastachi Aguario, Public Notary No. 121 of the Federal District, in which the notarization of the minutes of the extraordinary general meeting of shareholders of Pensiones Sura, Sociedad Anónima de Capital Variable of June 25, 2014, is recorded, which resolved to reform the seventh clause of its bylaws, which was registered in the Public Commerce Registry on July 23, 2014 with commercial folio 358093*.

CONSIDERATIONS

I.

That as a result of the approval of the bylaws, as indicated in subsection a) of Background II, the terms of the authorization granted to that insurance institution must be modified.

II.

That within the deadline cited in Background II subsection b), they sent to this Ministry the original testimony and three simple copies of public deed 112,652 with registration data in the Public Commerce Registry.

RESOLUTION

First.- Article 3, Fraction II, Subsection a) of the authorization granted to Pensiones Sura, Sociedad Anónima de Capital Variable, a subsidiary of Seguros de Vida Suramericana, S.A., of the Republic of Colombia, to organize and function as an insurance institution, is modified, to read as follows:

"ARTICLE 3.-

... I. ...

II. ...

a).- The fixed minimum capital without right of withdrawal shall be $142,500,101.00 (one hundred forty-two million five hundred thousand one hundred one pesos 00/100 M.N.), which includes the amount of the paid minimum capital indicated in Article 29, Fraction I, first paragraph of the General Law of Insurance and Mutual Societies.

b).- ...

III. - ... "

Second.- The authorization granted to Pensiones Sura, Sociedad Anónima de Capital Variable to organize and function as an insurance institution, after the modification indicated in the previous Resolutive, remains in its entirety in the following terms:

AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT THROUGH THE MINISTRY OF FINANCE AND PUBLIC CREDIT, TO PENSIONES SURA, S.A. DE C.V., TO OPERATE AS AN INSURANCE INSTITUTION SUBSIDIARY OF SURAMERICAN LIFE INSURANCE, S.A., FINANCIAL INSTITUTION FROM ABROAD, THROUGH INTERNATIONAL INVESTMENTS GRUPOSURA, S.A., RELATED COMPANY, BOTH OF THE REPUBLIC OF COLOMBIA, IN THE TERMS FOLLOWING:

ARTICLE 1.- In exercise of the power granted to the Federal Government, through the Ministry of Finance and Public Credit, by Articles 5 and 33-C of the Law General of Insurance and Mutual Societies, this Ministry authorizes Pensiones Sura, S.A. de C.V., to function as an insurance institution subsidiary of Seguros de Vida Suramericana, S.A., a financial institution from abroad, through International Investments Gruposura, S.A., a related company, both from the Republic of Colombia.

ARTICLE 2.- The insurance institution is authorized to practice in insurance the life insurance operation, solely for the purpose of managing pension insurance, derived from social security laws.

ARTICLE 3.- The insurance institution shall be subject to the provisions of the General Laws of Insurance and Mutual Societies, of Commercial Societies, the others that apply to it and, in particular, to the following bases:

I.- The name shall be Pensiones Sura, Sociedad Anónima de Capital Variable.

II.- Its social capital shall be variable according to the following:

a).- The fixed minimum capital without right of withdrawal shall be the amount of 142,500,101.00 (one hundred forty-two million five hundred thousand one hundred one pesos 00/100 M.N.), in which is included the amount of the paid minimum capital indicated in Article 29, Fraction I, first paragraph of the General Law of Insurance and Mutual Societies.

b).- The variable capital with right of withdrawal in no case may be greater than the capital paid without right of withdrawal.

III.- The social domicile of the insurance institution shall be Mexico City, Federal District.

ARTICLE 4.- By its very nature, this authorization is non-transferable.

Third.- This resolution shall be published in the Official Journal of the Federation, at the expense of Pensiones Sura, Sociedad Anónima de Capital Variable, in accordance with what is established in Article 33-C of the Law General of Insurance and Mutual Societies.
