Authorization modifying the preamble and Articles 1 and 3, Section I of the authorization granted to Pensiones Sura, S.A. de C.V., indicating it is a subsidiary of Seguros de Vida Sudamericana, S.A.

OFFICE LETTER through which the modification of the preamble and Articles 1 and 3, Section I of the authorization granted to Pensiones Sura, S.A. de C.V. is authorized, in which it is indicated that it is a subsidiary of the foreign financial institution Seguros de Vida Sudamericana, S.A., through Sura Asset Management México, S.A. de C.V., a related entity.

The Federal Government, through this Ministry of Finance and Public Credit, based on the provisions of Articles 31, Section VIII of the Organic Law of the Federal Public Administration, 33-A, 33-B and 33-C of the General Law of Insurance and Mutual Societies, applicable in accordance with the First and Fifth Transitory Provisions of the Law of Insurance and Surety Institutions and 36, Section VI of the Internal Regulations of the Ministry of Finance and Public Credit, issues the resolution indicated below, in attention to the following background and considerations:

BACKGROUND

I.

Pensiones Sura, S.A. de C.V. is a company authorized by this Ministry to organize and function as an insurance institution to practice the life insurance operation, with the sole purpose of managing pension insurance, derived from social security laws, as stated in resolution 101.-767 of June 17, 1997, published in the Official Journal of the Federation on July 1 of the same year and last modified by office 366-III-0748/14 of September 23, 2014.

II.

Through office 366-III-0449/14 of June 4, 2014, the General Legal Directorate of Insurance, Surety and Pensions, attached to the Insurance, Pensions and Social Security Unit:

a)

Approved the reform to the first clause of the bylaws of Pensiones Sura, S.A. de C.V. to indicate that it is a subsidiary of the foreign financial institution Seguros de Vida Suramericana, S.A., through Sura Asset Management México, S.A. de C.V., a related entity.

b)

Requested to send within the sixty business days following the date on which Pensiones Sura, S.A. de C.V. will hold its extraordinary general shareholders' meeting for the purpose of the reform to the first clause, the first copy and three simple copies of the public deed with registration data in the Public Commerce Registry, in which said reform was notarized, for the purpose of proceeding to modify its authorization to organize and function as an insurance institution.

III.

With a letter dated December 16, 2015, Pensiones Sura, S.A. de C.V. sent to this Insurance, Pensions and Social Security Unit, the first copy and three simple copies of public deed No. 122,934 of November 12, 2015, granted before the notary of Lic. Amando Mastachi Aguario, Public Notary No. 121 of the Federal District, in which the notarization of the extraordinary general shareholders' meeting of Pensiones Sura, S.A. de C.V. of November 5, 2015 is recorded, which resolved the reform to the first clause of its bylaws, which was registered in the Public Commerce Registry on December 2, 2015, with commercial folio 35 8093*.

CONSIDERATIONS

I.

The Fifth Transitory Provision of the Law of Insurance and Surety Institutions establishes that approval requests received before the entry into force of that law, that is, before April 4, 2015, and which by virtue of it are assigned to the National Insurance and Surety Commission, will be processed and resolved by this Ministry, for which it may, even after that date, continue to exercise the powers conferred based on the General Law of Insurance and Mutual Societies that was repealed.

II.

That as a result of the approval granted to Pensiones Sura, S.A. de C.V. to reform the first clause of its bylaws, in the terms of the request presented prior to the entry into force of the Law of Insurance and Surety Institutions and as indicated in the office cited in Background II, the terms of the authorization granted to that insurance institution must be modified.

III.

That they sent to this Ministry the first copy and three simple copies of public deed 122,934 with registration data in the Public Commerce Registry.

IV.

That the modification to the authorization granted to Pensiones Sura, S.A. de C.V. to organize and function as an insurance institution derives from the approval indicated in subsection a), of Background II, whose procedure began before the entry into force of the Law of Insurance and Surety Institutions.

RESOLUTION

First.- The preamble and Articles 1 and 3, Section I of the authorization granted to Pensiones Sura, S.A. de C.V. to organize and function as an insurance institution are modified, to read as follows:

"AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT, THROUGH THE MINISTRY OF FINANCE AND PUBLIC CREDIT, TO PENSIONES SURA, S.A. DE C.V. TO ORGANIZE AND FUNCTION AS AN INSURANCE INSTITUTION SUBSIDIARY OF SEGUROS DE VIDA SURAMERICANA, S.A., FOREIGN FINANCIAL INSTITUTION, THROUGH SURA ASSET MANAGEMENT MÉXICO, S.A. DE C.V., A RELATED ENTITY.

ARTICLE FIRST.- In exercise of the power conferred on the Federal Government, through the Ministry of Finance and Public Credit, by Articles 5 and 33-C of the General Law of Insurance and Mutual Societies, this Ministry authorizes Pensiones Sura, S.A. de C.V. to organize and function as an insurance institution subsidiary of Seguros de Vida Suramericana, S.A., a foreign financial institution, through Sura Asset Management México, S.A. de C.V., a related entity.

ARTICLE THIRD.- ...

I. - The denomination shall be Pensiones Sura, which must be followed by the words Sociedad Anónima de Capital Variable or its abbreviation, S.A. de C.V. "

Second.- The authorization granted to Pensiones Sura, S.A. de C.V. to organize and function as an insurance institution, after the modification indicated in the previous Resolutive, remains entirely in the following terms:

AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT, THROUGH THE MINISTRY OF FINANCE AND PUBLIC CREDIT, TO PENSIONES SURA, S.A. DE C.V. TO ORGANIZE AND FUNCTION AS AN INSURANCE INSTITUTION SUBSIDIARY OF SEGUROS DE VIDA SURAMERICANA, S.A., FOREIGN FINANCIAL INSTITUTION, THROUGH SURA ASSET MANAGEMENT MÉXICO, S.A. DE C.V., A RELATED ENTITY.

ARTICLE FIRST.- In exercise of the power conferred on the Federal Government, through the Ministry of Finance and Public Credit, by Articles 5 and 33-C of the General Law of Insurance and Mutual Societies, this Ministry authorizes Pensiones Sura, S.A. de C.V. to organize and function as an insurance institution subsidiary of Seguros de Vida Suramericana, S.A., a foreign financial institution, through Sura Asset Management México, S.A. de C.V., a related entity.

ARTICLE SECOND.- The insurance institution is authorized to practice life insurance, with the sole purpose of managing pension insurance, derived from social security laws.

ARTICLE THIRD.- The insurance institution shall be subject to the provisions of the General Laws of Insurance and Mutual Societies, of Commercial Societies, those that are applicable to it, and, in particular, to the following bases:

I.- The denomination shall be Pensiones Sura, which must be followed by the words Sociedad Anónima de Capital Variable or its abbreviation, S.A. de C.V.

II.- The share capital shall be variable, according to the following:

a)

The minimum fixed capital without right to withdrawal shall be the amount of $142,500,101.00 (one hundred forty-two million five hundred thousand one hundred one pesos 00/100 M.N.) in which is included the amount of the minimum paid capital indicated in Article 29, Section I, first paragraph of the General Law of Insurance and Mutual Societies.

b)

The variable capital with right to withdrawal in no case may be greater than the paid capital without right to withdrawal.

III.- The registered office of the insurance institution shall be Mexico City, Federal District.

ARTICLE FOURTH.- By its very nature, this authorization is non-transferable.

Third.- This resolution will be published in the Official Journal of the Federation, at the expense of Pensiones Sura, S.A. de C.V., in accordance with what is established in Article 33-C of the General Law of Insurance and Mutual Societies.
