On the authorization of the reorganization of the Joint-Stock Company "CRISTAL-S.A." from a joint-stock company into a limited liability company

Following the examination of the application of the Joint-Stock Company "CRISTAL-S.A." (10.04.2025) regarding the authorization of reorganization by transformation, as well as the accompanying documents,

on the basis of Art. 92 and Art. 97 of Law No. 1134/1997 on joint-stock companies, Art. 204 and Art. 222 of the Civil Code, Art. 21 para. (1) lit. g) of Law No. 220/2007 on the state registration of legal entities and individual entrepreneurs, Art. 20 para. (1) and Art. 22 para. (3) of Law No. 192/1998 on the National Commission of the Financial Market, item 9 and item 19 of the Regulation on the authorization of the reorganization of the joint-stock company (Decision of the CNPF No. 23/1/2021), item 16, item 19 and item 21 of the Regulation on the organization and functioning of the National Commission of the Financial Market (Decision of the CNPF No. 57/11/2022),

The National Commission of the Financial Market DECIDES:

1. The reorganization of the Joint-Stock Company "CRISTAL-S.A." (IDNO 1003600017420, MD-2044, Chisinau city, Ginta Latina str. 19, apt. (office 8)) by transformation into a limited liability company is authorized.

2. This Decision may be appealed by submitting a preliminary request to the CNPF (MD-2012, Chisinau city, Stefan cel Mare si Sfant blvd., No. 77), within 30 days from the date of notification.

3. This Decision enters into force on the date of adoption, is communicated to the recipient in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of the CNPF (www.cnpf.md).
