On the Authorization of Reorganization

of Joint Stock Company "KOMPASS MOLDOVA"
from a joint stock company to a limited liability company

Following the examination of the application submitted by Joint Stock Company "KOMPASS MOLDOVA" (15.08.2024) regarding the authorization of reorganization by transformation,
pursuant to Article 92 and Article 97 of Law No. 1134/1997 on joint stock companies,
Article 204 and Article 222 of the Civil Code, Article 21 paragraph (1) letter g) of Law No. 220/2007 on the state registration of legal persons and individual entrepreneurs, Article 20 paragraph (1) and Article 22 paragraph (3) of Law No. 192/1998 on the National Commission for Financial Market, point 9 and point 19 of the Regulation on the authorization of reorganization of joint stock companies (CNPF Decision No. 23/1/2021) and point 16, point 19 and point 21 of the Regulation on the organization and functioning of the National Commission for Financial Market (CNPF Decision No. 57/11/2022),

The National Commission for Financial Market DECIDES:

1. The reorganization of Joint Stock Company "KOMPASS MOLDOVA" (IDNO 1002600045514, MD-2001, Chisinau city, Bulgară st. 33/1) by transformation into a limited liability company is authorized.
2. This Decision may be appealed by submitting a prior application to the CNPF (MD-2012, Chisinau city, Ștefan cel Mare și Sfânt blvd. No. 77) within 30 days from the date of notification.
3. This Decision enters into force on the date of adoption, is communicated to the addressee in accordance with legislation, published in the Official Monitor of the Republic of Moldova and on the official website of the CNPF (www.cnpf.md).
