Authorization of Reorganization of JSC TERMOELECTRICA via Merger (Absorption) of LLC INFO BON
The National Financial Market Commission of Moldova authorized the reorganization of Joint Stock Company TERMOELECTRICA through the merger (absorption) of Limited Liability Company INFO BON. This decision was issued following the review of the application submitted by TERMOELECTRICA and its supporting documentation. The ruling entered into force on the date of adoption and was published in the Official Monitor and on the Commission's official website.

Regarding the authorization of the reorganization
of the Joint Stock Company "TERMOELECTRICA" through the merger (absorption) of the Limited Liability Company "INFO BON"
Following the examination of the application of the Joint Stock Company "TERMOELECTRICA" (28.02.2025) regarding the authorization of reorganization through the merger (absorption) of the Limited Liability Company "INFO BON", as well as the accompanying documents, presented in full volume on 29.04.2025,
on the basis of Law No. 1134/1997 on joint stock companies, Articles 208 – 210 of the Civil Code, Article 21 para. (1) lit. g) of Law No. 220/2007 on the state registration of legal entities and individual entrepreneurs, Article 20 para. (1) and Article 22 para. (3) of Law No. 192/1998 on the National Financial Market Commission, point 16 and point 18 of the Regulation on the authorization of the reorganization of the joint stock company (Decision of the CNPF No. 23/1/2021), point 16, point 19 and point 21 of the Regulation on the organization and functioning of the National Financial Market Commission (Decision of the CNPF No. 57/11/2022),
The National Financial Market Commission DECIDES:

The reorganization of the Joint Stock Company "TERMOELECTRICA" (IDNO 1003600026295, MD-2024, Chisinau, Tudor Vladimirescu str. 6) through the merger (absorption) of the Limited Liability Company "INFO BON" (IDNO 1017600001792) is authorized.

This Decision may be contested by filing a preliminary application to the CNPF (MD-2012, Chisinau, Stefan cel Mare si Sfant blvd., no. 77), within 30 days from the date of notification.

This Decision enters into force on the date of adoption, is communicated to the recipient in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of the CNPF (www.cnpf.md).
