CIRCULAR No. 04/26 To: Securities Market Participants and the general public. Subject: Submission of financial statements for automatic publication through the Virtual Office of the Securities Market Superintendence.

Sixth Resolution of the National Securities Market Council No. R-CNV-2016-15-MV, of March 3 (3), two thousand sixteen (2016), which approves the Standard Establishing General Provisions on the Information that Issuers and Securities Market Participants Must Periodically Submit. 13. Circular No. 07/23, of July 6 (6), two thousand twenty-three (2023), on Notification of communications through the Virtual Office of the Securities Market Superintendence. 14. Circular C-SIMV-2020-16-MV, of August 14 (14), two thousand twenty (2020), on Submission of information through the Virtual Office, modified by Circular C-SIMV-2020-27-MV, of December 30 (30), two thousand twenty (2020).

Considering:

  1. That, pursuant to Article 7 of Law No. 249-17, the Securities Market Superintendence, in its capacity as the regulatory body of the Securities Market of the Dominican Republic, has as its objective "to promote an orderly, efficient and transparent securities market, protect investors, ensure compliance with this law and mitigate systemic risk, through the regulation and supervision of natural and legal persons operating in the securities market".

That, through items 1 and 2 of Article 17, Law No. 249-17 empowers the Superintendant of the Securities Market, in his capacity as the highest executive authority, to: "1) Execute the securities market policy in accordance with the guidelines established by the Council; and, 2) Comply with and enforce the provisions of this law and its regulations, ensuring the correct application of its principles, policies and objectives". 3. That, likewise, item 14 of the aforementioned article attributes to the Superintendant of the Securities Market the power to "issue the resolutions, circulars and instructions required for the development of this law and its regulations". 4. That, pursuant to the main part of Article 36 of Law No. 249-17, the Superintendence has a Registry available to the public, which may be electronic, in which natural and legal persons participating in the securities market are registered, as well as public information regarding securities registered in the Registry and participants in the securities market regulated by said law. 5. That Securities Market Participants are obligated to periodically submit financial information and related documentation, in the form, content and periodicity established in current regulations. 6. That the digital submission of documents through the Virtual Office constitutes a mechanism enabled by this Superintendence for the receipt, traceability and management of regulatory information, in accordance with Circular C-SIMV-2020-16-MV and its modification. 7. That the timely availability of financial statements in the "Registry Inquiry" section on the Superintendence's website strengthens market transparency, facilitates access to public information of economic interest and contributes to better decision-making by investors and the general public. 8. That, to enable the automatic publication of financial statements submitted by obligated parties, it is necessary to establish uniform rules on the submission channel, file format, attachment name, content to be published and the responsibility of the sender.

Therefore: The Superintendant of the Securities Market, in the exercise of the powers granted by Article 17, item 14, of Law No. 249-17 of the Securities Market of the Dominican Republic,

SC-07-03-05 Edition 3 Page 4 of 11 promulgated on December 19 (19), two thousand seventeen (2017), which repeals and replaces Law No. 19-00 of May 8 (8), two thousand (2000), disposes as follows:

I. Inform Securities Market Participants that the purpose of this Circular is to establish the rules applicable for the automatic publication on the institutional portal of the Securities Market Superintendence (hereinafter, the "Superintendence") of the financial statements submitted to this supervisory body.

II. Inform Securities Market Participants that this Circular applies to the following Participants and Autonomous Assets, namely:

III. Inform Securities Market Participants that, from the issuance of this Circular, financial statements intended for publication will not be manually uploaded to the Securities Market Registry section of the website by the Superintendence. Instead, they must be published by the aforementioned Securities Market Participants, pursuant to item II of this Circular, through the Virtual Office, for automatic publication, in a single PDF file, readable, complete, continuous and suitable for electronic viewing. Therefore, it is the responsibility of each Securities Market Participant to carefully verify in advance the content of the financial statements, their order of presentation and format, as once uploaded and submitted, said file will be immediately available to the public on the Superintendence's institutional portal.

IV. Inform Securities Market Participants subject to compliance with this Circular that, for the submission of financial statements for automatic publication through the Virtual Office, they must follow the following procedure:

  1. Access the Virtual Office;
  2. Select the "Regulatory Entry" option;
  3. In the Category field, select the "Periodic Information" option;
  4. Complete the "Submission Type" and "Recipient" fields, as applicable;
  5. In the Documents section, select the "Financial Statements to Publish" option; and,

SC-07-03-05 Edition 3 Page 9 of 11 6. Verify that the registered data are correct and press the "Send" button to complete.

V. Inform Securities Market Participants subject to compliance with this Circular that, in the subject of the submitted communication, they must specify the period to which the financial statements correspond, expressly indicating their periodicity, month and year. Example: Subject: Monthly Financial Statements May 2026 or Financial Statements First Quarter 2026.

VI. Inform Securities Market Participants that, once the process indicated above is exhausted, the financial statements submitted through the "Financial Statements to Publish" option will be published automatically and immediately, without validation by Superintendence staff, in the following sections:

  1. "Securities Market / Securities Market Registry";
  2. "Securities Market / Periodic Information"; and
  3. In the "Inquire about the Securities Market Registry" section of the institutional portal.

VII. Inform Securities Market Participants that they will be solely responsible for the truthfulness, accuracy, integrity, readability and correspondence of the file uploaded for automatic publication with the financial information submitted. Any error, omission, duplication, incomplete file or inaccuracy in the published information will be the exclusive responsibility of the sender, without prejudice to the administrative actions provided for in Law No. 249-17 and its current regulations.

VIII. Inform Securities Market Participants that this Circular will not apply to the financial information of guarantors or other third parties who are not registered in the Securities Market Registry. Such information, when it must be subject to publication, will be treated in accordance with the procedure determined by the Superintendence.

IX. Inform Securities Market Participants that the submission of financial statements for automatic publication does not replace or exempt the sender from compliance with their obligations to periodically submit financial information, disclose material events or any other information required by current regulations.

X. Inform Securities Market Participants that the automatic publication of financial statements does not imply prior validation, approval, substantive review or certification by the Superintendence. Likewise, the Superintendence may

SC-07-03-05 Edition 3 Page 10 of 11 withdraw or eliminate, totally or partially, the files published automatically when they contain information that should not be published, are illegible, are duplicated, present manifest errors or when, for supervisory reasons, it is necessary to limit their public availability, notifying the corresponding participant of said elimination. In such cases, the sender must republish, through the Virtual Office, the correct and definitive file for automatic publication in accordance with the provisions of this Circular.

XI. Inform Securities Market Participants that they may request the substitution or elimination of previously published financial statements on the institutional portal, through a communication addressed to the Superintendence, indicating the reasons that originated said request, and the Superintendence will acknowledge receipt of the request and proceed as required, in accordance with the applicable current provisions.

XII. Inform Securities Market Participants that, when a previously automatically published file is substituted by another, the substitute file must contain, in the document itself and visibly, a legend indicating:

  1. That it is a substitute version of a previous one; and
  2. The date on which the substitution was made.

XIII. Inform Securities Market Participants that said legend must remain incorporated while the document is available to the public. For these purposes, the inclusion of the legend in the document is the exclusive responsibility of the Securities Market Participant.

XIV. Inform Securities Market Participants that the minimum content of the file to be automatically published corresponds to that established for the respective financial statements in current regulations and, once the Information Requirements Manual (MRI) comes into force, to the content provided for in said manual, approved by the Seventh Resolution of the Securities Market Superintendant R-NE-SIMV-2025-07-MV, dated December 23 (23), two thousand twenty-five (2025), as applicable. Likewise, the deadline for automatic publication will be the same as that corresponding to the submission of said file in accordance with current regulations.

XV. Inform Securities Market Participants that this Circular will enter into force on the next business day following its publication.

XVI. Instruct the Securities Market Registry Department and the Digital Transformation Directorate to make the necessary operational adjustments in the Virtual Office Document Catalog for the implementation of this Circular.

XVII. Instruct the Regulation and Innovation Directorate of the Securities Market Superintendence to publish this Circular on the institutional website.
