The Ministry of Finance issued Circular 118/2020/TT-BTC to guide regulations on securities offerings, public tender offers, share buybacks, and public company registration. This circular, effective from February 15, 2021, replaces the previous Circular 162/2015/TT-BTC. It establishes the current legal framework for capital market activities under the State Securities Commission.
On December 31, 2020, the Minister of the Ministry of Finance signed and promulgated Circular No. 118/2020/TT-BTC guiding certain contents regarding securities offerings, issuance, public tender offers, share buybacks, registration of public companies, and revocation of public company status.
The Circular takes effect from February 15, 2021, and replaces Circular No. 162/2015/TT-BTC dated October 26, 2015, of the Minister of the Ministry of Finance, which guided the public offering of securities, offering of shares for exchange, issuance of additional shares, share buybacks, sale of treasury shares, and public tender offers of shares.
