Circular 88/2025/TT-BTC Amending Reporting Regimes for Securities Investment Funds and Companies

CIRCULAR Amending and Supplementing Certain Articles of Circulars Regulating the Reporting Regime Applied to Securities Investment Fund Management Companies, Representative Offices, Branch Offices of Securities Companies, and Foreign Fund Management Companies in Vietnam

Pursuant to the Securities Law No. 54/2019/QH14, as amended and supplemented by Law No. 56/2024/QH15;

Pursuant to Government Decree No. 155/2020/NĐ-CP dated December 31, 2020, detailing the implementation of certain articles of the Securities Law;

Pursuant to Government Decree No. 29/2025/NĐ-CP dated February 24, 2025, regulating the functions, tasks, powers, and organizational structure of the Ministry of Finance, as amended and supplemented by Decree No. 166/2025/NĐ-CP;

At the request of the Chairman of the State Securities Commission;

The Minister of the Ministry of Finance issues this Circular amending and supplementing certain articles of circulars regulating the reporting regime applied to securities investment fund management companies, representative offices, branch offices of securities companies, and foreign fund management companies in Vietnam.

Chapter I AMENDMENTS AND SUPPLEMENTS TO CERTAIN ARTICLES OF CIRCULAR NO. 97/2020/TT-BTC DATED NOVEMBER 16, 2020, OF THE MINISTER OF FINANCE GUIDING THE OPERATION OF REPRESENTATIVE OFFICES AND BRANCH OFFICES OF SECURITIES COMPANIES AND FOREIGN FUND MANAGEMENT COMPANIES IN VIETNAM

Article 1. Amendment and Supplement to Clause 4 of Article 12

“4. Representative offices of securities companies and foreign fund management companies in Vietnam shall submit periodic reports to the State Securities Commission in the form of electronic documents on the State Securities Commission’s database system.”.


Article 2. Amendment and Supplement to Clause 5 of Article 21

“5. Branch offices of securities companies and foreign fund management companies in Vietnam shall submit periodic reports to the State Securities Commission in the form of electronic documents on the State Securities Commission’s database system.”.

Chapter II AMENDMENTS AND SUPPLEMENTS TO CERTAIN ARTICLES OF CIRCULAR NO. 99/2020/TT-BTC DATED NOVEMBER 16, 2020, OF THE MINISTER OF FINANCE GUIDING THE OPERATION OF SECURITIES INVESTMENT FUND MANAGEMENT COMPANIES

Article 3. Amendment and Supplement to Clause 4 of Article 29

“4. Securities investment fund management companies shall submit periodic reports to the State Securities Commission in the form of electronic documents on the State Securities Commission’s database system.”.

Chapter III IMPLEMENTATION PROVISIONS

Article 4. Implementation Provisions

  1. This Circular takes effect from October 20, 2025.

  2. In cases where securities investment fund management companies, representative offices, branch offices of securities companies, and foreign fund management companies in Vietnam (hereinafter referred to as reporting entities) are unable to submit reports via the State Securities Commission’s database system due to force majeure reasons such as network or server failures, inability to use digital certificates, or other force majeure circumstances, the reporting entities are responsible for notifying the State Securities Commission, clearly stating the reasons, and submitting reports via the email system or in paper document form. Immediately after the force majeure situation is resolved, the reporting entities are responsible for fully reporting on the State Securities Commission’s database system.

  3. The State Securities Commission, securities investment fund management companies, representative offices, branch offices of securities companies, foreign fund management companies in Vietnam, and related organizations and individuals are responsible for implementing this Circular.
