Decision on Issuing Disclosure Document Templates for Public Securities Offerings and Stock Exchange Listings

The Minister of Finance of Vietnam issued Decision 13/2007/QĐ-BTC to officially establish standardized disclosure document templates for public securities offerings and exchange listings. The decision mandates the use of five specific templates covering public offerings of stocks, bonds, investment fund certificates, and securities company stocks, as well as listings on stock exchanges. This regulation became effective fifteen days after its publication in the Official Gazette and assigns enforcement responsibilities to the State Securities Commission, the Ministry of Finance, and relevant exchange directors.

DECISION

On Issuing the Disclosure Document Template in the Securities Public Offering Registration Dossier and the Securities Listing Registration Dossier at the Stock Exchange and Trading Center

MINISTER OF FINANCE

Pursuant to the Securities Law No. 70/2006/QH11 dated June 29, 2006;

Pursuant to Government Decree No. 14/2007/ND-CP dated January 19, 2007, detailing the implementation of certain articles of the Securities Law;

Pursuant to Government Decree No. 77/2003/ND-CP dated July 01, 2003, defining the functions, tasks, powers, and organizational structure of the Ministry of Finance;

At the proposal of the Chairman of the State Securities Commission,

DECIDES:

Article 1. To issue together with this Decision the Disclosure Document Template in the Securities Public Offering Registration Dossier and the Securities Listing Registration Dossier at the Stock Exchange and Trading Center, including:

The Public Offering of Stocks Disclosure Document Template as prescribed in Appendix No. 01 attached to this Decision.
The Public Offering of Bonds Disclosure Document Template as prescribed in Appendix No. 02 attached to this Decision.
The Listing of Stocks and Bonds on the Stock Exchange and Trading Center Disclosure Document Template as prescribed in Appendix No. 03 attached to this Decision.
The Public Offering of Securities Investment Fund Certificates and Listing on the Stock Exchange Disclosure Document Template as prescribed in Appendix No. 04 attached to this Decision.
The Public Offering of Securities Company Stocks and Listing on the Stock Exchange Disclosure Document Template as prescribed in Appendix No. 05 attached to this Decision.

Article 2. This Decision takes effect 15 days after the date of publication in the Official Gazette. The Chairman of the State Securities Commission, the Head of the Office of the Ministry of Finance, the heads of units under the Ministry of Finance, the Directors of Stock Exchanges, the Directors of Trading Centers, and related organizations and individuals are responsible for implementing this Decision.
