Decision on Registration in the Register of Securities Issuers Regarding Prometeu-Nord JSC
The National Financial Market Commission of Moldova issued Decision No. 46/5 on October 8, 2024, to consolidate and register administrative procedures initiated by Prometeu-Nord JSC regarding capital reduction and restructuring. The Commission approved the cancellation of 19,075 treasury shares to reduce social capital by 152,600 MDL, alongside the restructuring of previous securities issues and a capital increase of 177,390 MDL. Consequently, the company's total social capital is set at 650,430 MDL, divided into 59,130 ordinary registered shares with a nominal value of 11 MDL each.

On registrations in
the Register of Securities Issuers regarding the Joint Stock Company "PROMETEU-NORD"
Within the framework of the National Financial Market Commission (CNPF), the application of the Joint Stock Company "PROMETEU-NORD" dated 14.08.2024 regarding the registration in the Register of Securities Issuers of the reduction of social capital, and the application dated 13.09.2024 regarding the registration in the Register of Securities Issuers of the restructuring of previous securities issues and the increase of social capital, as well as the documents related to them, presented in full volume on 25.09.2024, were registered.
Based on the material-legal report of the requests, it is established that the administrative procedures involved are based on the same factual situation, the same legal basis, the same purpose, and are in connection, which requires, on the basis of Art. 44 para. (4) and Art. 80 para. (1) of the Administrative Code, the connection and examination in a single administrative procedure.
Following the examination of the pre-registered requests, under the Law No. 1134/1997 on joint stock companies, Art. 8 lit. m), lit. o) Art. 20 para. (1) and Art. 22 para. (3) of Law No. 192/1998 on the National Financial Market Commission, the Instructions on the stages, deadlines, method and procedures for the registration of securities (CNPF Decision No. 13/10/2018), pts. 16 – 19 and pt. 21 of the Regulation on the organization and functioning of the National Financial Market Commission (CNPF Decision No. 57/11/2022),
The National Financial Market Commission DECIDES:

The administrative procedures initiated at the requests of the Joint Stock Company "PROMETEU-NORD" (IDNO 1003602032443, MD-3100, Balti city, Independentei str. 30) are connected and registered in the Register of Securities Issuers: 1.1. Reduction of social capital by 152,600 MDL, by cancelling 19,075 treasury shares; 1.2. Restructuring of previous securities issues, by increasing the nominal value of one ordinary registered share from 8 MDL to 11 MDL, and increasing social capital by 177,390 MDL, from own capital.

The social capital of the company, after the cancellation of pre-registered treasury shares, restructuring and increase, will amount to 650,430 MDL, divided into 59,130 ordinary registered shares, with a nominal value of one share of 11 MDL and with the identification number MD14PRNO1006.
3. This Decision may be appealed by submitting a preliminary request to the CNPF (MD-2012, Chisinau city, Stefan cel Mare si Sfant blvd., no. 77), within 30 days from the date of communication.
4. This Decision enters into force on the date of adoption, is communicated to the recipient in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of the CNPF (www.cnpf.md).
