Decision on Registration in the Securities Issuers Register for CRISMAX Joint Stock Company

the Securities Issuers Register, related to the Joint Stock Company "CRISMAX"
Following the examination of the application of the Joint Stock Company "CRISMAX" (13.12.2024) regarding the registration in the Securities Issuers Register of the restructuring of previous securities issues and the increase in social capital, as well as the related documents, presented in full volume on 25.02.2025,
on the basis of Law No. 1134/1997 on joint stock companies, art. 8 lit. m) and lit. o), art. 20 para. (1) and art. 22 para. (3) of Law No. 192/1998 on the National Financial Commission, the Instruction on the stages, deadlines, method and procedures for the registration of securities (Decision of the NFC No. 13/10/2018), pts. 16, 19 and 21 of the Regulation on the organization and functioning of the National Financial Commission (Decision of the NFC No. 57/11/2022),
The National Financial Commission DECIDES:

The restructuring of previous securities issues, placed by the Joint Stock Company "CRISMAX" (IDNO 100460005226, MD-2070, Chisinau, Hîncești Highway 134/1), is registered in the Securities Issuers Register, by increasing the nominal value of one ordinary registered share from 10 lei to 1,490 lei, and increasing the social capital by 29,600,000 lei, from the equity capital. The social capital of the company, after restructuring and increase, will amount to 29,800,000 lei, divided into 20,000 ordinary registered shares, with a nominal value of one share of 1,490 lei and identification number MD14ISMA1001.

This Decision may be contested by submitting a preliminary request to the NFC (MD-2012, Chisinau, Ștefan cel Mare și Sfânt Blvd., no. 77), within 30 days from the date of communication.

This Decision enters into force on the date of adoption, is communicated to the recipient in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of the NFC (www.cnpf.md).
