Decision on the Registration in the Securities Issuers Register of Joint Stock Company BUNA DISPOZIȚIE
The National Financial Commission of Moldova issued Decision No. 52/7 on November 12, 2024, to register the restructuring of securities and capital increase for Joint Stock Company BUNA DISPOZIȚIE. The decision mandates the increase of the nominal value of ordinary shares from 4 to 6 lei and a capital increase of 206,586 lei from equity, resulting in a total share capital of 619,758 lei divided into 103,293 shares. This administrative act becomes effective upon adoption and is subject to appeal within 30 days.

the Securities Issuers Register, related to the Joint Stock Company "BUNA DISPOZIȚIE"
Following the examination of the application of the Joint Stock Company "BUNA DISPOZIȚIE" (18.10.2024) regarding the registration in the Securities Issuers Register of the restructuring of the previous issuance of securities and the increase of the share capital, as well as the related documents, presented in full volume on 01.11.2024,
on the basis of Law No. 1134/1997 on Joint Stock Companies, Art. 8 letters m) and o), Art. 20 para. (1) and Art. 22 para. (3) of Law No. 192/1998 on the National Financial Commission, the Instruction on the stages, deadlines, method and procedures for the registration of securities (Decision of the NFC No. 13/10/2018), points 16, 19 and 21 of the Regulation on the organization and functioning of the National Financial Commission (Decision of the NFC No. 57/11/2022),
The National Financial Commission DECIDES:

The restructuring of the previous issuance of securities, placed by the Joint Stock Company "BUNA DISPOZIȚIE" (IDNO 1003602025719, MD-6201, Sangerei city, Independenței str. 132), is registered in the Securities Issuers Register, by increasing the nominal value of one ordinary registered share from 4 lei to 6 lei, and increasing the share capital by 206,586 lei, from the equity capital. The share capital of the company, after restructuring and increase, will amount to 619,758 lei, divided into 103,293 ordinary registered shares, with a nominal value of one share of 6 lei and identification number MD14BUDI1007.

This Decision may be contested by submitting a preliminary request to the NFC (MD-2012, Chișinău city, Ștefan cel Mare și Sfânt blvd., no. 77), within 30 days from the date of communication.

This Decision enters into force on the date of adoption, is communicated to the recipient in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of the NFC (www.cnpp.md).
