Decisions of the Board of Directors of the National Commission of the Financial Market – March 31, 2026

The National Commission of the Financial Market (CNPF) issued decisions on March 31, 2026, authorizing corporate name changes and reorganizations, deregistering liquidated securities, and rejecting a suspension request for enforcement of prior compliance orders. The regulator upheld previous directives against Mogo Loans LLC by determining that the cumulative legal conditions for suspending administrative enforcement were not met. During the meeting on March 31, 2026, the Board of Directors of the National Commission of the Financial Market (CNPF) adopted a series of decisions concerning consumer protection and the capital market, inter alia:

I. Authorization:

Registration in the Securities Issuers Register of the name change of the joint-stock company “LAFARGE CIMENT (MOLDOVA)” to the joint-stock company “HOLCIM MOLDOVA”, with the modification of the ISIN code of the securities from MD14CEMT1002 to MD14HOLC1005.

Authorization of the reorganization of the FINANCIAL-INDUSTRIAL COMPANY “GDG” JSC through transformation into the limited liability company “GDG”.

Deregistration from the Securities Issuers Register, following liquidation, of the securities previously issued by the joint-stock company “ECTOSTIM GRUP”, totaling 50,237 registered ordinary shares.

II. Supervision:

Rejection of the preliminary application submitted by OCN “MOGO LOANS” LLC regarding the suspension of enforcement of CNPF Decision No. 10/1 of February 24, 2026, by which the company was ordered to comply with the prescriptions previously established by Decision No. 28/3 of June 9, 2025. Following an analysis of the arguments presented and considering the nature of the contested act, the CNPF found that the cumulative legal conditions required for ordering the suspension of enforcement of the administrative act, as provided by the applicable special legislation, were not met.
