COMMONWEALTH OF PENNSYLVANIA DEPARTMENT OF BANKING AND SECURITIES : COMMONWEALTH OF PENNSYLVANIA : Docket No.: 240038 (SEC-DO) DEPARTMENT OF BANKING AND : SECURITIES, BUREAU OF SECURITIES : COMPLIANCE AND EXAMINATIONS : : v. : : 412 MANAGEMENT LLC d/b/a WILSON : INSIGHT; and : ROBERT WILSON d/b/a WILSON INSIGHT : : ORDER TO VACATE DENIAL ORDER WHEREAS, on April 19, 2024, Respondent 412 Management LLC d/b/a Wilson Insight (“Respondent Wilson Insight”) applied for registration as an investment advisor, under Section 301 of the Pennsylvania Securities Act of 1972 (“1972 Act”), 70 P.S. § 1-301; and WHEREAS, on May 6, 2024, Robert Wilson d/b/a Wilson Insight (“Respondent Wilson”) applied for registration as an investment advisor representative, under Section 301 of the 1972 Act, 70 P.S. § 1-301; and WHEREAS, on August 7, 2024, pursuant to Section 305 of the 1972 Act, 70 P.S. § 1- 305, the Pennsylvania Department of Banking and Securities (“Department”) issued a Denial Order (“Denial Order”) to Respondent Wilson Insight and Respondent Wilson, denying their registration applications based on alleged violations of the 1972 Act, 70 P.S. § 1-101 et seq; and WHEREAS, on April 28, 2025, Respondent Wilson Insight and Respondent Wilson withdrew the registration applications submitted on April 19, 2024, and May 6, 2024; and WHEREAS, the Department finds that it is necessary and appropriate in the public interestand for the protection of investors, consistent with the purposes fairly intended by the policy and provisions of the 1972 Act, to issue this Order to Vacate Denial Order against FILED 2025 APR 29 PM 2:30 PA DEPARTMENT OF BANKING AND SECURITIES

Respondent Wilson Insight and Respondent Wilson; and NOW, THEREFORE, the Commission directs that the Denial Order issued in this proceeding against Respondent Wilson Insight and Respondent Wilson be and is hereby VACATED.
