FINAL ORDER The State of Florida, Office of Financial Regulation ("Office"), being authorized and directed to administer and enforce chapter 494, Florida Statutes, hereby enters this Final Order with Notice of Rights ("Final Order") as authorized by the provisions of chapters 120 and 494, Florida Statutes, against FREEDOM FINANCIAL SERVICES, INC., ("Respondent"). FINDINGS OF FACT

1. The Office has jurisdiction over the subject matter of this case and the parties hereto.

2. At all times material to this case, Respondent was and has been licensed in Florida as a mortgage broker with license number MBR4134.

3. The Office conducted an examination to ascertain Respondent's compliance with chapter 494, Florida Statutes, and found that grounds existed to initiate administrative proceedings. As such, on April 22, 2026, the Office issued an Administrative Complaint ("Complaint") seeking an administrative fine of $1,750.00.

4. Respondent was served the Complaint via U.S. Certified Mail on April 25, 2026. As such, a response was due no later than Monday, May 18, 2026. On May 25, 2026, the Office received Respondent's written statement to the Complaint.

5. An Order Dismissing Petition With Leave to Amend ("Order") was entered on May 29, 2026. (Exhibit A). The Order requires Respondents to submit a response and/or petition to the Complaint (attached to the Order) within 21 days of receipt of the Order. If Respondent failed to submit a response and/or petition to the Complaint, the Office would adopt all factual allegations contained in the Complaint issued on April 22, 2026, as uncontested and issue a Final Order imposing an administrative fine of $1,750.00, as stated in the Complaint.

6. The Order contained a Notice of Rights, which fully advised Respondent that it had twenty-one (21) days after the receipt of the Order within which to petition the Office for an administrative hearing to contest the allegation(s) set forth in the Complaint, in accordance with sections 120.59 and 120.57, Florida Statutes, including the following information: TO PRESERVE THE RIGHT TO A HEARING, A WRITTEN RESPONSE MUST BE FILED WITH THE OFFICE OF FINANCIAL REGULATION WITHIN TWENTY-ONE (21) DAYS AFTER THE RECEIPT OF THE ORDER DISMISSING PETITION WITH LEA VE TO AMEND. SAID RESPONSE MUST BE RECEIVED BY THE OFFICE NO LATER THAN 5:00 P.M. ON THE TWENTY-FIRST DAY AFTER THE RECEIPT OF THE ORDER DISMISSING PETITION WITH LEA VE TO AMEND. A FAILURE TO TIMELY RESPOND IN WRITING WILL CONSTITUTE AW AIYER OF THE LICENSEE'S RIGHT TO REQUEST A HEARING AND A FINAL ORDER MAY BE ENTERED WITHOUT FURTHER NOTICE.

7. The Order was served on Respondent on June 4, 2026. (Exhibit B). A response would be due no later than Thursday, June 25, 2026. To date, the Office has not received a written response or a request for hearing from Respondent, and/or a claim of equitable tolling.

8. The Findings of Fact alleged in the Complaint are hereby incorporated by reference and adopted as Findings of Fact in this Final Order. CONCLUSIONS OF LAW

9. Pursuant to sections 494.0011 and 494.0012, Florida Statutes, the Office is charged 2

with administering and enforcing the provisions of chapter 494, Florida Statutes, and conducting examinations and investigations to determine whether any provision of chapter 494, Florida Statutes, has been violated. Thereby, the Office has jurisdiction over the subject matter of this case and of the parties hereto. 10. The Findings of Fact herein serve as the basis of the entry of this Final Order against Respondent. 11. Section 120.569(2)(a), Florida Statutes, and Rule 28-106.111(2), Florida Administrative Code, require, among other things, that a response or a petition to an action which affects the substantial interests of a party be filed with the agency within 21 days of receipt of written notice of the action. 11. Section 120.569(2)(c), Florida Statutes, provides that a petition for hearing shall be dismissed if it has been untimely filed (not within 21 days). 12. Pursuant to Rule 28-106.111(4), Florida Administrative Code, the failure of Respondent to timely respond to the Complaint constitutes a waiver of Respondent's right to an administrative proceeding. I 3. The doctrine of equitable tolling can be applied in administrative cases when a party has been misled or lulled into inaction, i.e., has in some extraordinary way, been prevented from asserting his rights, or has timely asserted his rights in the wrong forum. Machules, v. Department of Admin., 523 So. 2d 1132 (Florida 1988). 14. Without any evidence of equitable tolling, it is appropriate for the Office to conclude there was none. Patz v. Dept. of Health, 864 So.2d 79, 80 (Fla. 3d DCA 2003). 15. Respondent failed to submit a response to the Complaint and failed to present a claim, or evidence of equitable tolling. Therefore, it is appropriate for the Office to conclude there was no equitable tolling, and Respondent waived its right to an administrative proceeding. 3

16. Based on the Findings of fact adopted herein, the Office concludes that Respondent violated the specific statutes and corresponding rules charged in the Complaint and, as such, the specific charges in the Compliant are adopted in this Final Order as Conclusions of Law.
17. The Findings of Fact and Conclusions of Law that form the basis for the Complaint, together with the waiver of a hearing by Respondent, constitute grounds for the Office to impose an administrative fine against FREEDOM FINANCIAL SERVICES, INC. Based on the foregoing Findings of Fact and Conclusions of Law, it is hereby ORDERED: Within thirty (30) days of the docketing of this Final Order, Respondent shall pay an ADMINISTRATIVE FINE of ONE THOUSAND SEVEN HUNDRED AND FIFTY DOLLARS ($1,750.00). Respondent's written response to the Complaint was due on or before May 18, 5. On May 25, 2026, the Office received Respondent's written statement to the Complaint, which did not identify any grounds for equitable tolling. (Exhibit C) 6. Respondent's untimely response does not dearly indicate whether Respondent disputes the Office's factual allegations and conclusions of law. The response is not clear as to whether Respondent seeks an infonnal hearing pursuant to section 120.57(2), Florida Statutes, before a hearing officer appointed by the Office, or a fonnal hearing pursuant to section 120.57(1 ), Florida Statutes, before the Division of Administrative Hearings. CONCLUSIONS OF LAW 7. The Office has jurisdiction over this matter pursuant to chapters 120 and 494, Florida Statutes. 8. Sections 120.569 and 120.57, Florida Statutes, address agency actions that affect the substantial interests of a party and provide procedures applicable to a party's right to a hearing. Section 120.57(2), Florida Statutes, addresses the procedure applicable to hearings not involving disputed issues of material fact. 2

9. Sections l 20.569(2)(c) and (2)(d), Florida Statues, require the Office to dismiss any petition/response that is either untime]y filed or not in substantial compliance with the uniform rules for requesting a hearing. The dismissal of the petition/response shall be, at least once, without prejudice to amend the petition/response.

10. Pursuant to Rule 28-106.11 ) ( 4 ), Florida Administrative Code, the failure of Respondents to timely respond to the Complaint constitutes a waiver of Respondents' right to an administrative proceeding. J 1. The doctrine of equitable tolling can be applied in administrative cases when a party "has been misled or lulled into inaction, has in some extraordinary way been prevented from asserting his rights, or has timely asserted his rights in the wrong forum." Machules v. Department of Admin., 523 So. 2d 1132, 1134 (Fla. 1988).

11. Respondent failed to file a timely petition or any other document in response to the Complaint within the 21 •day time period allowed by law or present a claim of equitable tolling. See Patz v. Dept. of Health, 864 So. 2d 79, 80 (Fla. 3d DCA 2003). Respondent's email dated May 22, 2026, fell outside the 21-day time period and no additional communication has been received from Respondents since then.

12. Excusable neglect, which occurs when a document is untimely filed through oversight, inaction, misunderstanding of a deadline, or a mistaken belief that the document would be filed earlier than it was, does not constitute grounds for equitable tolling. See Cann v. Dep't of Children and Family Servs., 813 So. 2d 237 (Fla. 2d DCA 2002).

13. Respondent submitted an untimely response which does not identify any grounds for equitable tolling. 3

14. Respondent's submission must be dismissed with the opportunity to amend to permit Respondent to identify the basis for equitable tolling of the 2 I-day deadline for requesting a hearing. Based on the foregoing Findings of Fact and Conclusions of Law, it is hereby ORDERED: A. Respondent's petition/response is hereby DISMISSED. Respondent has the option to re-submit a confonning petition/response to the Office identifying any basis for equitable tolling of the 21-day deadline for requesting a hearing. Respondent is granted 2 I days from the date of receipt of this Order to file a written request for a hearing in compliance with all applicable administrative rules and laws and which identifies the grounds for equitable tolling of the untimely petition/response. B. If by the close of business on the 2 I st day after receipt of this Order, there is no timely response filed with the Office, the Office will adopt all factual allegations contained in the Complaint issued on April 22, 2026, as uncontested and issue a Final Order imposing an administrative fine of One Thousand Seven Hundred Fifty Dollars ($1,750.00), as stated in the Complaint. ADMINISTRATIVE COMPLAINT The State of Florida, Office of Financial Regulation, ("Office") files this Administrative Complaint against FREEDOM FINANCIAL SERVICES, INC. ("Respondent"), alleging: GENERAL ALLEGATIONS I. Pursuant to section 494.0011, Florida Statutes, the Office is charged with administering and enforcing the provisions of chapter 494, Florida Statutes. 2. Pursuant to section 494.00255(l)(u), Florida Statutes, failure to comply with any provision of chapter 494, Florida Statutes, or its corresponding rules constitutes grounds for disciplinary action. 3. Pursuant to section 494.001 (23), Florida Statutes, a "mortgage broker" means a person conducting loan originator activities through one or more licensed loan originators employed by the mortgage broker or as independent contractors to the mortgage broker. 4. The Nationwide Multistate Licensing System and/or Registry ("NMLS") is the mortgage licensing system and data repository of record which is statutorily mandated to be used by the Office to manage licensing of all mortgage loan originators and mortgage entities in Florida. §494.001(33), Florida Statutes. 5. Freedom Financial Services, Inc. is licensed with the Office as a mortgage broker, having been issued license number MBR4 I 34.

6. Fernando Leovigildo Diaz, a licensed loan originator (LO30798) is the President, sole owner, and Principal Loan originator of Freedom Financial Services, Inc.

7. The Office conducted an examination (No. 133096) to ascertain Respondent's compliance with Florida Statutes, and the corresponding rules.

8. Rule 69V-40. l I l(l), Florida Administratrive Code, provides that the penalties that are applicable to each ground for disciplinary action that may be imposed by the Office against a person for a violation of chapter 494, Florida Statutes, are set forth in the "Office of Financial Regulation, Division of Consumer Finance, Disciplinary Guidelines for Mortgage Loan Originators and Mortgage Entities, Form OFR-494-14".

9. Pursuant to Rule 69V- 40.111 (5), Florida Administrative Code, the range for an "A" level administrative fine is between $1,000.00 to $3,500.00.

10. Pursuant to Rule 69V-40.1 l 1(5), Florida Administrative Code, the range for a "B" level administrative fine is between $3,500.00 to $7,500.00. COUNTI 1 1. The above general allegations are hereby re-alJeged and incorporated by reference as if fully stated herein.

11. Pursuant to 494.004(2), Florida Statutes, a mortgage broker must submit to the Office on a quarterly basis a report ofcondition, also known as a Mortgage Call Report ("MCR") viaNMLS.

12. Pursuant to Rule 69V-40.176(3)(a), Florida Administrative Code, a mortgage broker must submit the Residential Mortgage Loan Activity component of the MCR to the Office via NMLS within 45 days of the end of each calendar quarter.

13. During the examination, the Office found the following with regards to Respondent's MCR submissions: 2

14. First Quarter 2024 MCR, was due May 15, 2024, and was submitted on June 17, 2024 (33 days late); ii. Second Quarter 2024 MCR was due August 14, 2024, and was submitted on December 11, 2024 (119 days late); and, iii. Fourth Quarter 2024 MCR was due February 14, 2025, and was submitted on April 25, 2025 (70 days late).

15. By failing to timely submit quarterly MCRs, Respondent violated Rule 69V-40.176 (3), Florida Administrative Code, thereby violating section 494.004(2), Florida Statutes.

16. In the past, Respondent received a Notice of Late Compliance on January 19, 2023, for failing to timely submjt the MCR for the Third Quarter 2022; and, on July 13, 2023, Respondent receive a Notice of Non-Compliance for failing to timely submit the MCR for the First Quarter

Pursuant to the Disciplinary Guidelines for Mortgage Loan Originators and Mortgage Entities Form OFR-494-14, incorporated by reference in Rule 69V-40.1 ll, Florida Administrative Code, a licensee found to have violated section 494.004(2), Florida Statutes, for the third time is subject to a "B" level administrative fine. 18. Therefore, the Office is seeking an administrative fine of $1,750.00.
