First Offer of Shares of a Real Estate Investment Company to be Listed on a Regulated Market
The Securities Market Agency (AMF) approved the prospectus for the first Slovenian real estate investment company (RIC), fulfilling the formal requirements for its entry into the capital market. This approval registers the entity as the first Alternative Investment Fund (AIF) under the AIF Act, enabling the marketing of its units to non-professional investors. The RIC's shares will be offered publicly and subsequently listed on a regulated market, introducing a new financial instrument for retail investors.

The Board of the Securities and Markets Agency (Board of the AMF) decided at today's meeting on the request for the approval of the prospectus of a real estate investment company. The Board of the AMF found that all conditions for the public offer of shares and their admission to trading on a regulated market were met, and therefore approved the prospectus. This fulfills the formal conditions for the entry of the first real estate investment company (RIC) into the Slovenian capital market. Following the conclusion of the public offer of shares, the market will be enriched by a new financial instrument, which is simultaneously the first Alternative Investment Fund (AIF) intended for non-professional investors as well.
With today's decision of the Board of the AMF, the first RIC, established in accordance with the provisions of the Act on Forms of Alternative Investment Funds (AIF Act), was entered into the Register of AIFs. The provisions of the AIF Act apply to the RIC, as it represents a special form of alternative investment fund, the units of which, unlike other alternative investment funds, may also be marketed to non-professional investors in accordance with the rules for the offer of securities under the Act on the Markets of Financial Instruments (ZTFI-1) and the Prospectus Regulation.
