FSC approves E.SUN FHC's acquisition of 100% shares of Mercuries Life Insurance via share conversion

The Financial Supervisory Commission (hereinafter referred to as FSC) has approved the application by E.SUN Financial Holding Co., Ltd. (hereinafter referred to as E.SUN FHC) to acquire 100% of the shares of Mercuries Life Insurance Co., Ltd. (hereinafter referred to as Mercuries Life Insurance) through a share conversion. E.SUN FHC and Mercuries Life Insurance separately convened extraordinary board meetings on November 5, Year 114, and extraordinary shareholders' meetings on January 23, Year 115, to approve this share conversion case. Upon completion of the conversion, Mercuries Life Insurance will become a wholly-owned subsidiary of E.SUN FHC. E.SUN FHC submitted the application to the FSC on May 8, Year 115, in accordance with Article 26 of the Financial Holding Company Act, Article 139-1 of the Insurance Act, and the relevant provisions of the "Regulations Governing the Holding of a Certain Percentage of Total Issued Voting Shares of the Same Insurance Company by the Same Person or Same Related Party" authorized thereunder. The FSC has completed its review. The FSC stated that after reviewing the case, it complies with the relevant provisions of the Financial Holding Company Act and the Insurance Act. E.SUN FHC also meets all requirements regarding the protection of policyholders' and employees' rights and interests of Mercuries Life Insurance, sources of funds, financial soundness, professional capability to operate an insurance business, long-term operational commitment, and financial capacity to meet Mercuries Life Insurance's future capital increase needs. Furthermore, E.SUN FHC has issued a statement committing that the rights and interests of Mercuries Life Insurance policyholders will not be affected, ensuring uninterrupted policyholder services.
