The Securities Market Superintendence (SMV) orders the exclusion of the securities known as "First Issuance of Negotiable Deposit Certificates" and the associated issuance program "First Program of Negotiable Deposit Certificates of Banco Santander Peru" from the Public Registry of the Securities Market and the Lima Stock Exchange Registry. This exclusion is granted at the request of Banco Santander Peru S.A. because the placement period expired without any securities being placed, resulting in the cessation of public interest. The resolution also confirms that no Public Buy Offer for Exclusion is required under the applicable exceptions.

Considering: That, by means of a document presented on June 12, 2026, complemented by documents dated July 20 and 27, 2026, Banco Santander Peru S.A. requested the Securities Market Superintendence – SMV, through the Single Window system, the exclusion of the securities named "First Issuance of Negotiable Deposit Certificates", which were registered under the "First Program of Negotiable Deposit Certificates of Banco Santander Peru", from the Public Registry of the Securities Market and from the Registry of Securities of the Lima Stock Exchange, due to the expiration of the validity period without the placement having been effected; as well as the exclusion of the issuance program named "First Program of Negotiable Deposit Certificates of Banco Santander Peru" from the Public Registry of the Securities Market; That, it has been verified that on November 13, 2017, in the framework of an advance procedure and under an automatic approval procedure, through the e-prospectus system, the issuance program named "First Program of Negotiable Deposit Certificates of Banco Santander Peru" was registered, up to a maximum amount in circulation of US$ 100,000,000.00 (One Hundred Million and 00/100 United States Dollars) or its equivalent in Soles, and the respective Master Prospectus was registered in the Public Registry of the Securities Market; That, within the framework of the aforementioned issuance program and under an automatic approval procedure, on November 13, 2017, the securities named "First Issuance of Negotiable Deposit Certificates" were registered, up to a maximum amount in circulation of S/ 325,000,000.00 (Three Hundred Twenty-Five Million and 00/100 Soles), and the respective Complement of the Master Prospectus was registered in the Public Registry of the Securities Market and, subsequently, in the Registry of Securities of the Lima Stock Exchange; That, from the documentation presented by Banco Santander Peru S.A. and from the information on file in the Public Registry of the Securities

The integrity of the document and the authorship of the signature(s) can be verified at https://apps.firmaperu.gob.pe/web/validador.xhtml Market, it has been noted that the securities named "First Issuance of Negotiable Deposit Certificates", registered under the "First Program of Negotiable Deposit Certificates of Banco Santander Peru", were not placed, as well as that the placement period for them expired on November 13, 2020; resulting in the cessation of public interest and corresponding to the application of Article 23 of the Regulation on Registration and Exclusion of Securities in the Public Registry of the Securities Market and in the Stock Exchange Wheel, approved by SMV Resolution No. 031-2012-SMV/01 and its modifying norms, which provides that the exclusion of the security shall proceed at the request of the issuer when the placement period has expired without the securities having been placed, it being necessary to accompany it with a sworn declaration signed by the general manager stating that the securities have not been issued or placed; That, likewise, from the information on file in the Public Registry of the Securities Market, it has been noted that with the exclusion of the securities "First Issuance of Negotiable Deposit Certificates", all securities registered under the "First Program of Negotiable Deposit Certificates of Banco Santander Peru" will be excluded from the aforementioned registry; that the validity period of the aforementioned issuance program has expired, making it impossible to carry out new issuances of securities under the same; and that the cessation of public interest has occurred; complying with what is established in the last paragraph of Article 25 of the Regulation on Primary Public Offer and Sale of Securities, approved by CONASEV Resolution No. 141-98-EF/94.10 and its modifying norms, which states that with respect to programs, the exclusion operates when the validity period of registration has expired and no security has been placed under the program or when, having been placed, the security or securities are excluded from the Public Registry of the Securities Market; That, Banco Santander Peru S.A. has presented the information and documentation required by the Single Consolidated Text of the Law of the Securities Market, Legislative Decree No. 861, approved by Supreme Decree No. 020-2023-EF, as well as by the Regulation on Registration and Exclusion of Securities in the Public Registry of the Securities Market and in the Stock Exchange Wheel, approved by SMV Resolution No. 031-2012-SMV/01 and its modifying norms, for the purpose of the exclusion of the securities "First Issuance of Negotiable Deposit Certificates" and of the "First Program of Negotiable Deposit Certificates of Banco Santander Peru"; That, Article 39, letters a) and d), of the Single Consolidated Text of the Law of the Securities Market; as well as Articles 20 and 23 of the Regulation on Registration and Exclusion of Securities in the Public Registry of the Securities Market and in the Stock Exchange Wheel, establish that the exclusion of a security from the Public Registry of the Securities Market takes place by a reasoned resolution of the SMV at the request of the issuer, when the registration of the securities originated from their own will and due to cessation of public interest; That, taking into consideration that Article 15 of the Single Consolidated Text of the Law of the Securities Market and Article 2 of the Regulation of the Public Registry of the Securities Market, approved by CONASEV Resolution No. 079-97-EF-94.10, establish that in the section "On securities and issuance programs" of the Public Registry of the Securities Market securities and issuance programs are registered, what is stated in the preceding consideration also results

The integrity of the document and the authorship of the signature(s) can be verified at https://apps.firmaperu.gob.pe/web/validador.xhtml applicable to said programs, since these are also subject to registration in the aforementioned Registry; That, regarding the obligation to carry out a Public Buy Offer for Exclusion – OPC when a security is excluded from the Public Registry of the Securities Market, established in Article 41 of the Single Consolidated Text of the Law of the Securities Market and in Article 32 of the Regulation on Public Offer for Acquisition and Buy of Securities by Exclusion, approved by Resolution CONASEV No. 009-2006-EF/94.10 and its modifying norms, it must be noted that the exclusion of the securities named "First Issuance of Negotiable Deposit Certificates" falls within the exception cause for not carrying out an OPC, contemplated both in Article 23 of the Regulation on Registration and Exclusion of Securities in the Public Registry of the Securities Market and in the Stock Exchange Wheel, as well as in Article 37, letter a), of the Regulation on Public Offer for Acquisition and Buy of Securities by Exclusion; That, Article 7, numeral 6, of the Policy on Dissemination of Regulatory Projects, Norms of General Character, Early Agenda and Other Administrative Acts of the SMV, approved by SMV Resolution No. 014-2014- SMV/01 and its modifying norms, establishes that the decisions contained in administrative resolutions that resolve the exclusion of securities from the Public Registry of the Securities Market must be subject to dissemination through the SMV Institutional Website on the Single Digital Platform of the Peruvian State for Citizen Orientation (www.gob.pe/smv); and, Being in accordance with what is provided by Article 39, letters a) and d), of the Single Consolidated Text of the Law of the Securities Market; Articles 20, 21 and 23 of the Regulation on Registration and Exclusion of Securities in the Public Registry of the Securities Market and in the Stock Exchange Wheel; as well as by Article 46, numerals 4 and 6, of the Regulation on Organization and Functions of the Securities Market Superintendence, approved by Supreme Decree No. 216-2011-EF and its amendments, which empowers the General Superintendent of Conduct Supervision to resolve the requests formulated by the regulated entities related to primary public offers and evaluate and/or resolve any procedure related to such offers, as well as to order the exclusion of securities from the Public Registry of the Securities Market. Resolves: Article 1st.- Order the exclusion of the securities named "First Issuance of Negotiable Deposit Certificates", corresponding to the "First Program of Negotiable Deposit Certificates of Banco Santander Peru", from the Public Registry of the Securities Market. Article 2nd.- Rule in favor of the exclusion of the securities indicated in the preceding article, from the Registry of Securities of the Lima Stock Exchange S.A. Article 3rd.- Order the exclusion of the issuance program named "First Program of Negotiable Deposit Certificates of Banco Santander Peru" from the Public Registry of the Securities Market.
