LETTER modifying the terms of the authorization for the organization and operation of Bankaool, S.A., Multiple Banking Institution

The terms of the authorization for the organization and operation of that credit institution are modified.

Through Letter No.: 312-1/42047/2024 dated April 10, 2024, this Commission approved the reform to the bylaws of Bankaool, S.A., Multiple Banking Institution (Bankaool), modifying, among others, Article Seventh, in order to reflect its authorized social capital of $3,700,974,032.00 (three billion seven hundred million nine hundred seventy-four thousand thirty-two pesos 00/100 M.N.), as well as the amount of its subscribed and paid-up social capital which amounts to $1,850,487,016.00 (one billion eight hundred fifty million four hundred eighty-seven thousand sixteen pesos 00/100 M.N.), in terms of the minutes of the extraordinary general shareholders' meeting held on August 21, 2023.

Regarding this, in compliance with the requirement contained in the aforementioned letter, Bankaool presented to this Commission on May 15, 2024, through the email address VPSupervisionGIFA@cnbv.gob.mx, a digital copy of the testimony of public deed number 32,183 dated April 30, 2024, granted before the notary public Lic. Fernando Rodríguez García, holder of Notary Office No. 2 of the Judicial District of Morelos, State of Chihuahua, registered in the Public Commerce Registry of the city of Delicias, Chihuahua on May 9, 2024, with electronic commercial folio number N-2019059300, with which the aforementioned statutory modification was formalized.

Therefore, this Commission, based on Article 8, last paragraph of the Credit Institutions Law, has resolved to modify the Fifth Base of the "Letter authorizing the organization and operation of a multiple banking institution to be named Agrofinanzas, S.A., Multiple Banking Institution", [currently Bankaool], contained in Letter Of.: 100/019/2012 dated July 20, 2012, published in the Official Gazette of the Federation on August 8 of the same year, last modified by this authority through Letter No.: 312-3/66252/2018 dated April 10, 2018, published in the aforementioned Gazette on the 26th of the same month and year, to read as follows:

FIFTH.-

The amount of its paid-up social capital shall be $1,850,487,016.00 (one billion eight hundred fifty million four hundred eighty-seven thousand sixteen pesos 00/100 M.N.), represented by 1,850,487,016 (one billion eight hundred fifty million four hundred eighty-seven thousand sixteen) ordinary and nominative shares of Series "O", with a nominal value of $1.00 (one peso 00/100 M.N.), each.

... "

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Bankaool is required to inform this Commission of the dates of publication of this letter, carried out in the Official Gazette of the Federation and in two widely circulated newspapers of its social domicile, within a period of ten business days, counted from the date on which the aforementioned publications are made, which must be processed within fifteen business days following the date of receipt of this letter.

This letter is issued based on Articles 16, antepenultimate paragraph of the National Banking and Securities Commission Law; 14, 19, fraction X, 21, fractions I, subsection c), II, III and last paragraph, 44, fractions I and IV and 64, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
