Mandatory Requisites of the Certificate of Securities Issued in Documented Form

The State Committee for Securities under the President of the Republic of Azerbaijan established mandatory requisites for certificates of securities issued in documented form, pursuant to the Law "On Securities". This order specifies detailed requirements for share certificates, including issuer information, security type, face value, registration details, shareholder rights, and issuer authentication, and similarly outlines requisites for bond certificates, adding circulation period, interest rates, and repayment terms. It also mandates that bond certificate specifications apply to state and municipal securities and requires all certificate forms to incorporate at least three protective elements.

Chairman ____________ H. Babayev MANDATORY REQUISITES OF THE CERTİFİCATE OF SECURITIES ISSUED IN DOCUMENTED FORM

  1. Mandatory requisites of the certificate of securities issued in documented form shall be determined by the State Committee for Securities under the President of the Azerbaijan Republic (hereinafter - "Registration body") according to Item 7 of Article 8 of the Law of the Azerbaijan Republic "On Securities".
  2. The certificate shall include the following requisites: a) full name and legal address of the issuer; b) name of the security – “share”; c) face value; d) share category (ordinary or preference stock); e) place for indication of the state registration number of the share; f) place and date of issue; g) series and serial number; h) number of the shares confirmed with that certificate; i) total number of shares of the issuer registered with that state registration number; j) a place to indicate the full name of the share purchaser or a note stating that the share is a bearer share; k) list of rights granted to the shareholder; l) signature of the responsible person of the issuer and seal of the issuer; m) name of the enterprise producing the share form.
  3. Bond certificate shall include the following requisites: a) full name and legal address of the issuer; b) name of the security – “bond”; c) face value; d) place for writing state registration number; e) date of issue; f) circulation period; g) series and serial number;

h) total number of bonds of the issuer registered with that state registration number; i) number of the issuer's bonds approved by that certificate; j) a place to indicate the purchaser’s full name or a note stating that the bond is a bearer bond; k) interest rate, interest payment procedure and term (unless otherwise stipulated in the prospectus or terms of issue of bonds); l) terms and conditions of bond repayment; m) signature and seal of the responsible person of the issuer; n) name of the enterprise producing the bond form. 4. In addition to the specified necessary requisites, the issuers may additionally provide information that does not contradict these requisites. 5. Specification of details to be reflected in the certificate of the bond shall also apply to state and municipal securities in accordance with the terms of issue. 6. Certificate form shall have at least three protective elements.
