Mascoma Mutual Financial Services Corporation to merge with Androscoggin Bancorp, MHC, and acquire control of Androscoggin Bancorp, Androscoggin Bank, and Portland Trust Company

The Maine Bureau of Financial Institutions has received an application from Mascoma Mutual Financial Services Corporation and Androscoggin Bancorp, MHC, seeking approval to merge and form ClearNorth Financial Mutual Holding Company, while also acquiring control of Androscoggin Bancorp Inc., Androscoggin Bank, and Portland Trust Company, LLC. This merger is subject to approval by the Maine Bureau of Financial Institutions, the New Hampshire Banking Department, and federal banking regulators. The Bureau will accept written comments and requests for a hearing on this application until Thursday, August 6, 2026.

Mascoma Mutual Financial Services Corporation, a New Hampshire mutual holding company, and Androscoggin Bancorp, MHC, a Maine mutual holding company, have applied to the Maine Bureau of Financial Institutions pursuant to Title 9-B Chapters 35, 101 and 105 for the approval of a merger, with the resulting entity to be known as ClearNorth Financial Mutual Holding Company. As part of the holding company merger, the application also seeks approval for the acquisition of control of Androscoggin Bancorp Inc., Androscoggin Bank, and Portland Trust Company, LLC pursuant to M.R.S. 9-B §1015. The merger is also subject to approval by the New Hampshire Banking Department and federal banking regulators. A hearing on this application will be held by the Superintendent of the Bureau of Financial Institutions, as provided in Title 9-B M.R.S. Section 252, upon receipt of a bona fide and reasonable request. The Bureau will accept written comments and requests for a hearing through Thursday, August 6, 2026.
