NOTICE modifying the Authorization Bases for the organization and functioning of CSN Cooperativa Financiera, S

Based on Article 30 Bis of the Law to Regulate the Activities of Savings and Loan Cooperatives and derived from the reform to clause 3 of the Constitutive Bases of said Society, due to the change of corporate name from Caja San Nicolás, S.C. de A.P. de R.L. de C.V. to CSN Cooperativa Financiera, S.C. de A.P. de R.L. de C.V., agreed upon in the extraordinary general assembly of said society held on September 25, 2021, this Commission partially modifies the Authorization Bases of the "Authorization for the organization and functioning of CAJA SAN NICOLAS, S.C. de A.P. de R.L. de C.V., as a Savings and Loan Cooperative under the terms of the Savings and Popular Credit Law," contained in Notice 311-1500054/2007 and 134-1654506/2007 published in the Official Journal of the Federation on January 4, 2008, to read as follows:

"First.- CSN Cooperativa Financiera, S.C. de A.P. de R.L. de C.V., may carry out or continue carrying out savings and loan operations as a Savings and Loan Cooperative in accordance with the provisions of Articles 10, 11 and other applicable provisions of the Law to Regulate the Activities of Savings and Loan Cooperatives.

Second.- CSN Cooperativa Financiera, S.C. de A.P. de R.L. de C.V., shall be subject to the provisions of the Law to Regulate the Activities of Savings and Loan Cooperatives, the General Law of Cooperative Societies, and other applicable laws, and particularly to the following:

I.

The denomination shall be CSN Cooperativa Financiera, and this denomination shall be used followed by the words Sociedad Cooperativa de Ahorro y Préstamo de Responsabilidad Limitada de Capital Variable, or the abbreviations S.C. de A.P. de R.L. de C.V.

II.

Its social domicile shall be in the State of Nuevo León, and it shall have an Operations Level III.

Third.- By its nature, the Authorization is non-transferable in terms of the first paragraph of Article 10 of the Law to Regulate the Activities of Savings and Loan Cooperatives.

Fourth.- The Authorization and its modifications must be published in the Official Journal of the Federation, in accordance with the eighth paragraph of Article 10 of the Law to Regulate the Activities of Savings and Loan Cooperatives.

Fifth.- The Authorization shall take effect on the next business day following its notification, in accordance with Article 132, fraction I of the Law to Regulate the Activities of Savings and Loan Cooperatives.

Sixth.- In terms of the eighth paragraph of Article 10 of the Law to Regulate the Activities of Savings and Loan Cooperatives, CSN Cooperativa Financiera, S.C. de A.P. de R.L. de C.V. must register the Authorization in question or its modifications in the corresponding Public Commerce Registry for its social domicile, no later than within 60 natural days following its notification, and must send the Commission the respective testimony within a period of 15 natural days subsequent to the registration.

Once the Authorization is registered in the aforementioned Registry, the normative regime established in the Law to Regulate the Activities of Savings and Loan Cooperatives and in the provisions emanating from it shall apply in full to CSN Cooperativa Financiera, S.C. de A.P. de R.L. de C.V.

Seventh.- The CNBV reserves the right to carry out the actions it deems necessary to verify that CSN Cooperativa Financiera, S.C. de A.P. de R.L. de C.V., has what is necessary for the proper fulfillment of its corporate purpose. "

Likewise, based on Articles 10, eighth paragraph, and 70 of the Law to Regulate the Activities of Savings and Loan Cooperatives and Article 19 of the Law of the National Banking and Securities Commission, you are required to inform this authority of the date of publication made in the Official Journal of the Federation of this modification notice, within a period of ten business days counted from the date of said publication, which must be processed within fifteen business days following the date of receipt of this notice.

The foregoing is communicated in accordance with the provisions of Articles 12, 16, fraction IX, 17, fraction X, 23, fractions I, subsection a), II, III and last paragraph, 41, fractions I and III and 58 of the Internal Regulations of the National Banking and Securities Commission.
