The National Financial Market Commission (CNPF) of Moldova has launched a public consultation on a draft law amending the Law on joint-stock companies and the Law on the capital market to align national regulations with three European Union directives. The proposed amendments establish a regulatory framework for multiple voting rights share structures and enhance mechanisms for facilitating shareholder rights exercise. Stakeholders may submit objections, suggestions, or recommendations electronically or by mail to the CNPF by 28 April 2026.
The National Financial Market Commission (CNPF) initiates the public consultation on the Draft Law for amending certain normative acts (aspects related to the establishment of multiple voting rights share structures and facilitating the exercise of shareholder rights).
The drafting of the Draft Law stems from the provisions of the National Action Plan for the Republic of Moldova's accession to the European Union for 2025-2029, approved by Government Decision No. 306/2025.
The Draft Law provides for the amendment of Law No. 1134/1997 on joint-stock companies and Law No. 171/2012 on the capital market, with a view to ensuring an efficient and transparent regulatory framework, as well as aligning sectoral legislation with the provisions of European Union acts, namely:
Directive 2007/36/EC of the European Parliament and of the Council of 11 July 2007 on the exercise of certain rights of shareholders in listed companies
Directive (EU) 2024/2810 of the European Parliament and of the Council of 23 October 2024 on multiple voting rights share structures for companies applying for admission to trading on a multilateral trading facility
Directive (EU) 2017/1132 of the European Parliament and of the Council of 14 June 2017 regarding certain aspects of company law (codification).
Objections, suggestions, or recommendations regarding the Draft Law may be submitted, by 28 April 2026 , electronically to the email address: office@cnpf.md or by postal mail to the CNPF address (Chișinău, Ștefan cel Mare și Sfânt Blvd. No. 77, MD-2012).
